CEO owns big chunk of SDVI shares. He does not want to convert. He said after the IPO is complete his goal is have SDVI shares 1/10 valuation of Grafitti shares(he like to sell SDVI assets to Graffitti). That means he want to make big $$ on his SDVI shares by selling it to Grafitti later on.
