'Certain matters have arisen regarding Second Parties that had not previously been disclosed to TPT Strategic by Second Parties and still have not been fully disclosed...'

The second party is IST, and I think this pretty clearly says that TPT wanted out due to undisclosed information affecting their financials.

I think it was such a clean break because TPTS got those contracts, which it couldn't honor without IST, so they let them have it.
