He did this in favor of a suggestion the SEC made to him and that being file the form 10 with the audited financials (audit) at the same time.

The PR clearly stated:

per advice of counsel, it will be withdrawing its most recent Form 10 submission in favor of resubmitting the Form 10 to include Audited Financials with respect to SEC guidelines and procedures.

Is Mark telling you something different?
