Not familiar with the PVSP bylaws but wonder if a transaction like this needs to be ratified by the shareholders? Might not need to be as PVSP will still control, supposedly, the spun off entity.
You have to think that the board and the folks that strategized this move a cognizant of the risk of minority shareholder lawsuits. Retail investors are likely getting a fair pro rata allotment. The risk of not doing, so isn’t worth it.
