Well....I think the intention is to acquire a foundation ...Bitstream has entered into a series of agreements and arrangements including arranging for a reliable and economical electric power source needed to efficiently mine Bitcoin, ordering miners, housing infrastructure and other infrastructure to mine Bitcoin and locate a third-party hosting service to operate our miners and the service’s more advanced miners

That is it...plus some prearranged financing. Any acquisition involving all stock and no cash means it is a dump buy the seller. Which they(seller) acknowledge as a disposal of assets instead of a sale of assets(per Ecoark's last financial).
