spec... the SPC dividend is payable to shareholders

of record as of 12-1-06... but has not yet been issued because NO suitable vehicle has been found to do it with back around 12-1... and there are other things in play here probably. There is no hurry to issue a dividend of SPC until there is a contract in place to provide power... which gives validity and value to the issue!

The company has only been public for a few short months...

the Vidalia demo was 10-31-06... the versatility and uses for the US Sustainable Energy Corp product/by-products was shown publicly to the world that day... but little exposure and difficult to even believe what was seen!

It is hard to say what ridiculously high multiple will be ascribed to this stock once it becomes clear that it IS for real. The PR announced by MaximusComms on this board earlier tonight is the tip of the PR lance piercing the consciousness of national leaders and media! Now we will see the exposure that begins to occur in many venues... press, TV, political leaders trying to be "greenies" for votes!

The reason for the spin-off of the SPC unit is for maximizing green credits... the USSEC operation is emission free! ALL GREEN... the SPC unit will be low emission, but it is not all green... had the two remained one, green credits would be lost by USSE because of SPC emissions. It is just plain good economics!

Then along comes the synergy of USSE's Rivera Process generating energy source to reduce the cost of making Ethanol... so the ONYI merger becomes good for both companies to share and benefit from synergies that lead to revenue increases for both! A lot going on... I would not be surprised later on if the ethanol division is spun off as a divy to get back to ALL GREEN status, but I might be wrong about that.

Current price of ONYI is higher than USSE... and ratio of the merger is 1.3:1 on the share exchange... USSE holders getting the approx 30% bonus valuation... SO the smart play is to buy USSE and get 1.3x the shares when the merger is announced as done!

The reason it is at .36 is combination of pink sheet market, MM and hedge funds (& foreign players) shorting tactics, the reluctance of risk-adverse investors to buy pink stocks, & the fact that big institutional holders would not look at a stock on this exchange selling for such a low price.

As awareness spreads, this stock will rise steadily once production starts & contracts begin being signed. There is a whirlwind about to pass thru this land called USSE!

JMO... do your own DD. The iBox above and the info posted by MaximusComms are a good start!
