One they might have a different cusip. Secondly, they are issued as restricted and usually held in "safekeeping" in legal. So they are not available for resale. The seller needs to file a 144 with a legal opinion to sell them. They have aged after three years as they are not registered. Sad thing is the seller is going to pay more in transaction fees than the stock is worth. But I don't know that.
