I don’t think they would do an offering below $1 as that would seriously jeopardize their NASDAQ listing without an RS...as the market price will track to the offering price pretty quickly. On the other hand I can’t see the offering being better than a 25% discount...unless the warrants go full cover at a low price.

I still think an RS is a strong possibility before the offering closes to give them some room. If the can get the stock price above $5 with an RS....then technically VERB would no longer be a penny stock...and that might open some doors.
