Yes there is.

LG figured if LP could get those terms so could he.

. 10% demand loan
. Convert option at .25
. 500k warrants up front
. Another 500k warrants if he converts.

Risk free loan as he can call it on demand and knows if things are going bad. No insider trading on calling loans.

Worst case is he pockets 10%.

Best case. PPS goes up and he converts all to stock for 1M shares and pockets another 1M warrants.

Why buy warrants when you can instead get them as a kicker on a 10% demand loan?

Maybe he will also demand the loan and not pay himself back. Therefore earn even more warrants and higher interest.
