Don't forget that Jason thought he acquired a NC company that had merged with the NV Landstar, had acquired Classidocs and Data443. That's the tripping point, I think. Once he found out that merger hadn't completed, he was left with a NV corporation that owned the software and a NC corporation that owned, essentially, nothing but the debt. He initially said "to heck with the merger, we'll just use Landstar, NV," but later found out he couldn't since he'd gone into debt via NC guaranteed with NV's stock.
