I don't think the designation for the Series B preferred shares that they filed in the last annual report was the full document. That's why I say I don't know if it includes that clause or not. If it does have that clause it in, that would be an unusual clause to see in a preferred share designation.

ANDI never refiled its designation for the Series B preferred shares when it re-domiciled from Delaware to Wyoming in 2015. So to get the full designation you'd have to go through the older filings from the Delaware SOS. Unfortunately, Delaware charges money for filings.

In any case, today's PR confirms that the series B preferred shares are convertible into 2000 common shares each. I already knew this and have been telling people for the past 2 days, but now they have it from the company too.

The series B preferred shares will continue to convert at 1:2000 until an amended designation is filed with the Wyoming SOS.

As of this moment ANDI still has 18,752,860 Series B Preferred shares convertible into 37,505,720,000 more free trading common shares. And the ANDI shareholders have a promise that the conversion rate will be changed.

If that amendment ever shows up it will be free to download from the Wyoming SOS site (under the history tab).

Tick tock. Will the Utopya team actually keep this promise? We'll see. It's their credibility on the line.
