Authorized shares does not mean that they will be issued in the near future but just authorized. Any company has those authorized shares allowed ahead of time so that they don't have to get votes and authorization everytime they do M&A. Also those authorized shares are used every few years to expand ownership of some other companies such as KKR without violating the change of ownership rule which will kill the NOL. But we escrow does not want to own WMIH forever and we would rather get cash for our assets or just let somebody use for profit sharing but at no point do we want more WMIH shares in exchange of our assets.
