Some NWBO believers may have wanted to take part in the Reg D offering but were prohibited from doing so because they weren't accredited investors.

I am not a long-term shareholder (2017), but I am a shareholder (80K shares) and likely would have participated in the offering (min $10K investment)

However, I am simply not an accredited investor.

Accredited Investor = annual income of $300K for last 2 years (married filing jointly) or $200K (single filer) or assets of $1M+ excluding primary residence. There are probably some folks with belief in NWBO and assets to invest but who simply don't meet that criteria.

That said, I agree it looks bad that they could only sell $1M or so worth of new Series B Preferred.
