No, you don't' get it. You write as if all equity investors are a form of toxic death spiral financing. There are other options. If part of the deal involves immediately buying out the existing toxic debt, there are a lot more common shares available than you think. If the investor takes preferred shares for a percentage of the company while providing funds to get the money engine revving, they end up with a significant slice of a much larger and faster moving pie than they get if they just buy commons and contribute to OS bloat. There are several possible approaches, but you are ignoring all of them.
