He was and is in CONTACT with management more than you know and in many ways. He is management's channel to this board and represents a trusting constituency which can be persuaded to do management's bidding, when it sees fit. Now appeared to be that appropriate time. More than just a sleeper cell.

He will move you on to a different board -- but only invite whom he can trust and/or mold. I don't blame him at all for voting the side of management. And if he can get on to next year's corporate BOD (by the way, that's what he really deserves), there at least his biases are exposed.
