I think that was the point that i was trying to make.
All information is completed that is needed to file 15c211. Once s-1 passes review then they can file 15c211 and get listed on otcbb.
So we wait and watch or at least I continue to wait and watch.

I am just happy to see that these guys are doing something and still in business. my losses are minimal in this stock and i only hold a few more shares. hoping for an uplisting and a little momentum and might make some money back.
anyway - S-1 is usually first and involves the review process by SEC - then comes the 15c211 which is more of simple procedure and filing. thats they way it was explained to me by a broker. All the hard work is done in the S-1 barring any problems during a review process.
IMHO - this is a simple watch and continue to wait - the only thing that will drive any substantial gains would be a major contract wal mart, GNC, something more national and that is highly unlikely. Till then they are a local brand will minimal sales. to hard to get in and out of it without B/A.

Got most of my money out way back, but I still hold a few shares of this stock.
This has definelty been an interesting watch. I need to go through all the documents they filed. But it could be a good play short term. If they do get uplisted to OTC, that could attract some new investors. S-1 filed with SEC, any idea how long it takes?
they have been pretty agressive with their waterline and it apparently has a good following in CO.
at this point risk seems minimal - stock hasnt been below .10 in a long time and may pop to .30-.50 with an uplisting. Only problem is its to hard to trade this stock without B/A
For what it is worth - These guys finally filed their S-1.
could be a nice jump when they get uplisted to OTC, any idea how long these reviews/filings normally take?

agreed this stock isnt the prettiest at the prom, but read that PR again. they are basically gonna be running the stuff nonstop to fill so called presold orders. (which is good) it will take them a couple runs which (should take 2-3 weeks) to complete the backlog and then they should be able to make it as they need it. This is good, Sell it Produce it rinse wash and repeat. Lets just hope is sells at the register. otherwise its gonna be three stikes and you are out for DCBR..... Dickens strike one, TL strike three, HN water...................

could someone describe the terms of the private placements. I have heard of them being offered at meetings, but since i never atteneded one, i guees thats why i was never offered.

might be true for some, probably the other 30+ companies that also got halted and have since then disappeared, DC is still here.
made a killing off of jones soda as i followed it through the ranks, sold out rest of my shares in the high teens and low twenties.
every company sells stocks to fund stuff, that is the point of stocks.
people bought the hype of a new product, new sales people, promotions, because just maybe DCBR was going to start selling a significant amount of product based on new angle to break into energy drink market.
i understand past hardships and disappointments with Dick and crew. Everything has a different feel nowadays though and seems like they may finally beheaded in the right direction. Remember though Dick cant answer most of your questions via emails to one on one investors. They are a public company and most disclose info publicly or not at all.
.02-.03 was the basement for months with this stock when they were essentially doing nothing, before they got the ball rolling with TL and the stock jumped. Oh yeah and TL is still out there moving through walgreens!! incasee some of you forgot. They never had anything close to that years ago. Walgreens account alone would support stock at .37 pre split. so nothing has changed in that regards. Now they have DC, TL, and HN water, You dont think walgreens would like to have there hands on a product like that. Look up how much money is in vitmans and water seperately, put em together... BRILLIANT .............but again we are in a waiting period and the stock has essentially been in the basement around .20-.30 right back were it was and has held here for that past few months. When and IF they get numbers in order this thing will move alot quicker now with less shares out there. Dick is either a complete lunatic or a friggin genius.. Time will tell, I am holding, and supporting my investment.
I wouldnt tell anyone to buy this stock now.... It is a definite hold though...IMO If they get their numbers in order and bid/ask back then would be a time to promote.

just like you and everybody thats checks this board regularly, this has been one crazy rollercoaster ride, huge upside with the ability to crash any second...............
Cant wait to find out who they are dealing with in Vegas and Calif. Should be fun to see who they see as a "household name" with worldwide distribution........

They wont answer a question like when will the audit by completed, if you get a response it will be like working hard on it!!
The past 3 - 4 quarters they have run at a loss. sales anywhere between 250,000 to 1 million per quarter. advertising and promotions have been pricey along with cost of goods. they had a nice loss from the shipping fiasco of 05-06 where the cans leaked all over. Someone reported that the share count after the RS was around 37 million. What do you really think they are hiding. they have reportedly talked about $750,000 in presold water for the past few months............
The CFO is the key to this whole mess. I bought more when they hired him. That was the first sign to me that they were finally serious about righting the ship. I never believed for a minute that we would see financials or an audit until they hired someone specifically for that task. Now they did.
Why invite someone into your house if you know your affairs arent in order.....
To quell the masses (shareholders) reach out to an accounting firm and make a contact, (hire turner stone)
When the time is right get a maid to clean up (hire a CFO to get your books in order)
When the maid has done their job Invite everybody over for the Party (Bring turner stone in to officially audit)
Not saying dick doesnt think an audit is a priority, just not on top of his list a year ago when they got halted. but now it is because he will want to reap the benefits if new product takes off. If he is a greedy bastard then he will want it done NoW! so his 15 million shares go up!!! Good for him and Good for us.

The audit wasnt a priority for Dick. Its first on our list but not his. They needed to focus on product development, establishing a sales team, purchasing the vitamin company, etc etc...
Why would Dick hire a firm to audit his company when he knew things werent in order. Thats why he hired the CFO, to straighten everything out and then bring in Turner stone to verify everything. The problems the CFO listed in the buzz arent by any means catastrophical. Missing initial corp set up forms. intergrating the hard nurtition books into their own. expected delays that would take a long time for the company to piece together while devolping a new product. hence hire a CFO to focus solely on that.
We still have few months of waiting but I finally believe now that things are getting done at least. GO DCBR RAHRAHRAHRAHRAHRAHRAH

if thats the case, and the shareholder update is full of nonsense and more promises of things to come, CFO couldnt complete audit because he had ear cut off by dancer... then i am out, and will start selling of my shares.
all i really want to see is "our new CFO has finished our in house audit , everything is currently being audited by a third party accountant (turnerstone), and all necessary documents have been filed." "We have presold x amount of the new water and will begin filling orders once caps are ready" Dickens and TL have had steady sales of X amount the past 2-3 quarters..... I wanna see that million dollars in sales they talked about the last quarter of 07... How much business is walgreens doing with TL....
those are all huge things they should have been working on, and should very easily be answered in the update. Dick may be a bit of a Joker but what benifit does releasing the good info have until everything is in order. If he really wanted to pump and dump why havent we seen an unaudited Q3-Q4 from 07 showing a million in sales (he has released unaudited in house finances before)..... why havent we seen a PR, stating Walgreens Sales through the ROOF!!.... they just give enough info so we know what they are working on and trying to accomplish. Dick use to release sales estimates and "spreadsheets" data in PR going back to the begining. millions in t-shirt sales, Dickens on the Gun in every bar sales to exceed X amount... He might be a little overzealous but i think he has learned and is a little more sublte now... estimates in sales based on how many caps they can produce...
It has been a crazy and strange trip, i have been in this since March 05- Feel for those that have big loses on this but thats the game we play- The potential i saw with dickens when i first purchased shares, is still there and has grown as they have more products available now then ever, a sales team, etc etc etc....
I am still in .......... my opinion, my personal dealings (phone and email with dick,keith, pr lady and numerous shareholders that have spoken with company also) with the company have never led me to believe this a scam. Hope i am right........
for those with personal face to face meeting with dick, what do you expect he has to be a usedcar salesmen. Cant let people know everything all the time, have to promote company and sell shares to raise operating capital, its part of the business that every CEO has to do. Think of Ronald Regan, everything is good and everyone is happy! no matter what is going on, its how people get on with their lives. Hell i remember Mel Karmazin on Mad money telling people to buy SIRI - so far thats a looser, but maybe not in a couple years, is the merger gonna go through, big gamble. Look how long this stuff takes people!! He bought millions of shares and they are all in the red currently, down almost 50%... Siri is making more money now, but have so much debt it will years before they pay it off and start being a really good profitable company. I am not comparing SIRI to DCBR - just trying to show examples...
in the grand scheme of things 3 years aint that long anyway. it takes along time to develop a good product, mass produce it and then mass sell it...we live in a i want it done yesterday time, have patience or move on. I know more things about Dick and his team that i really care to know
-broke up with girlfried/fiance - got back together (that alone has sent buddies of mine into downward spirals)
-bad car accident, had to have teeth pulled and replaced (car accidents alone can put people out for months)
-ear nearly sliced off by one of the dancers..(no comment!!)
-and he still keeps going.. that a winner in my book

Lets have this discussion after the shareholder updates arrive. I was told they were mailed last friday (mar 28) so they should be arriving within the next few days. If they dont show for weeks, i'll agree with you. If they show up today or tomorrow and they are filled with BS and plastic toys made in Japan or china filled with lead then i'll agree. Until then i have not seen anything that resembles them trying to screw people. and stand by earlier post, these guys are trying their best and just had tough luck......... worth the hold and wait in my opinion....

I do know that DCBR is not some scam or pump and dump like people claim. they are a bunch of guys trying to make something happen. they have had their ups and downs. They produced three very unique and in my opinion excellent products. if they can straighten out the business side of it they should be able to rock and roll. In my opinion they have learned by doing and trying. They do things on their time frame. bid/ask, audit, etc.....
The only real disappointment that i have is that i have not recieved the shareholder update yet, since it was promised. but i believe many of our answers should be in that update. If its all bs and future promises than we are all in big trouble.............

when did all those people buy/get those shares... back in 2004/2005 when the company went public.
they only increased the shares once from 100,000,000 to 300,000,000 again i believe it was back in 2004/5 right after going public...
from then until they havent increased the share count or diluted shares...
I am real curious to see what happened following the RS.. If the authorized jumped back up to 100+million then we have serious problems and you can make the argument that dick is just selling shares and dumping to raise money.
Been there before in some bullsh*t biotech were the share count just kept growing every couple months as price went down. nothing better than when share count balloons over 3 billion....LOL
Anyway.. there hasnt been any signs that DCbrands is just running a printing press pumping out shares...

but how does the vicker report of insiders explain or support that Dick is dumping shares as he pumps up the company......

Dick Pearces name was listed as a pending sale way back in 2005 i believe, and only for a small amount.
Insiders selling not a big deal, believe it or not, who is to know why they are selling. the only insider selling that raised any eyebrows was when Keith Howard sold a million shares. Oh and if i recall they even PR'd that!! explaining that keith just needed some extra cash. Hell even i have been there before. needing to sell some shares to free up some liquid cash.....
You show me proof that Dick is selling!!! not people who probably bought preferred shares way back when this whole thing started!!

100 people attended the race on behalf of dc brands. that is true since the tickets would have been given away. if they were not picked up. the car was given away after the race back at the cafe. and yes there was a little over ten contest winners that showed up.
