That $5 figure is post-split, or $.0625 pre-split. And that may be optimistic based on a market cap calculation of, at best, two times sales with 19,312,000 o/s. Of course, there could be additional shares to contend with after the merge.
I'll say $.05 pre and $4 post is the best level we can hope to achieve in the near term.
Being that pofg is a pinky and doesn't have any disclosure and Amstar is private and won't/can't disclose any info, that kinda leaves us in the dark looking for a lightswitch.
Unfortunately, this is when my overactive imagination kicks in and I start wondering why noone will take steps to inform us of anything?

As the light came on in my head, my emails to Mike Wayland became a little more concentrated towards specifics of the merger, company, etc. And his responses stopped. Finally, on the fourth email, he explained how he couldn't address ANY of my questions due to insider trading laws. Of course, this explanation could have come after my first, second or third email.
Now, I correspond with nearly all the companies I invest in and while sometimes I push the envelope and ask questions that may be considered close to being unanswerable, I have never been shut down to the extent I have here. In light of the darkness, I'm becoming more and more cynical as to what has been done here, how and by whom.
Still trying to be open-minded, but it's becoming a struggle.

As I understand it, joe, Amstar stock has value. Premier, not so much. I imagine the values have been determined already and set at the rate of 96.12% for Amstar and 3.78% for Premier. The 80:1 r/s gets our current pofg shares to that value in order for the merger to take place.

Planning boards take a very dim view of this attitude. Normally, an overall plan has to be submitted for environmental, engineering, infrastructure and public safety review. This gunslinger attitude where he says "Ok, this is what we're doing next" will eventually be met with "That's what YOU think!"

I know now you were trying to get that point across, joe. I just didn't catch it. From what I've looked into, we're probably in the neighborhood of fair market value with a mc based on one time sales. Whether at .03, .04 or even .05, it hardly matters.

I've been in other plays where the product in development either never came to fruition or gained acceptance in the marketplace, so, I'm playing this a bit cautiuosly. Especially, since the timeframe for product rollout is so far away. A lot of things can develop along the way that can never be anticipated. I expect an increase in o/s, but then the next question is, what is a reasonable market cap? Another unanswerable question. ( :
It'll be very interesting to see how the chart progresses and try to figure out why.

HERE'S the rest of the story. The lightbulb finally went on.
$.03 x 80 = $2.40
$2.40 x 19,312,000 o/s = $46,348,800 market cap!!!
this is just under what the company's total gross profits were for last year and may be what they project for this year. They are running a bit behind for the three quarters to hit last year's level.
So, "fair value" was negotiated using some average sp of pofg, which probably isn't far off the .03 price it's at now. And there's no fundamental reason to expect the stock performance to give any great return. If a year from now, it's at .05, it'll have done well.
Michael was wrong when he said the pr was "written poorly". It was written very well. Well enough, anyway, for the insiders of pofg to sell their shares to anyone who didn't know what the actual terms of the deal were. Live and learn. And get screwed in the meantime.
We don't know about their profitability atout. I'm just sticking to basic value thoughts here.
They could be low growth with a single digit pe, or high growth with a 20/30 pe.
Quite frankly, I don't know if we should expect them to even be profitable, you know?
