PSPJ, , ) -- This past Friday morning, Leonard Gotshalk, his son and former CEO of the Company, Kyle Gotshalk, and his daughter and former CFO of the Company, Cherish Adams, fraudulently filed a Current Report on Form 8-K with the Securities and Exchange Commission, purportedly in the name of PSPP Holdings, Inc. (the "Company"), stating, among other things, that there had been a shareholder vote on September 16, 2007, to remove the current management of the Company and replace it with their nominees. They then changed the SEC Edgar pass codes for the Company to prevent the Company from filing a corrective 8-K. As a result, the company and its counsel have contacted the SEC's enforcement division.
This purported shareholder coup was first disclosed to the Company, its counsel and its transfer agent on October 3, 2007, even though Mr. Gotshalk purports that it was taken on Sunday night, September 16, 2007.
Investors should be advised that the actions allegedly taken by Mr. Gotshalk and his affiliates to change the Company's management are null and void.
The actions reported in the fraudulent 8-K, and related press release, required Mr. Gotshalk to have first filed an Information Statement with the SEC and to have distributed that statement to the Company's shareholders 20 calendar days prior to taking the action. The rules and regulations promulgated under the Securities Exchange Act of 1934 are specifically designed to protect against, and provide prior notice of, these kinds of shareholder ambush actions. We also note that Mr. Gotshalk failed to file any reports on Schedule 13D to disclose his intentions or actions, as also required by law.
The Company further disputes that the action purportedly taken by Mr. Gotshalk has any validity under Nevada law. Mr. Gotshalk does not hold a majority of the Company's voting power. The Company's preferred shares, which he claims to have voted to remove Mr. Wilcox, were the consideration given to Mr. Wilcox, not Mr. Gotshalk, in connection with UC HUB Group's, sale of eSafe, Inc. to the Company in 2006.
Leonard William Gotshalk has a history of criminal activity. In December of 2001, Leonard Gotshalk was arrested on multiple felony charges of aggravated theft and racketeering in the State of Oregon (Case # 010623FE). In December 1994 the U.S. Securities and Exchange Commission filed a complaint in the United States District Court for the District of Columbia (Case Number 94CV02633) against "Astro Enterprises, Inc.," et. al., including Mr. Gotshalk. The basis for such complaint was the dissemination to the public from approximately March 1989 through May 1990, of false and misleading information concerning the business of such entity.
The Company believes that the sole reason for this attempted coup is to thwart its investigation of Mr. Gotshalk and his affiliates' on-going sale and/or hypothecation of millions of shares of restricted common stock of the Company without registration under, and in violation of, the Securities Act of 1933. The Company also notes that the allegations in Mr. Gotshalk's press releases are totally baseless and without merit whatsoever.

Just took another look at the RB bd for MRKL and found this - The IR Stan said that MRKL and TCNH were for sale (See december 4, 2006 news) had offers to buy the companies were made, but the litigation had not been resolved at that time. Now that this is not an issue, maybe the companies are cleared to be bought. At one time I heard there were 27 offers for TCNH, but that was back in February..

Anyone hear any rumors or stories wether Swift and BOD have contemplated any legal action re: posible malfeasance on the part of the good doctor and his family and friends in regards to his having to disgourge any cash/bonuses/shares etc. that he or they may have aquired as a direct result of his mismanagement? Just curious - must be some legal presidence for recourse by the company and shareholders. Just the threat of it by the BOD may give them some leverage. Seems to me time behind a desk or in a lab would be so much more appealing than the view from a cell.

I have been lurking for sometime - now just taking in, and trying to digest what has been going on, and like everyone else have a knot in my stomach and my head is still not staying in place. (spining and reeling is close to the feeling) I have not sold any of my position (930K shares - almost $25k cash). A thought has crossed my mind and I just wonder if something that has taken place in another stock may be possibly in the works with XKEM. New management ofaA local company on Long Island NY where I live has been in the papers lately with similar things going on. I'm sure most of you have heard of it CA ( Computer Associates ). The books were cooked/enhanced by all of the upper levels of management. All holders were feed similar info to what we have here - everything is beautiful - no worries - best is yet to come - blah blah blah. They are all in the process of regurgitating their shares, bonuses, etc. and making restitution - this to enclude sharing a cell with big "Bubba". After selling off all they own. Now does anyone think that this may be why we may not be getting any feedback from the company?(Lawyers will usually tell their clients not to say anything.) We must have a few lawyers in the room - any legal opinions? Just my thoughts concerning our 5 months quiet period. I do not have any legal insight into this, but throw it out as what may be the case and after our new management gets their house in order we may find this to be whats going on, after all - they are major investers as well. Though their positions are more protected then ours it stands to reason they would champion our cause, since they will need more cash going forward - and shafting your most loyal shareholders - seems a poor way to get future support -- from anyone. All opinions welcome on this as I have no clue that this is or is not the case....just wondering out loud.

Lawyers can use RICO in civil cases

The federal RICO Act was created to eliminate the influence of organized crime on the nation's economy, experts said.
Today, the Racketeer Influenced and Corrupt Organizations Act is mostly used in criminal cases and occasionally by creative attorneys in civil litigation.
RICO makes it unlawful for a person to manipulate a business for purposes of engaging in, concealing or benefiting from criminal activity.
A civil RICO complaint may allege, for example, that a group of people as a business colluded to break the law, said Joseph Gentile of Frankie & Gentile Pc in Mineola.
"Judges have been circumspect" in their handling of such cases, Gentile said. "But if you can come up with a conspiratorial flavor," it may bolster the case.
Local attorneys specializing in RICO cases say they know of no other such suits filed against municipalities. However, court records show that a civil RICO suit was filed against Hempstead in 1993 over an employee's termination, but it was dismissed because it was filed too late.
The most weighty aspect of a civil RICO case is that if it prevails, plaintiffs are awarded triple the amount asked for in damages, experts said.
Janice Crippen's case is the first-ever RICO suit filed by Melville attorney Kenneth Mollins, who did not specify an amount in the suit.
"It is clearly apparent that the people working for the Town of Hempstead are using their positions for their own financial gain and are doing that to the detriment of the people they're serving," he said. "They're violating their legal duty and fiduciary duty at the same time."
Civil RICO litigation requires that you prove a pattern - that two or more wrongful acts were committed within a 10-year period.
"RICO [civil] suits are tough," said Anthony Sabino, former chairman of the federal courts committee of the Nassau Bar Association. "It is tough to say that you meant to cheat me. Defense lawyers can make hay out of it."
