the warrant is like an option to buy. Strike price varies with the warrant but it seems most SPACs are at $10. Need to read the prospectus as some have forced exercise, others cannot exercise for a minimum delay after IPO/merger, etc. NKLA had very ugly terms so the warrants were always 'cheap'.

restricted shares still affect share value, but so does putting something into the operations side...
he likely is covering on the back of the faked HTML allegations he is slinging now.
Yeah, but everyone needs to make their own decisions. If he was publicly telling people to buy he probably owed them a heads up on his change of heart. But if it was because shares are used to buy companies, maybe no one should follow him?
I think the concept that needs to be understood is that shares were used to acquire something, they were not given... or did the average trader here think ATVK would just go invade these other companies and annex them? :)

OK, so not a forced buy in play, rather a slow, value-add play.
so the question is whether the shares were sold and need to be bought back or whether the shares are in a desk drawer and just get handed back over and shredded...
I consider that a good sign - they are not selling shares so why bother?
If you can't pay it back, it is a possible response to the predicament. In for a penny, in for a pound. I have no idea though what is really going on.
They could also sell the rest to scare out other shares and buy lower...
If you had a slew of shares that were potentially being revoked and you had sold some of them and you could not afford to buy those back, what would you do? I am sure the most common answer is sell the rest and put the money out of reach of the court.

they can. but would they? Cleaning up the shell to make the deal proportions fit is the shell's responsibility.
is there a basis for retiring shares like there is at ATVK? Somehow I thought that was happening here, but I cannot remember why or if. Would have to be a breached contract on ex insider vesting or paying off a convertible.
it's a shell, so it should be almost empty and simplistically elegant.

I was referring to an RS to right size a shell for uplisting but you are referring to repetitive RS's for a pump and dump printing press.
but definitely consult at least a tax program if not a professional and don't rely on my word.
you would carry $70K forward and if you had $30K gains this year they would be tax free, you would show a $3K loss this year and carry $37K forward into next year...

Good question and I'll say the OTC boom I last played in was in the middle of the tech bubble. Was there an OTC boom in 2008?
Also bear in mind all of the rules we live under are from 1929 when stock advice came from random people shilling garbage they heard a rich person mention...
A non-COVID crash was overdue 4 years ago and only voodoo economics pushed it through to here. I think it starts with real estate again, not because of fraud but because one of three things will happen:
1) mass evictions of people that are way behind on rent and foreclosures on mortgages -- the freed up inventory will soften the hot home sales market and things crumble from there.
2) unfunded mandates to force lenders and owners not to foreclose or evict while they get no repayment of rental income, causing mass bankruptcies.
3) 'rob the rich' approach to forgiving those debts causing the rick to flee to tax havens.
Pick your poison.
sorry, maybe I crossed my plays with share reduction... might have been thinking ATVK...
I do think there will be an RS but if that is done to take a nickel stock to a $5 stock for uplisting reasons, that's a positive thing.
If there were some disputed shares like at ATVK, that could reduce OS, but to be fair this is just a chart play for me, I am already sitting on 1M free shares, so I am not investing much in DD.
