The prospectus if from April and voted for at the recent meeting, this is old news.
These shares will be issued over time and not diluting right now. With the share price where it is now Alexza needs to fill the reserve with options and incentive shares as they enter their most crucial year of existence. This is an incentive driven industry to increase sales, manufacturing costs, etc.
Most shares and options in the current plans have an exercise price 2x-4x current share price.
The company still had 105,020 shares left from the previous director's plan, now they have 305,020 to issue in time. The average exercise price of those 105k shares is $22.35. 1/3 of the shares have an exercise price 4.5x current PPS.
The company still had 1,774,784 shares left from the previous incentive reserve, now they have 3,974,784 to issue in time. The average exercise price of those 1,774,784 is
$10.52. 1/2 of the shares have an exercise price of more than 2x current PPS.

Adds 2.4 Million shares for future employee options and incentives. Not issued yet.

ALXA has $10-12 outperform targets from Dec 2012(pre-approval) through 2013 EU partnership from ROTH, JMP and Piper.
Noted in the upgrades are the targets based on Approvals in US and EU, $5 million from Ferrer.
Not noted in any of the targets is the new Teva deal bringing in $40 mil (30 to ALXA) and almost 200 mil in milestones.
I expect new targets above $15 a share to come out soon. IMO below are my thoughts on those new price targets
Piper $10 New Target $16
JMP $12 New Target $19
Roth $10 New Target $15
Roth also noted that in the previous upgrade that any new drug added to or continuing development is not included their $10 target, but will add more upside on the target price when announced.
plus DTA spread out all quarters.
Could see $20 Billion plus net in Q1.

I have seen OTC's trade premarket. No way these are posting from during the day. For instance last week when APPA received a CRL, Stock was down 50% premarket , trading was already 200k shares prior to open at the -50% price beginning at 8am. There would have been no trading during regular hours at -50%, so you must think there was some king of premarket trading going on that brought APPA down that far with that money shares traded, right?
I have done some research and it appears MM's can manually place orders and trade between themselves. Manipulation at its finest.

Regardless, it is a suit in NY not involving Fannie. Fannie has there own in Florida, which was just filed last week.

What is with the filing? Permitting most of the insider stock to be sold at any given time. Plus notification that warrants may also be converted.
