Shares were issued as warrants, then converted. These shares have a 2 year lock-up period. No sells for min 2 years.
he got me 2x for a few thousand. I wish we could line up and stone him...
He doesnt care. He will dilute this into the ground.
IPO desktop...front and center for ACHI. Information on site is now current as of 3/28/07.

Sorry, I am multi-tasking like crazy...
I meant buyers to buy the shares that are hitting the market due to increased o/s. The A/S is 1B, but they have 270m restricted shares just issued to management. Not is current o/s, but i think they must have room for them in A/S. 612M + 270M = 882M....So, another 120M before A/s is an issue?
I trade for a living and I allowed myself to get $40,000 hung up in this at .055. I have since played around and my avg is .04, but I am tired of waiting for this to make a move. Must be near a bottom!!!
Good thing, this has bounced off of .02 several times.
http://stockcharts.com/h-sc/ui?s=ACHI&p=D&yr=3&mn=2&dy=0&id=p95459271544
Well, the inflection point is upon us. I think they have sold all the shares they can to new buyers. When i say "sold", I mean redemption of s-8 shares by recipients. They need to get something concrete out quickly and/or stop increasing the o/s.
I am going by statement from KSI pr. Oops! I thought was $3M! ...oh well, i considered added earnings b/c of Marc's push to increase sales and earnings from KSI this year. SO, lets give him $500,000 in newly acquired business this year. A 20% increase.
I have asked mgmt about releasing KSI 2006 financial. They say, they are " considering my advice". So, i dont know if they are going to release the numbers or not.
Really just wanted to get some talk going about a valuation on ACHI from earnings perspective!
Excerpt from PR:
Mr. Walther the CEO stated that the sales for the fiscal year 2007 of KSI Machine & Engineering are projected to be $5.8 million with gross profit of $2.5 million. It will be Mr. Walther's role to expand the sales of the KSI business model while pursuing further acquisitions. Richard Rossmann, President and COO, will focus on the AmeriChip business model in the automotive, agriculture, heavy truck, aircraft, marine and oil pipe industries.
The KSI business model on its own now gives Americhip/KSI actual projected earnings of approx $3M for 2007. We now have 588 million shares outstanding(not including warrants not actually counted in o/s). I believe 270M additional shares were added as warrants convertible in 2 years.
Lets use the 588M figure first to determine our P/E for 2007.
3M / 588M = .0051 earnings per share
Current foward p/e - .025/.0051 = 4.9 (VERY LOW for startup with actual potential)
P/E of 15? = 15 x .0051 = .0765 or 7.65 cents/share
P/E of 15 is a low ball estimate once the price starts reflecting actual business at ACHI. As with any startup, they can have a very high foward p/e if people truly begin to expect major revenue increases, as in the case of ACHI. You could see a spike to 30 or even 50 on the P/E. Which is pps of ~ 15 - 25 cents. This is a very reasonable expectation of pps in next 6-12 months, if you believe in what Marc is saying in these interviews. How or why would he be misleading at this point? I for one, believe him fully and I am very excited about ACHI's future. The banks and some high execs have voted on ACHI, and apparently they gave it two thumbs up.
Take into account the O/s that will be reality in 2 years without any further share issuance. The o/s would be ~ 850M after all warrants included. In two years, once including these addt'l warrants, the earnings of ACHI could be in the 10's of millions. So, take these addt'l p/e calculations with grain of salt. I think these p/e calculations are inaccurate/skewed b/c they will not be reflected until shares are included in o/s, but investors are aware of them. So, they will pay them some credence. Even at that...take a 2 year forward p/e should be increased for "potential" earnings increase two years out as in all stocks. We could expect a p/e of min 20 currently for this 2 yr forward p/e. So, lets take a look at the p/e calculations.
3M / 850M = .0035 earnings per share
Current foward p/e - .025/.0035 = 7.1 (VERY LOW for startup with actual potential)
P/E of 15? = 15 x .0035 = .0525 or 5.25 cents/share
P/E of 20? = 20 x .0035 = .07 or 7 cents/share
These are first attempts to actually put a valuation on ACHI. I just thought i would share them with you guys!
At some point, market will begin to reflect this. It might take an actual contract announcement with numbers from somewhere(Oil? Catepillar? Airplane? Auto?), but once revenue increases begin to show. Price will have no choice but to increase, and increase substantially from these lows.
I think 4/15 release of 1st Qtr 10Q will have some new revenues in it. WHich will be a first. The July report should reflect some new very exciting realities from ACHI.
Have a good sunday.
Jason
Didnt Marc say he was going to Dubai this week in that interview last Friday? Oil Pipe contract in the works?
07' 1st quater 10Q should be out approx 4/15. The quarter ended 2/28 and then they have 45 days. Note - year ended 11/30/06 and you 90 days to file 10K or the extension.
WHAT a POS! That damn ceo is ruthless....did not even let run for 3 consecutive days!
that last one was an accident....
$2.5 Million in profit for 2007!!!!

AmeriChip International Inc. Completes Acquisition of KSI Machine & Engineering

CLINTON TOWNSHIP, MI--(MARKET WIRE)--Feb 20, 2007 -- The Board of Directors of AmeriChip International, Inc. (OTC BB:ACHI.OB - News) is pleased to announce that it has finalized the acquisition of KSI Machine & Engineering ("KSI") of Clinton Township, MI. www.ksimachine.com. Effective immediately, the KSI facility is now the World Headquarters of AmeriChip International Inc. The Plymouth Operation will remain as the facility for its subsidiary AmeriChip Tool & Abrasives www.americhipta.com.

KSI was a privately held company that was owned and operated by the Kotsonis family for over 40 years. AmeriChip International will inherit the KSI Tier One Status within the automotive industry and its strong credit history. KSI is now a wholly owned subsidiary of AmeriChip International Inc. with 50,000 sq. ft. of manufacturing space and is considered a leader in the machining industry. The test lab and launch facility for AmeriChip will be located in the Clinton Township facility headed up by Edward Rutkowski, Founder and Chief Technology Officer prior to moving into a new production facility.
Senior management of AmeriChip would like to express their gratitude to the Blue River Financial Group of Grand Blanc, MI, www.legacy-assurance.com, for their participation in the successful acquisition of KSI Machine & Engineering.
Headquartered in Clinton Township, MI, U.S.A., AmeriChip International Inc., a patented technology company, holds a patented technology known as Laser Assisted Chip Control, the implementation of which results in efficient chip control management in industrial metal machining applications. This technology provides substantial savings in machining costs of certain automobile parts providing much more competitive pricing and more aggressive sales approaches within the industry.
The innovative AmeriChip business model, enhanced by its AmeriChip Tool and Abrasives subsidiary, is designed to establish an extensive resource for cost saving services and products that all cost conscious industrial steel and aluminum machining companies require. AmeriChip is committed to keeping jobs in America for Americans.
Not only does KSI bring Tier One status and REVENUES, but these loans from People's State Bank and the SBA show that ACHI does indeed have a viable business model that will produce revenues to pay back loans! I am sure they went through all financial info for both companies with a fine tooth comb. Simply getting these bank loans is a major accomplishment as far as ensuring investors that ACHI is for real.
I hope mgmt addresses KSI's current financial status(revenue figures?).

i no longer have L2 for AXGJ....can someone post current L2? What has SBSH been doing once ask is at .002?
Thanks in advance...
my point was that you were acting like you had a BIG buy order in at .0014. It did not take many shares to break below that level.
Good luck with your trade sir...
You are full of it. Where you at? .0014 was very weak. Just observing these messages....i am in at .0027.
exactly
Yes, but the only problem here is.....
AXGJ is selling shares to pay for all of this right now. This low share price demands enormous numbers of shares to add up to any substantial capital.
AXGJ might turn out to be a great shareholder investment someday, but for now, buy only at extreme lows for a trade up to resistance.
Down to .002 within 2-3 hours.
http://stockcharts.com/h-sc/ui?s=AXGJ&p=60&yr=0&mn=3&dy=0&id=p95696179767
Well, looks that way...but whose knows with these pennies.
I am buying more at .002
I agree. Very good risk/reward scenario here. "bet" $1000 on AXGJ here and could make $2000-3000 in less than 10 days(prob quicker).
Risk on bad drop to .001(which i dont see) is 50% loss....against a possible 200-300% quick gain from here
GLTA
Valid points Dlewis...
Only positive i see to 8k is that Marc was able to talk these "accredited" investors into buying 19.4M shares(prob 2x) at .025. He talked them into buying these shares in large blocks in the face of company's dilutive track record.
Thanks for the info post Dlewis...
I am aware that Regx is old news.
What are you thoughts on recent 8k? At least ACHI is trying to be more transparent with operations, albeit baby steps indeed. The dilution needs to stop...
Trying to read between the lines here...
After thinking about this...
These are the newly issued shares we have been speaking about recently.
Has ACHI decided to change their ways? Find buyers for ACHI shares and then tell us more about how money will be used? Dilution is bad, but we knew about these shares.
Still thinking about this one..
KSI to close soon?...
Says have sold 19.4 million by 12/28/06. I think we have absorbed another 15-20 million this month. So, according to the filing...ACHI should now have the needed $900,000 to close the KSI deal.
This actually says restricted shares....hmm
Thoughts?

Form 8-K for AMERICHIP INTERNATIONAL INC

30-Jan-2007

Item 3.02. Unregistered Sales of Equity Securities.
To provide funding to complete the KSI transaction and to provide general working capital, Americhip International, Inc. Each of the investors is an accredited investor as defined in Rule 501 of Regulation D promulgated under the Act.
I am seeing some buys here as well. Capitulation day? Big volume spike down to all time lows. This will bode very well if AXGJ closes positive today.
Is that ~$2M licensure expense on the Regex filing going to Marc for his LACC patent?
I dont know if AXGJ will reverse split again, but...
See chart below of AXGJ for a R/S chart. Wow...says IPOed at $200,000 if you calculate in all reverse splits and then more dilution.
http://stockcharts.com/h-sc/ui?s=AXGJ&p=D&yr=2&mn=6&dy=0&id=p35250072184
Temp bottom here soon....
Phenomenon- Company selling shares. It is ok. Near temp bottom.
Typical pink action here...
Company issuing and selling many, many shares. A start up company with stock provided financing typically will release very good news with strong future prospects, as the news that drove AXGJ to .32. Then the dilution begins. They sell into the rally and down to a low price support range. The company then tells the MMs that they gave their shares to to stop the selling. Selling dries up VERY quickly, and all of sudden there are no more sellers at very low price range. Shorts must cover, bargain hunters and daytrades jump on, and the price spikes very very quickly.
Look at any dilutionary chart and you will see spikes.(ie ACHI)
I feel that AXGJ is due for one of these spikes soon. I plan to buy $10,000 - $15,000 worth for a quick flip.
Buy .0025-.003 and sell at .0094. I might grab some tomorrow.
GLTA...but be aware of what is going on here. If you truly believe in this company, use these spikes to sell shares and repurchase on next downdraft. You can end up with millions of free shares.
Prudence....
Those are shares from your beloved CEO, Jeff!!!
I am looking to buy this soon on the next breakdown to .0025.
But buyer beware...the company is printing many, many shares. Well, i have been out of the loop for a bit. Is the TA still gagged? That is the only person i trust as far as accurate share count in a penny stock like this.
What is stopping CEO from issuing and selling more shares?
Where did you get the 172M number for current o/s? The TA is still gagged ...
Did you say you got info from the CEO himself?
I think the company is ready to rock on the business side.
Only thing that matters to AXGJ share price is the o/s in the short term. When the company stops selling the shares; even if it is temporary, the price will pop quickly to the .015-.02 area.
Do you know anything concrete about the o/s?
Thanks!
