Aufgrund der aktuellen Entwicklung der Aktien der Hartcourt Companies, Inc. und des regen Interesses deutscher Investoren an dem Internet-Beteiligungs-Unternehmen sprach Finance-Online am 10.12.99 exklusiv für Sie mit dem Chairman und CEO, Dr. Alan Phan, über die Aussichten seines Unternehmens.
Zur Geschichte der Hartcourt-Aktie:
Mit einer Entwicklung von mehr als 10.000 Prozent binnen eines Jahres erfreut sich Hartcourt auch in Deutschland einer großen Fangemeinde. Das Unternehmen begann vor Jahren lediglich mit einer Schreibwaren-Fabrik in China, entwickelte sich jedoch schnell zu einem zukunftsträchtigen Internet-Beteiligungsunternehmen. Hartcourt spezialisiert sich seit 1996 auf Beteiligungen an aussichtsreichen Unternehmen. So werden Firmen aus dem IT-Bereich akquiriert und durch finanzielle und strategische Unterstützung gepuscht. Der Focus liegt hierbei klar im asiatischen Raum.
Hartcourt Companies ist momentan dabei, sich mit Beteiligungen an Internet Service Providern und Online-Brokern in China unter www.sinobull.com als Finanz-Portal für Informationen und Finanztransaktionen zu etablieren. "SinoBull" wird voraussichtlich im 2. oder 3. Quartal des nächsten Jahres an den Markt kommen. Angeblich haben die Beteiligungen, die Hartcourt besitzt, einen Wert, der die Marktkapitalisierung Hartcourts von ca. 350 Millionen Dollar selbst übersteigt. So gibt es z. B. ein Unternehmen, das Internetzugang über Satelliten bietet. Innostar, so der Name, wird 2001 an die Börse gehen und wahrscheinlich einen Wert von über einer Milliarde Dollar haben.
Wie Dr. Alan V. Phan, CEO der Hartcourt Companies, Finance-Online in einem Telefonat mitteilte, wird Sinobull alle bisherigen chinesischen Internetfirmen wie China.com in den Schatten stellen:
Finance-Online: Dr. Phan, die Euphorie um ihre Firma begründet sich hauptsächlich auf dem IPO des Finanzportals Sinobull. Wie schätzen sie die Chancen und die Entwicklung des Wertes ein?
Dr. Phan: "Sinobull.com ist im Vergleich zu vielen anderen chinesischen Internetunternehmen bereits profitabel und wird bis zum Börsenstart mehr Umsatz als China.com erzielen. Die Bewertung von Sinobull mit 400 Millionen Dollar durch das Wirtschaftsunternehmen Ernst & Young ist sehr konservativ. Die Aktien werden zu ca. 20 Dollar an die Börse kommen, ein Kursanstieg innerhalb kurzer Zeit auf 60-100 Dollar erscheint möglich."
Würden diese Prognosen zutreffen, so wäre die Beteiligung an Sinobull mehr wert, als Hartcourt selbst. Dies scheinen auch deutsche und amerikanische Investoren realisiert zu haben, denn ansonsten scheint ein Kursanstieg, wie ihn Hartcourt hinter sich hat, kaum erklärbar.
Finance-Online: Sinobull kennt inzwischen fast jeder, der sich mit Hartcourt auseinander gesetzt hat und die Aktie besitzt, wie aber sieht es mit weiteren Beteiligungen aus, was haben Sie noch in Ihrem Portfolio?
Dr. Phan: "Sinobull ist nicht das einzige unserer Investments, allerdings im Moment das bekannteste. Zu unserem Portfolio gehören noch einige andere Firmen, die in den nächsten beiden Jahren an die Börse gebracht werden. Wir gehen davon aus, daß der Wert der Beteiligung an Sinobull im Vergleich eher gering erscheinen wird."
So haben wir z.B. das Going-Public von Innostar, ein Anbieter von Internetzugängen via Satellit, für das Jahr 2001 angesetzt. Ich schätze den Wert von Innostar noch deutlich höher ein als den von Sinobull. Sie sehen, wir können auch über das nächste Jahr hinaus mit Überraschungen aufwarten.
Finance-Online: Die Hartcourt Aktie ist innerhalb eines Jahres von 0,18 Cents auf 20,5 Dollar geradezu explodiert. Sehen Sie hinter all dieser Euphorie auch Gründe, die diesen Anstieg rechtfertigen?
Dr. Phan: "Auch, wenn dieser Kursanstieg auf den ersten Blick kaum real erscheinen mag, so kann die Marktkapitalisierung mit dem Gegenwert an Beteiligungen, die Hartcourt besitzt, durchaus gerechtfertigt werden. Im Gegenteil: in den nächsten zwei bis drei Wochen werden entscheidende und vielleicht auch kursbewegende Pressemitteilungen über die Beteiligung einer sehr bekannten und einflußreichen amerikanischen Firma, deren Namen ich noch nicht nennen kann, an dem Unternehmen bekannt gegeben werden. Dann sollte erkennbar sein, daß SinoBull weit mehr wert ist, als es im Moment scheint. Das Potential unserer Aktie ist noch lange nicht ausgereizt."
Finance-Online: Sie sagen, das Potential Ihrer Aktie sei noch nicht erschöpft, wie sehen Sie die nahe Zukunft Ihres Unternehmens und damit auch der Aktie?
Dr. Phan: "Wir haben noch einiges in der Pipeline, in den nächsten Wochen werden immer neue Nachrichten um Akquisitionen und Beteiligungen bekannt gegeben werden. Ich gehe davon aus, das die Aktie unseres Unternehmens davon profitieren kann und trotz des Anstieges, die sie schon hinter sich hat, weiter zulegen können wird."
Finance-Online: Das hört sich gut an, unsere Leser hätten jedoch gerne eine etwas konkretere Antwort: Wo sehen Sie das kurzfristige Kursziel Ihrer Aktie?
Dr. Phan: "Ich gehe davon aus, das durch die anstehenden Abschlüsse und Neuigkeiten, die in den nächsten Wochen anstehen, eine Marktkapitalisierung von ca. einer Milliarde bis Ende Januar nächsten Jahres möglich ist."
Die würde einem Aktienkurs von ca. 55 Dollar entsprechen

wie ich sehe ist die fangemeinde arg geschrumpft. die klitsche existiert also anscheinend noch, zumindest auf dem papier oder ist es nur noch ein börsenmantel?
1/10 cent....mmmhhh sieht mir eher nach einem hohlen börsenmatel aus.
wahrscheinlich ist sogar niemand mehr da, um das licht auszuknipsen.
hier wurde über immer neue aktien ohne irgendwelche gegenwerte

100% sind hier für den händler kein problem, das ist ja schon der spread :LOL:, es muß nur ein dummer kaufen.

Vorsicht bei OTC Aktien
Der Begriff OTC bedeutet „over the counter“ also „über den Schalter“. In der Börsensprache werden damit Aktien bezeichnet, die im amerikanischen Freiverkehr gehandelt werden. OTC-Aktien sind also amerikanische Aktien, die nicht zum offiziellen Börsenhandel zugelassen sind.
Auch in Deutschland werden OTC-Aktien auf Eurobasis gehandelt. Am besten erkennt man diese amerikanischen Aktien am Preis. Die Wertpapiere sind ausgesprochen billig. Die Kurse betragen oft nur wenige Dollar bzw. Euro. Deshalb nennt man OTC-Aktien auch „Penny .Stocks“.
Mag man an anderen Weltbörsen solide Aktien für geringe Beträge ordern können, in den USA ist das nicht so. In aller Regel sind solche Aktien hoch spekulativ: Je billiger die Aktie, desto höher ist das Risiko. Privatanlegern kann man nur raten: Finger weg von OTC-Aktien. Mag sein, dass die eine oder andere Spekulation glückt. Unter dem Strich auf lange Sicht kann man nur verlieren. Wie in einer Spielbank stecken die Gewinne andere ein.
Der OTC-Handel ist am besten mit dem geregelten Freiverkehr und dem ungeregelten Freisverkehr vergleichbar. Der geregelte Freiverkehr oder Open Market ist ein Börsensegment nach § 48 Börsengesetz. Das Börsensegment unterliegt gewissen Regeln, ist aber nicht amtlich reguliert.

Smallcap-Investor: Warum sollte man die Aktie von Hartcourt kaufen?
Dr. Phan: 6 Gründe: Wir machen erstens kaum Verluste, die meisten unserer Beteiligungen kommen gerade in die Gewinnzone.
Zweitens ist China der größte Markt der Welt. Drittens habe ich 22 Jahre Erfahrung in China, wir wissen wie man dort Geschäfte macht. Viertens haben wir Starke Partner, z.B. China Telekom Fünftens hat China ein riesigen Pool an Talenten, die wir für unsere Tochterfirmen nutzen und sechstens haben wir nur lokale Konkurrenz
Smallcap-Investor: Wie viele IPOs planen Sie in der nächsten Zeit?
Dr. Phan: Wir planen 4 IPOs Streamingasia im 1. Quartal 2001, Sinobull im 2. Quartal 2001, Hartcourt Capital und ein Broadband ISP in 2002.
Smallcap-Investor: Ihren Angaben nach ist Sinobull 500 Millionen Dollar wert. Worauf basiert diese Kalkulation?
Dr. Phan: Im Februar hat Merril Lynch aufgrund des Vergleichs mit China.com den Wert von Sinobull auf 1,2-1,5 Milliarden geschätzt. China.com hatte bei einer Marktkapitalisierung von 3 Milliarden,
weniger Einnahmen als Sinobull und operiert in Hongkong, wir aber ich China. Nach dem "Crash" schätzte man neu und errechnete 500 Millionen Dollar.
Smallcap-Investor: Und welchen Erlös erwarten Sie persönlich ?
Dr. Phan: Je mehr Akquisitionen hinzukommen, um so grösser wird der Wert. Schauen sie sich die Kooperationen an. Beispielsweise ist Sinobull seit kurzem der Market Represantive von Mahadev und
Thinkersgroup. Mit Mahadev haben wir vereinbart im ersten Jahr einen Umsatz von 0,5 Millionen und im 2.Jahr 2 Millionen zu erzielen. Sinobull wächst aber jeden Tag weiter und ich hoffe auf mehr als 500 Millionen Dollar.
Smallcap-Investor: Streamingasia soll 100 Millionen Dollar wert sein, aber für die 50%ige Beteiligung an Streamingasia haben Sie nur 0,65 Millionen gezahlt...
Dr. Phan: Für Streamingasia schliessen wir bedeutende strategische Partnerschaften ab, die noch nicht bekanntgegeben wurden. Ausserdem wird noch die Beteiligung an einer Webcastingfirma, der Beijing Total
Solution System, die alleine 3 grosse TV-channels besitzen, hinzukommen. Insgesamt werden wir in Streamingasia 4 Millionen $ investieren. Die Partnerschaften und Beijing TSS werden den chinesischen Markt für Streamingasia öffen und so erwarten wir für Streamingasia auch mehr als 100 Millionen Dollar. Denken sie nur an die Möglichkeit Videos als Attachment per Email an ihre Freunde zu versenden. Wir haben gerade den Beta Test abgeschlossen und im Januar wird die Markteinführung kommen.
Smallcap-Investor: Sie erwähnten das IPO eines Broadband IPS. Was ist von der Beteiligung an dem ISP China Online zu erwarten ? Immerhin werden Sie mindestens 50 Millionen $ zahlen müssen und können sich die Chinesen die Breitbandanschlüsse überhaupt leisten?
Dr. Phan: China Online hat 105 Lizenzen in 105 Städten über ganz China verteilt, dazu 80 lokale Portale. China Telecom macht für uns die Infrastruktur und wir machen den Markt. Bedenken sie, dies ist ein riesiger Markt. Alleine die 10 grössten Städte Chinas haben 180 Millionen Einwohner. Mehr als doppelt so viele wie Deutschland. Die Leute auf dem Land, für die wird Internet zu teuer sein, aber der
Markt in den Städten ist riesig. Wir diskutieren aktuell mit China Telekom, um die geplanten Anschlussgebühren von 30$ pro Monat abermals zu reduzieren.
Smallcap-Investor: Und China Online macht 20 Millionen $ Verlust im Jahr. Wie wollen Sie damit umgehen ?
Dr. Phan: Alleine werden wir das nicht machen. Wir sind doch nicht verrückt. Wir suchen immer noch einen Partner, um die ersten 3 verlustreichen Jahre zu überstehen. Danach kann ein ISP sehr profitabel werden
Smallcap-Investor: Wie sieht es bei
Innostar aus ?
Dr. Phan: Das sind unsere Partner bei China Online. Sie arbeiten mit uns zusammen. Aber Schritt für Schritt, denn auch sie können es sich nicht leisten Geld zu verlieren. Unsere Option in dem Innostar Joint-Venture gilt immer noch.
Smallcap-Investor: Wie gehen Sie allgemein bei ihren Beteiligung in China vor ?
Dr. Phan: Wir lassen die Chinesen so arbeiten wie sie wollen. Das ist das Geheimnis. Wir geben ihnen Geld und stellen diesen Talenten ein Management z.B. einen CFO beiseite, der ihnen die lästigen Dinge wie
Buchhaltung abnimmt.
Smallcap-Investor: Sie hatten angekündigt, dass Hartcourt einen Merger mit einer Firma aus Hongkong durchführt. Außerdem überlegen mit Sinobull anstatt einem IPO einen Merger durchzuführen. Wie ist der
derzeitige Stand ?
Dr. Phan: Es finden Gespräche statt. Da bei beiden Mergern der Aktienkurs des Partnerunternehmens drastisch nach unten fiel, hätten wir für Sinobull weniger als 100 Mil-lionen Dollar bekommen. Erst wenn deren Aktienkurs wieder steigt verhandeln wir wieder, ansonsten machen wir lieber ein IPO. Für Sinobull haben ausserdem jetzt auch noch einen 2. Interessenten. Ich will für meine Aktionäre möglichst viel herausholen. Beim Hartcourt Merger ist das im Grunde das gleiche. Hartcourt soll in möglichst vielen Ländern gehandelt zu werden. Man muss Hartcourt 24 Stunden handeln können. Das ist unsere Strategie.
Smallcap-Investor: Was erwarten Sie von der Berufung von Professer Zhao in den Vorstand von Hartcourt ?
Dr. Phan: Professor Zhao ist einer der angesehensten Männer Chinas. Er ist der Vize-Dekan einer der besten Universitäten und hat früher mit dem Premierminister Chinas zusammengearbeitet. Der Premier Minister war sein Vorgänger auf dem Posten. Prof. Zhao hat hervorragende Kontakte. Ins Detail möchte ich aber nicht gehen.
Smallcap-Investor: Wer besitzt das grösste
Aktienpaket von Hartcourt ?
Dr. Phan: Ich hoffe mal das bin ich. Meines Wissens halte ich 20% an
Hartcourt und mir ist niemand bekannt, der mehr Aktien besitzt.
Smallcap-Investor: Da sie keine 50% an Hartcourt besitzen ist die Gefahr einer Übernahme gegeben. Allerdings haben sie sich mit Vorzugsaktien das Recht eingeräumt, die Mehrheit der Direktoren selbst
ernennen zu dürfen. Somit ist die Kontrolle über Hartcourt ihnen nicht zu nehmen.
Dr. Phan: Nein, ich übe keine Kontrolle aus. Ich sehe es so, dass ich die Möglichkeit habe meine Vision zu erfüllen.
Smallcap-Investor: Und wann glauben Sie wird diese Vision erreicht
sein ?
Dr. Phan:
So ungefähr in 2-3 Jahren, so lange sollten die Anleger unsere Aktien
auch halten.
Smallcap-Investor: Und dann wollen Sie zurücktreten?
Dr. Phan: Wie ich bereits andeutete habe ich eine Mission zu erfüllen. Sobald ich merke, dass ein anderer dazu fähig ist, so hat er
meine volle Unterstützung. Wenn ich ihn schon morgen finde, wenn morgen ein großes Talent kommt welches die Kriterien
erfüllt, so ziehe ich mich schon morgen zurück. Ein wenig Platz gemacht habe ich bereits. Den Titel des CEO habe ich vor kurzem an Charlie Yang übergeben. Charlie kann sich nun bewähren. Ich prüfe nun ob er es ist der mich ersetzen wird.
Smallcap-Investor: Wie sieht Ihre Vision aus?
Dr. Phan:: Hartcourt produziert Internetfirmen. Wir wissen genau was wir wollen. Wir werden mit Sinobull die Bloomberg Chinas haben, unser Broadband ISP die AOL Chinas und Hartcourt Capital soll so etwas wie die General Electric von China werden. Unsere Aktionäre sollen bitte bedenken, dass es auf diesem Weg immer wieder Schwierigkeiten und Verzögerungen geben wird. Aber wir werden unsere Ziele erreichen. Nicht morgen, aber wir werden. wenn man so konfus seinen laden führt muß es ja krachen.
kein plan, kein konzept,nur schöne worte.....und alles wird auf dem rücken der aktionäre ausgetragen.
wenn das nächste ergebniss noch schlechter ausfällt als die vorherigen, und davon gehe ich aus, dann werden die alten tiefs wieder getestet.
das carrie den laden bald wieder verlässt, davon bin ich schon lange ausgegangen.

und diese werden dann auch noch an die neuen beteiligungen,wenn es denn welche gibt, verschenkt.gibt bei den altaktionären der "neuen firmen" nach einer gewissen zeit immer wieder einen schönen geldregen.man meint gerade, die arbeiten hand in hand.

Rote Karte für die Fifa!
Menschlich und moralisch völlig daneben das Verhalten von Horst R. Schmidt, 1. Vizepräsident der "Fifa Fußballweltmeisterschaft Deutschland 2006." Um was es geht (Quelle der folgenden Briefe: Netzeitung): Guido Westerwelle hatte von der Fifa das Angebot erhalten, kostenfrei Ehrenkarten für die Fußball-WM zu beziehen. Seine Antwort:
"Haben Sie vielen Dank für Ihren Brief mit dem freundlichen Angebot für Ehrenkarten für die Fußball-WM. Ich werde von dem Angebot keinen Gebrauch machen. Mir persönlich reicht es, vor dem Fernsehschirm mit der deutschen Fußballnationalmannschaft mitzufiebern. Auf diesem Weg möchte ich schon mal alles Gute für die deutschen Spiele und für unsere WM insgesamt von Herzen wünschen. Es wäre interessant zu wissen, ob das Angebot für Ehrenkarten ausschließlich dem genannten Personenkreis vorbehalten bleibt. Da ich zum Beispiel sehr engagierter Unterstützer einer Tagesklinik für krebskranke Kinder in Berlin bin, wäre ich interessiert zu erfahren, ob ein Besuch für ein solches Kind möglich wäre. Ich wäre Ihnen dankbar, wenn mir mitgeteilt werden könnte, ob diese Übertragung möglich ist oder nicht."
Ich bin zwar nicht unbedingt der weltweit größte Guido-Westerwelle-Anhänger ... aber dieser Brief verdient Anerkennung. Und wer könnte seine Bitte, diese Ehrenkarte zugunsten eines krebskranken Kindes zu nutzen, schon abschlagen?
Besagter Horst R. Schmidt könnte das. Und tat es auch.

seitdem andi sich von der hartcourt-altlast befreit hat und er nicht mehr krampfhaft pushen muß,liegt er mit seinen prognosen doch goldrichtig.also, was soll das? kaum sagt einer die wahrheit,wird er als ketzer verdammt

damit hätte man schon ein vermögen verdienen können.

Smallcap-Investor: Wie viele IPOs planen Sie in der nächsten Zeit?
Dr. Phan: Wir planen 4 IPOs Streamingasia im 1. Quartal 2001, Sinobull im 2. Quartal 2001, Hartcourt Capital und ein Broadband ISP in 2002.
Smallcap-Investor: Ihren Angaben nach ist Sinobull 500 Millionen Dollar wert. Worauf basiert diese Kalkulation?
Dr. Phan: Im Februar hat Merril Lynch aufgrund des Vergleichs mit China.com den Wert von Sinobull auf 1,2-1,5 Milliarden geschätzt. China.com hatte bei einer Marktkapitalisierung von 3 Milliarden,
weniger Einnahmen als Sinobull und operiert in Hongkong, wir aber ich China. Nach dem "Crash" schätzte man neu und errechnete 500 Millionen Dollar.
Smallcap-Investor: Und welchen Erlös erwarten Sie persönlich ?
Dr. Phan: Je mehr Akquisitionen hinzukommen, um so grösser wird der Wert. Schauen sie sich die Kooperationen an. Beispielsweise ist Sinobull seit kurzem der Market Represantive von Mahadev und
Thinkersgroup. Mit Mahadev haben wir vereinbart im ersten Jahr einen Umsatz von 0,5 Millionen und im 2.Jahr 2 Millionen zu erzielen. Sinobull wächst aber jeden Tag weiter und ich hoffe auf mehr als 500 Millionen Dollar.
Smallcap-Investor: Streamingasia soll 100 Millionen Dollar wert sein, aber für die 50%ige Beteiligung an Streamingasia haben Sie nur 0,65 Millionen gezahlt...
Dr. Phan: Für Streamingasia schliessen wir bedeutende strategische Partnerschaften ab, die noch nicht bekanntgegeben wurden. Ausserdem wird noch die Beteiligung an einer Webcastingfirma, der Beijing Total
Solution System, die alleine 3 grosse TV-channels besitzen, hinzukommen. Insgesamt werden wir in Streamingasia 4 Millionen $ investieren. Die Partnerschaften und Beijing TSS werden den chinesischen Markt für Streamingasia öffen und so erwarten wir für Streamingasia auch mehr als 100 Millionen Dollar. Denken sie nur an die Möglichkeit Videos als Attachment per Email an ihre Freunde zu versenden. Wir haben gerade den Beta Test abgeschlossen und im Januar wird die Markteinführung kommen.
Smallcap-Investor: Sie erwähnten das IPO eines Broadband IPS. Was ist von der Beteiligung an dem ISP China Online zu erwarten ? Immerhin werden Sie mindestens 50 Millionen $ zahlen müssen und können sich die Chinesen die Breitbandanschlüsse überhaupt leisten?
Dr. Phan: China Online hat 105 Lizenzen in 105 Städten über ganz China verteilt, dazu 80 lokale Portale. China Telecom macht für uns die Infrastruktur und wir machen den Markt. Bedenken sie, dies ist ein riesiger Markt. Alleine die 10 grössten Städte Chinas haben 180 Millionen Einwohner. Mehr als doppelt so viele wie Deutschland. Die Leute auf dem Land, für die wird Internet zu teuer sein, aber der
Markt in den Städten ist riesig. Wir diskutieren aktuell mit China Telekom, um die geplanten Anschlussgebühren von 30$ pro Monat abermals zu reduzieren.
Smallcap-Investor: Und China Online macht 20 Millionen $ Verlust im Jahr. Wie wollen Sie damit umgehen ?
Dr. Phan: Alleine werden wir das nicht machen. Wir sind doch nicht verrückt. Wir suchen immer noch einen Partner, um die ersten 3 verlustreichen Jahre zu überstehen. Danach kann ein ISP sehr profitabel werden
Smallcap-Investor: Wie sieht es bei
Innostar aus ?
Dr. Phan: Das sind unsere Partner bei China Online. Sie arbeiten mit uns zusammen. Aber Schritt für Schritt, denn auch sie können es sich nicht leisten Geld zu verlieren. Unsere Option in dem Innostar Joint-Venture gilt immer noch.
Smallcap-Investor: Wie gehen Sie allgemein bei ihren Beteiligung in China vor ?
Dr. Phan: Wir lassen die Chinesen so arbeiten wie sie wollen. Das ist das Geheimnis. Wir geben ihnen Geld und stellen diesen Talenten ein Management z.B. einen CFO beiseite, der ihnen die lästigen Dinge wie
Buchhaltung abnimmt.
Smallcap-Investor: Sie hatten angekündigt, dass Hartcourt einen Merger mit einer Firma aus Hongkong durchführt. Außerdem überlegen mit Sinobull anstatt einem IPO einen Merger durchzuführen. Wie ist der
derzeitige Stand ?
Dr. Phan: Es finden Gespräche statt. Da bei beiden Mergern der Aktienkurs des Partnerunternehmens drastisch nach unten fiel, hätten wir für Sinobull weniger als 100 Mil-lionen Dollar bekommen. Erst wenn deren Aktienkurs wieder steigt verhandeln wir wieder, ansonsten machen wir lieber ein IPO. Für Sinobull haben ausserdem jetzt auch noch einen 2. Interessenten. Ich will für meine Aktionäre möglichst viel herausholen. Beim Hartcourt Merger ist das im Grunde das gleiche. Hartcourt soll in möglichst vielen Ländern gehandelt zu werden. Man muss Hartcourt 24 Stunden handeln können. Das ist unsere Strategie.
Smallcap-Investor: Was erwarten Sie von der Berufung von Professer Zhao in den Vorstand von Hartcourt ?
Dr. Phan: Professor Zhao ist einer der angesehensten Männer Chinas. Er ist der Vize-Dekan einer der besten Universitäten und hat früher mit dem Premierminister Chinas zusammengearbeitet. Der Premier Minister war sein Vorgänger auf dem Posten. Prof. Zhao hat hervorragende Kontakte. Ins Detail möchte ich aber nicht gehen.
Smallcap-Investor: Wer besitzt das grösste
Aktienpaket von Hartcourt ?
Dr. Phan: Ich hoffe mal das bin ich. Meines Wissens halte ich 20% an
Hartcourt und mir ist niemand bekannt, der mehr Aktien besitzt.
Smallcap-Investor: Da sie keine 50% an Hartcourt besitzen ist die Gefahr einer Übernahme gegeben. Allerdings haben sie sich mit Vorzugsaktien das Recht eingeräumt, die Mehrheit der Direktoren selbst
ernennen zu dürfen. Somit ist die Kontrolle über Hartcourt ihnen nicht zu nehmen.
Dr. Phan: Nein, ich übe keine Kontrolle aus. Ich sehe es so, dass ich die Möglichkeit habe meine Vision zu erfüllen.
Smallcap-Investor: Und wann glauben Sie wird diese Vision erreicht
sein ?
Dr. Phan:
So ungefähr in 2-3 Jahren, so lange sollten die Anleger unsere Aktien
auch halten.
Smallcap-Investor: Und dann wollen Sie zurücktreten?
Dr. Phan: Wie ich bereits andeutete habe ich eine Mission zu erfüllen. Sobald ich merke, dass ein anderer dazu fähig ist, so hat er
meine volle Unterstützung. Wenn ich ihn schon morgen finde, wenn morgen ein großes Talent kommt welches die Kriterien
erfüllt, so ziehe ich mich schon morgen zurück. Ein wenig Platz gemacht habe ich bereits. Den Titel des CEO habe ich vor kurzem an Charlie Yang übergeben. Charlie kann sich nun bewähren. Ich prüfe nun ob er es ist der mich ersetzen wird.
Smallcap-Investor: Wie sieht Ihre Vision aus?
Dr. Phan:: Hartcourt produziert Internetfirmen. Wir wissen genau was wir wollen. Wir werden mit Sinobull die Bloomberg Chinas haben, unser Broadband ISP die AOL Chinas und Hartcourt Capital soll so etwas wie die General Electric von China werden. Unsere Aktionäre sollen bitte bedenken, dass es auf diesem Weg immer wieder Schwierigkeiten und Verzögerungen geben wird. Aber wir werden unsere Ziele erreichen. Nicht morgen, aber wir werden. machen heute auch einen gewaltigen satz, ist aber schon das dreifache gehandelt bei insgesamt weniger shares.
bei hrct fehlt wohl noch der rechte glaube.
....man achte auf den letzten satz des artikels.ähnlichkeiten mit noch bestehenden firmen sind in diesem falle nicht rein zufällig.
OTC-Bulletin-Board
Am OTC-Bulletin-Board, das mit dem deutschen Telefonhandel vergleichbar ist, notieren zur Zeit etwa 20000 Werte von kleinen (Small Cabs) und kleinsten Unternehmen (Penny Stocks), von denen ca. 60 Prozent in den börsentäglich erscheinenden Pink Sheets gelistet werden. Die Pink Sheets sind dabei nichts weiter als ein internetgestützter Notierungsdienst, für den so gut wie keine Auflagen gelten.
Die am OTC-BB gelisteten Unternehmen unterliegen mittlerweile der Verpflichtung quartalsweise zu berichten, woraufhin rund 3000 Firmen ihre Aktien vom Handel zurückzogen, weil sie den Anforderungen nicht nachkommen konnten. Die Kurse solcher Unternehmen werden nun in den Pink Sheets veröffentlicht. Ansonsten sind Informationen nur über das Emissionsprospekt erhältlich, das zwar bei der SEC hinterlegt ist, aber dort nicht auf die inhaltliche Richtigkeit überprüft wird. Auch sonst unterliegen die am OTC-BB gelisteten Unternehmen keinen besonderen Zulassungsvoraussetzungen und auch im Regelfall nicht der Börsenüberwachung durch die SEC. Selbst ausländische Unternehmen, die nicht nach US-Vorschriften bilanzieren, können notiert werden.
Weitere Nachteile am OTC-BB
Weiterer Nachteil dieses Handelssegments ist die eingeschränkte Handelbarkeit. Der Tagesumsatz von Small Cabs oder Penny Stocks ist häufig so gering, daß ein Anleger tage- und wochenlang keinen Käufer findet. Zudem reagieren die gelisteten Aktien sehr empfindlich auf negative Informationen, wodurch Kursschwankungen von bis zu 80 Prozent an einem Tag keine Seltenheit sind.
Unternehmen, die in Penny Stocks emittieren und in den Pink Sheets gelistet werden, haben oft keine andere Möglichkeit der Kapitalbeschaffung. Sie erfüllen nicht einmal die minimalen Anforderungen des NASDAQ-Marktes. So kommt es nicht selten vor, daß sich in den Pink Sheets Unternehmen finden, die ihre Geschäftstätigkeit eingestellt haben, sich in Konkurs oder Liquidation befinden oder nur eine Briefkastenfirma sind.
Bei Werten auf den Pink Sheets stellt wie bei OTC-Titeln meist nur ein Marketmaker An- und Verkaufskurse. Die Differenz zwischen diesen beiden Preisen beträgt dabei aber nicht selten mehr als 100 Prozent. Die Chancen auf einen Gewinn schwinden bei diesen Spannen, unabhängig von der Unternehmensqualität, auf ein Minimum.
Aufgrund der hohen Anzahl schwarzer Schafe sind OTC- und Pink-Sheet-Aktien extrem riskant.
Der Weg vom OTC-BB an die deutsche Börse
Der Initiator erwirbt am OTC-BB einen Firmenmantel, also ein Unternehmen das keinen Geschäftsbetrieb oder die Tätigkeit eingestellt hat, für einige Hunderttausend Dollar. Im Besitz nun nahezu aller Aktien des Unternehmens wird ein Geschäft, z.B. eine deutsche GmbH, eingebracht, woraufhin der Mehrheitsaktionär weitere Anteile erhält. Auf dem Markt wird dann ein großer Teil der noch im Streubesitz befindlichen Papiere aufgekauft. Die hohe Nachfrage bei gleichzeitig schwindendem Angebot ermöglicht den Kurs gezielt in die Höhe zu treiben. Unter Umständen entsteht so ein astronomischer Börsenwert, obwohl die Firma noch gar keinen oder nur sehr wenig Umsatz erzielt. Um die Aktien optisch billig erscheinen zu lassen, werden sie gesplittet.
Früher wurden die Papiere dann in den deutschen Freiverkehr eingeführt und mit dem Etikett "Neuemission" verkauft. Seit dem Herbst 1999 schieben zumindest die Regionalbörsen diesem Treiben einen Riegel vor. In Frankfurt hingegen werden weiterhin Titel des OTC-BB gehandelt. Somit steht den Finanzjongleuren auch weiterhin die Möglichkeit offen ahnungslose Anleger abzuzocken.
Daneben werden solche Anteilsscheine auch von Telefonverkäufern mit sensationell klingenden Aussagen unter das Anlegervolk gebracht. Oft wird dabei fälschlicherweise der Handel am OTC als "Nasdaq", "Nasdaq-OTC" oder "Nasdaq Bulletin Board" bezeichnet.
Beispiele der jüngsten Zeit sind neben Eurogas und TurbodyneAquaplan. Im Dezember 1998 kündigte die Firma den Gang in den deutschen Freiverkehr an. Unternehmensziel sollte die Herstellung von Anlagen zur Zucht von Süßwassershrimps in der texanischen Wüste sein. Das Unternehmen hatte bis dahin zwar noch nahezu keine Umsätze erzielt, aber Aktien im Wert von mehr als eine Milliarde Mark im Umlauf. Heute ist die Firma in Konkurs. Auffällig ist die Ähnlichkeit der Kursverläufe bei vielen dieser Aktien: nach einem starken Anstieg erfolgt meist ein dramatischer Verfall.
