Chicago seeks city-wide wireless Internet access

Chicago could soon become the world's largest Internet cafe now that the city hall has put out a request for bids to build a city-wide wireless Internet system.
The goal is to provide inexpensive -- or even free -- Internet access to all residents in order to help Chicago bridge the digital divide, Mayor Richard Daley said in a statement Tuesday.
"In technology, as in too many other areas of our society, there's a wide gap between the haves and have-nots," Daley said. "It's known as the digital divide - and the people on the wrong side of the divide generally have lower incomes and less education."
According to one estimate the city cited, even though Internet use has been on the rise among most Americans, 80 percent of households with incomes below 50,000 dollars a year remain unconnected.
The city of Chicago will offer the long-term use of its infrastructure, such as street lights and lamp poles to a private firm or consortium to use to set up the antennas used to broadcast a high-speed wireless network.
The provider would have to: commit to keep rates low; provide access even in the city's poorest neighborhoods; offer free access in schools, public parks and other destination "hot spots"; and support digital inclusion projects to make computers more widely available to low-income residents.
Chicago was the first big American city to have free wireless Internet access throughout its public library system. Other public "hot spots" currently include Millennium Park, the Cultural Center and Daley Plaza.
"When we make modern computer and Internet technology available across Chicago, we are giving every person in Chicago the same chance for a good life," Daley said.
"We're improving our children's education. We're working to end poverty. We're creating a more modern, sophisticated workforce. And, most important, we're creating hope and opportunity."

Wireless Gambling Co. Gets Nevada Backing

LAS VEGAS — The company that led a 2005 legislative effort to allow wireless gambling in Nevada won a recommendation Wednesday from regulators for licensing needed to market its hand-held, mobile gambling devices in the state.
The state Gaming Control Board recommended Cantor Gaming as the state's first licensed manufacturer and distributor of the devices. The board's parent state Gaming Commission will have final say on the licensing at a May 18 meeting.
The board endorsed Cantor after Joe Asher, managing director and vice president of the company, said Cantor is ready to invest "significant" capital to install mobile gambling systems in Nevada hotel-casinos.
Asher also said the devices should attract gamblers in their 20s and early 30s who have grown up with video games, cell phones and other devices, as well as older gamblers who use such technology.
Regulations passed in March, based on the 2005 legislation, made Nevada the first in the nation to approve use of handheld devices for gambling in any public area of the state's casinos, such as restaurants and poolsides.
Rules allow a range of games, including bingo, poker, blackjack and horse race betting. Use of the devices in hotel rooms and other places that can't be supervised is prohibited.
Advocates say the move will better use resort space that is increasingly being devoted to non-gambling activities, such as shopping, dining and clubbing.
But they admit it's not likely to lead to the lucrative world of Internet betting, which is barred by state and federal law.
Major players Harrah's Entertainment Inc. and MGM Mirage Inc. and neighborhood casino operator Station Casinos Inc. say they are taking a wait-and-see approach as the regulations and the technology evolve.
Boyd Gaming Corp., whose holdings include the Stardust in Las Vegas and co-ownership in the Borgata in Atlantic City, N.J., has said it is unsure about demand for hand-held gadgets, despite having electronic bingo devices at halls in its Las Vegas properties.
Cantor G&W (Nevada) LP is an affiliate of Cantor Fitzgerald, the New York-based financial services company. It plans to use bond-trading technology, which has been used for mobile gambling devices in Britain since September 2003.
Others interested in the technology include Louisiana-based Diamond I Inc., which has developed its own device; Reno-based International Game Technology, the world's largest manufacturer of slot machines; and FortuNet Inc., a Las Vegas-based gambling device manufacturer.
Manufacturers say biometric fingerprint readers and regulations limiting use to public areas will keep devices out of the hands of minors.

The conversion price per share shall be the lower of (i) $0.07 or (ii) 65% of the average of the three lowest intra-day trading prices for our common stock for the 20 trading days prior to, but not including, the conversion date as reported by Bloomberg, L.P. on any principal market or exchange where our common stock is listed or traded. The conversion price is adjustable in the event of any stock split or reverse stock split, stock dividend, reclassification of common stock, recapitalization, merger or consolidation. In addition, the conversion price of the secured convertible notes will be adjusted in the event that we spin off or otherwise divest ourselves of a material part of our business or operations or dispose all or a portion of our assets. Our obligation to repay all principal, and accrued and unpaid interest under the convertible notes is secured by all of our assets pursuant to a certain Security Agreement dated as of April 12, 2006.
We issued an aggregate of 600,000 Class A common stock purchase warrants to the investors, representing and 2 Class A common stock purchase warrants for each one dollar of the purchase price of the secured convertible notes ($300,000). The Class A warrants are exercisable until five years from the closing date at an exercise price of $0.07 per share. The exercise price of the Class A warrants will be adjusted in the event of any stock split or reverse stock split, stock dividend, reclassification of common stock, recapitalization, merger or consolidation. In addition, the exercise price of the warrants will be adjusted in the event that we spin off or otherwise divest ourselves of a material part of our business or operations or dispose all or a portion of our assets.
We are obligated to file a registration statement registering 150% of the shares of our common stock issuable upon conversion of the secured promissory notes and 100% of the shares issuable upon exercise of the Class A warrants no later than 35 days after the closing date and cause it to be declared effective within 120 days after the closing date. If we do not meet the aforementioned filing and effectiveness deadlines, we shall pay to each investor an amount equal to 2% of the purchase price of the secured convertible notes remaining unconverted and purchase price of the shares of our common stock issued upon conversion of the notes for each 30 days or part thereof of the pendency of such non-registration event.
