The Company that Xynergy was referring to was Rich Corp., which is affiliated with ACDU. That's why ACDU issued an 8-K about Xynergy's offer and inferred the valuations were unreasonable.

I talked to people at the target, Rich Corp. in Nicaragua. I reviewed another company's SEC filings related to the Xynergy pump which, although they didn't mention any names, warned about the valuations. I then contacted the people in Nicaragua and learned that they never had more than a coffee chat. No offer. No numbers. No proposal. No LOI. No deposit. No escrow. But if you read Xynergy's PR it sounds like a done deal.
Looks like that was the prior name, and I apologize for starting any rumor to that effect.
Cup of coffee: Carlos and his crew of stock promoters went to Nicaragua, sat down at a coffee with the wood company, expressed a mere interest in buying the company, then issued a PR about billions of dollars worth of wood. No proposal, no LOI, no price offer, no escrow, no nothing. Just a coffee.
So for the cost of a plane ticket and a coffee, they sold about $300,000 in stock during a single day.
That's what it has to do with Xynergy.

It's very well possible that this shell was acquired by Mr. Weiss to provide a vehicle for his investor group to enter into these large projects. I don't know if he's going to "PR" these deals or otherwise "pump" them, but I think over the next two months there's going to be developments. You have no idea who this man is, but after thoroughly researching him, I can say he's no minor player.
I wonder if they're going to reverse split before the pump. Perhaps that's the big delay here. Where will the energy saving car device go? And the billions of dollars in wood?
Looks like the pump is going to involve deraquel.com. They're already gearing up the website, folks, for the big pump a loo. They've got a link to stock quote and when you click it, it goes to a parked page, internetstockmarket.com .

To be honest, I've grabbed myself a million shares. If they issue a lying pump and pay the big promo team, I'll gladly sell for a 5-10 bagger. But she is what she is, an outright fraud.
Well last time they had a cup of coffee with a tree company and issued a billion dollar P.R., so this time they might buy a Big Mac and say they're buying McDonalds.
It's not "toxic financing," it's nominee financing. These people give shares to their friends. There will be little, if any, benefit to the company. In addition, even if they took a fat check for some worthless pre-pump paper, look at their financials, they loaded up debt to the insiders so they can siphon off any cash that comes their way.

Dilution and paid promo will come with any PR they issue. That's the game, sell sell sell. It'll all be done in one or two days and the price will come tumbling down all day long.
