A company doesn't have to have shares authorized to sell. A company can increase the AS any time they want with no authorization from FINRA or anyone. The only thing they have to do is notify FINRA of the change in the
AS after they do it. From the AS the shares are issued. They can also set the AS to unlimited shares. A few companies have that.
OS contains many things. It could also contain shares put in escrow for something and not issued or used at the moment.
All shares in OS are not sold to public.
Shares in AS can not be sold till they are issued. AS is the total amount of shares they can put on the market.
There is no limit to how many shares a company can put in the AS. Some have it at unlimited. About 4 companies have it in the trillions. And they don't need approval to put the share count wherever they want. They just have to notify FINRA after they do it.
