I know the Law firm very well. She was probably helping out one of the partners. Zero correlation here. Your looking to deep into this. Taft used to be Shefsky & Froehlich and Shefksy was the law firm that took Universal Access public.
I live in Chicago and the law firm who made the filings Taft has a large Gaming practice amongst other areas. Their is zero correlation between this company and gaming.
I disagree a little. This team would never do a pure equity deal at these prices. This will be a convertible preferred instrument. Any of us here that are accredited investors can call Regiment and ask for the PPM...
I would assume they are raising $22MM and most of that will be for future acquisitions. In my opinion you would be raising that as debt and some sort of preferred instrument at future valuation.
They are raising a total of $22MM I'm sure the mini on the raise is the $12MM everyone keeps talking about.
In 2006 I invested into a little Bulletin Board stock called Capital Growth Systems. Capital Growth became Global Capacity...I've seen these players create something very similar to what they are trying to do again. What I also like in the filing is they retained a Broker Dealer.

OneMind was a spinoff of a very successful company called Worldsensing. At the time Worldsensing had $60MM invested in all of their technologies. At that time the largest investor of Worldsensing was Cisco Ventures.
We don't want "Hardware". Onemind is strictly a "Software" company light and sleek. They go up against hardware companies that's why they survive. They are agnostic and sit on top of any hardware.

I don't work for the company...but I've been in the industry a long time. But the company cannot sell shares...can someone be converting? maybe? Or they may have issued more shares? No idea but the company cannot sell.
The company isn't selling shares. The increase in shares are restricted stock.

In 2007 I invested into a deal that was led by the Durham Black Team. They acquired 4 companies and raised $75 MM. Eventually the company was sold for $250MM. These guys will make this very exciting....
