I was right there with you! I would love for that to happen again! It could, but Andy is going to have to stop diluting, clean up the Convertible Notes, and find some bigger, more exciting opportunities.
Anshu was not diluting during the time that the company had that massive run. He also cleared up all of the Toxic Debt, and Law Suits, which is what really sent VRUS to the moon! That and the speculation of what was to come. The playbook is there for Andy, if he wants to follow it.
I agree this is an eerily similar time to just before the run, but the investor sentiment was much higher and we had a cult line following! I was one of them and I profited mightily. I also somewhat lost my @$$ on those gains later on, when Anshu started stealing from us…but yeah it could happen!
Will it?…time will tell, but the O/S is nearing that bloated unsexy phase…so it’s almost now or never, imo!
It’s worth watching for me, but I don’t have a position yet. I’ll post here, if/when I decide to buy back in. GLTY

It could happen, but it’s a lottery ticket at best. There is so much toxic debt out there, and the investors all bailed. Anyone with shares, is converting, selling, and never looking back. This is likely what drove the pps to nothing. The path forward is unknown. CBD is not the answer and for the life of me I do not know what a CBD waffle is, nor have I ever seen one.
Be careful here. I think the same as you and I thought the same thing when the float was 5m…now it’s 10x that and likely much higher.

This definitely smells like dilution. Forget low float volatility…nothing else matters if there is dilution occurring.
Prob diluting current shareholders to pay the settlement…lmao!!!!…but seriously, nothing would surprise me with this stock.
It doesn’t matter unless its proved that they falsified the balance sheets, which is a heavy proof of burden for a penny stock.
Why would any big company buy-out VRUS? What would be the draw? CBD? CBD is sold in every convenience store in America. VRUS could be a decent small business, but right now it’s an idea, and proof of concept of the new business is needed.
Yes, I can think of lots of reasons why VRUS is ignored.
1. Recent history isn’t good
2. Lawsuits
3. Silence
4. Company was in debt
5. Recent R/S
The PPS already reflects all of this.
But good traders know that tiny floats and tiny pps stocks can run if the wind blows in the right direction. If there is a hint of good news, traders will flock to this and it will go parabolic in the blink of an eye. You won’t be able to catch it. Only way to ride this wave is to be in when it goes! IMO

What’s up Wood! Yes Verus is very likely to always be a going concern. This is a swing trade for me on a very short SL, pure and simple. My philosophy’s and trading styles have evolved a lot and I will continue to evolve. I am just here for the catalysts while it’s a low float. I only care about what the stock does, and care not about the business, except where it relates to SP movement.
I will post DD and trade sentiment, but my positions are fluid and I give no trading advice.
I do love the possibility of a Short Term Rip for a penny stock with 17M O/S…this SS is such a rare anomaly, that I can’t ignore it…if anyone else knows of other tiny float penny tickets with Revs, nearing profitability, please DM me and I will be there in a second.
I never understood the movement that low goat stocks can make, but they are fast up and fast down! The key is to anticipate the catalysts and be in before the move and get out before the drop! -IMO

I bought back in yesterday for a lotto swing. I can’t ignore a potential pop on a $.03 stock with $17m O/S, even if it’s VRUS, lol.
This sort of reminds me of late 2018 clearing up those law suits and conv debt, but at 1/10th the float!
EPS was ($.02), that’s a vast improvement. I’ve been observing and I like that Andy is keeping his head down and trimming the fat. When this comes out the other side of these lawsuits, if revs continue, we should be ready to reverse!

On August 27th, 2021 Regen Biopharma, Inc. (the “Company”) filed its quarterly report on Form 10-Q for the period ended June 30, 2021. As of the date of that filing the Company is no longer delinquent with regard to reporting obligations under the Securities and Exchange Act of 1934.

With regard to the remaining convertible debt outstanding ( “Remaining Notes”) it is the Company’s intent to enter into negotiations with the remaining noteholders to settle such obligations under such terms and conditions as to eliminate or severely limit potential dilution resulting from conversion of the Remaining Notes (“Settlement”).

Wood please explain your Valuation method. I respect that you’ve been around a long time, but I highly disagree with the plausibility that Verus is fairly valued below a $3M Mkt Cap (though it will always fluctuate)
None of what I’m about to explain really matters in the OTC and Valuation really only matters in the case of Acquisition or Sale of the company (pls keep that in mind) - none of this is investment advice
If you take away the growth status (which I disagree with) and value the business strictly as a Food Wholesale Distributor - even on the low end of Simple Valuation, VRUS is undervalued.
Simple Valuation = a multiplier of Gross Revs or Net Sales (or EBITDA or SDE)
(non-growth) Wholesale Distributor Multipliers are as follows:
$21M Annual Gross Revenues
Low - 0.17x = $3.57M ($.2975 per share)
Avg - 0.46x = $9.66M ($.8050 per share)
High - 1.38x = $28.98M ($2.415 per share)
Growth Company Multipler is 3x-5x Gross Rev and can be as high as 12x in Food Distribution.
3x = $63M ($5.25 per share)
5x = $105M ($8.75 per share)
12x = $252M ($21 per share)
Current Mkt Cap is $3.02M
The (non-growth) calculations are a worst case scenario, based on the argument that Verus isn’t a growth company, which I don’t agree with either. Now I agree, that you could dig deep into the numbers and say Verus isn’t profitable, but no one is going to do that with a Small Business whose revenue lies solely on Food Distribution Contracts.. Simple Valuation is all that will be done if Verus were to be acquired, because a company would only be interested in buying the food contracts (Revenues) and would most likely eliminate the operations and associated costs.
I’m no big fan of Verus long term either, but even I see Verus as a Growth Company (albeit a resetting one). But to deliver $21M in a Pandemic Year where travel was restricted and shipping was disrupted, is impressive by my own admission...and no one is going to fault any company who has growth in a year plagued with Pandemic head winds.
There is little argument that would be supported claiming that Verus is Overvalued in its current state. This is what I have been saying since the RS, which created a whole new dynamic of being a volitile Low Float Penny Stock trading on the OTC with 12M O/S. I do this Valuation all the time to find value stocks, but it’s not usually relevant in OTC Penny’s as they tend to trade more on Mkt Sentiment and Emotion.
VRUS will pop and run north of some of these numbers, but it will always fluctuate.
Purchase value of Verus is prob in $2-$5 range which is all Valuation Calculation is good for on the OTC (IMO).
These are my opinions - My trade basis is supported by these numbers, but I’m here based on 12M O/S and knowing the history of this company’s massive runs from similar levels.

I trade lots of stocks, but I keep a close on eye on all of them.
VRUS feels like I’m hate f***ing an ex that I outgrew years ago, but still fun to flip once in a while. I have absolutely outgrown VRUS, which is why it pains me to watch their BS, so I call them out on it.
However, there is a window of opportunity here, while the float is low for this thing to strike like a match, it just needs a little help from the inept mgmt. I’m pushing them for Q4 Revs b/c (1) it’s the right thing to do and (2) I don’t trust this mgmt team to leave the float low for long (they can’t handle temptation)...and Long on VRUS, I am not. So time is of the essence here!
Call it Value Trading or Swing Trading, but I’m basically Low Float Catalyst Hunting and I think it’s got a great run in our, if we can give mgmt a nudge!

This is a Market Correction. There is nothing behind this run, except a low float stock that’s not currently being manipulated and is sitting considerably undervalued.
We aren’t waiting for Anshu to save us this time around. VRUS is correcting despite his ineptitude, or you could argue that it’s finally correcting because he allowed the stock to pay for his failed business ventures. He erased all signs of his failure and the stock got a reset, albeit at the cost to shareholders.
BUT, right now, it’s free to correct, which is what has been happening and it will continue to grind without news, but it will Rip, if we can get a little news out of him.
The 10K should send it! I don’t expect him to be smart enough to PR any of these catalysts ahead of time...So If Anshu does the bare minimum required, and files the K, I think we’ll be very happy here!

$VRUS is up 100% since Feb 1st. It hasn’t done that in a very long time. This is the start of the correction. The market will catch on
It makes no diff what they sell to make revs at this point...the stock is way undervalued.
The Mkt Cap is $3M and Revs are $20M+ for 2021. The actual number will be announced in the 10K, prob next week.
Set a simple price target by using a .5x or 1x Revenue Multiplier. Even that is highly conservative, especially if debt is all but gone, but if you need that to rationalize a trade, then there you go.
The OTC and low float with any small catalyst can send VRUS soaring far beyond any reasonable valuation. This is especially true when it initially corrects...its likely to over correct initially as buyers chase it up!
Which is why I say the business mostly doesn’t matter right now.

Markets Ebb and Flow. That’s why VRUS is moving. A stock can only go in one direction for so long, and it’s been going down for almost 10 mos. Stocks always correct, regardless of the reason they moved. Read some of my recent posts. I’ve laid it all out as to what was going to happen here.
This stock can now move with relative ease being that there are only 12M shares outstanding. Anshu used the stock to pay off debt and then wiped the slate clean with a RS. Love it or hate it...it happened and it’s done! VRUS just hit the reset button on the stock.
This may be the same company you once knew, but it’s not the same stock you once knew. Everyone needs to get their head around this concept.
The stock has been moving independent of the business for well over a year now.
12M O/S is nothing. Each buy/sell in the mkt is weighted much heavier.
This has been beaten down so badly over the past year, that we are now 6100% away from the VRUS all time high (post-RS equivalent $.037 = $18.50).
Yes, dilution that drove the pps down, independent of what the business was doing. So the RS wiped all that away. Leaving a clean highly undervalued stock with a low float, and primed to reverse. The reverse will happen much quicker though.
Verus, the “business” is irrelevant to the stock price at the moment. It has been for well over a year. The time for price correction is among us. Believe this or don’t, but whatever happens is going to happen with or without any of us.
Undervalued and Overvalued stocks move on their own accord. There will be a time where VRUS “the stock” is valued based on Verus “the business” but that time isn’t right now. Use that as your price target if you want and trade the stock.

I get excited about extreme Low Float stocks trading in this scenario, because I’ve seen the crazy moves they can make. It can be life changing for those who catch them!
We all know those supernova moves that we wish we would have caught. Well - Those are stocks trading in situations just like VRUS - post-RS, tiny Float, previously beaten down, pps trading low, debt wiped, and ready for a big reversal! - notice that I didn’t say anything about the business, because while that may act as an initial catalyst, everything else that happens in these scenarios, is a stock related move. The gains will certainly be intensified if the business starts making the right moves. But this stock is in for a correction either way, IMO.
VRUS is a brow beaten stock that’s been given a reset.
Post RS - much of the notes converted pre-split, and the share count is at its lowest
Low Float - Very few shares available to be traded. There are only 12M shares outstanding right now, so maybe 9M shares are available to be traded and that will be decreasing as people start figuring this out. Then as soon as volume ticks up...she’ll be gone!!!
VRUS has a current Mkt Cap of $3M - Revenues are likely 7-8 times that amount in 2020. - The market will realize how undervalued the stock is.
The debt should be substantially decreased - much of it likely converted pre-RS (wiped away, like it never happened)
A/S reduction is another catalyst
Any one of these catalysts can set this reversal in motion! And once it starts, it will happen quickly and violently without much warning. There will be very little time for people to jump back in and catch the big move. They’ll still come running and jump in, which will further intensify the correction and push us higher.
VRUS may be setting up as the perfect storm!
I’m more excited about VRUS the trade, this time around, than I was back when I was a 2 year Long, where I made more than I ever have on 1 stock. I’m not pumping and I don’t say these things without believing them. This is my trade basis. I added more shares today.

Low Float OTC Penny stocks don’t need a lot of reason to run. The bloated SS of VRUS past is gone. It’s no longer the stock that we knew.
VRUS ran over 2100% with a 600M Float, on debt restructuring news.
What do you think it can do on a 9M Float?...??
This is a beautiful trade set up and if you can’t see the trade for what it is, then keep arguing about the past, but you might miss something rare and special.

The A/S Reduction could be a major, and I mean MAJOR catalyst on this float, if done properly. It needs to be PR’d separately as a lone act. Sooner than later before the 10k. But Anshu will prob roll it all into one filing. I sent Mark an email, laying all of this out. It’s not been happening, so I can only assume that Anshu doesn’t know these things
A/S reduction news on a 12M O/S, prob 9M Float, could send this parabolic. The fundamentals of the business don’t really matter in this moment. Low Floats are a beautiful thing!...especially when they are trading at $0.23
I’m with you GC. I will never “invest” in an OTC again, or maybe any stock for that matter. Since VRUS, I have found my style Swing Trading beaten down bottom play stocks expecting a reversal and/or Low Float stocks expecting catalysts. It just so happens that my knowledge of this stock and knowing it’s history brought me back. This is both a beaten down bottom play and a low float.
And if most of the debt is wiped away from converting pre-split, then that is another MAJOR catalyst on a low float that can send a stock like this soaring.
So while I don’t particularly love the company, I do love this set up for a trade.

I believe it was around $.0008 pre-split or $.40 post-split equivalent. I just remember giving him a hard time on Twitter for touting a $20k purchase. Which is now approx worth $10k...
$VRUS will go up from these levels on any kind of news. That’s what low floats do. So if ever there was a time to be in its right after the RS, when the O/S is low.
Could be a broker specific thing. I filled an order on the Bid with TOS this am.
He has to face the music at some point. I think he announces a major A/S reduction, and possible debt reduction first to move the stock price and then he announces fins and speaks into a strengthened pps. That’s what I would do, if I were him.
I am hoping many of the notes converted pre-RS, so there should be a significant amount of debt gone.
IMO, the major Catalysts to watch for are:
A/S Reduction - primary catalyst
Debt Reduction - primary catalyst - this was the fuel for the initial run in early 2019
Merger - secondary catalyst - no one trusts these anymore
Fins - secondary catalyst (unless they are a surprise)
Again, these can cause a mega run on a 12M Float stock trading at $.21

Yep, this is now a tiny float stock, which can have “rip your face off” moves regardless of fundamentals or technicals, which we all know, don’t really matter in the OTC anyways.
I love low float stocks. Make no mistake about it, this stock will behave differently now! I look for an early 2019 type move soon. This could easily run to $3-$5, which would put the Mkt Cap right back where it was towards the end of 2019.
I’m not here to love the the company or hate the CEO. I am here to trade a low float, beaten down stock, and get back the money that I left on the table. I do feel that this is the time to strike, with a 12M Float and filings coming.

If ever there was a time where it could run hard and fast, it’s now, when the float is low like this. The post split equivalent of $.02 (where it dropped hard from) is $10/share. I’m not saying that $10 should be expected, I’m just using that as an example of how beaten down the current price is or maybe how inflated the previous price was. I am not here to judge that.
I think it has the potential to correct itself short term, but I don’t think it holds anything, unless the operational side of the business changes drastically. I purchased a small position for a swing trade, but I will not be holding any shares long term.
