FC, I will respond in this forum this one time. I have to remove posts from time to time. I seldom remember whose post gets removed as it is not a focal point of my life. I have been asked to help keep this board a place for the exchange of information in a civil manner. I will not accept personal attacks no matter who they are against. I have been commended on several occassions by Ihub admin for my impartiality.
I will not go back and research a post nor will I post it back to you to edit. Seahag, is far to nice a woman to do that extra effort. I feel that most posters here feel that we have been doing an excellant job and hopefully we can continue.
And yes, anymore conversation on the matter or any more "1 st amendment stuff" will be removed. You can take it up with admin.

Bill, you leave out one very important part...
INTENTION...admitting that a filing is in error is not admitting that you intended to defraud by issuing those PR's and financial statements. VERY DIFFERENT and in my opinion that is what a class action suit will have to prove. EXTREMELY different set of circumstances than what you describe. You have obviusly jumped before looking again.
For example, the 2000 projection was clearly based on 100,000 units of secureview produced. this is clear as a statement was attached to every company provided reference to that projection.

Diverdan, I have first hand knowledge that someone did contact an individual who I know very well. The person received a telephone call a week or two ago asking if he would join in a class action lawsuit. He of course said no. In his opinion that could only hurt the situation.
We really didn't think much of it as their have been so many threats of lawsuits over the last few months.

Cost of Goods Sold. Cost of goods sold increased 57.0% from $61
thousand for the quarter ended March 31,2000 to $96 thousand for the quarter
ended March 31, 2001. This increase was a result of increased stock levels and
procurement costs for the volume production of the SecureView product line. Even
in light of this increase, however, gross profit remained at an acceptable
51.4%. Cost of goods sold relates to the parts and fees paid to outside
companies for manufacturing the product and procurement of certain parts and
components used in the manufacturing process.
Something sounds wrong here. If the above statement is true and we have incurred all these additional costs for secureview and we have not shipped all the secureview product that these costs (materials and components and partially completed units) represent, then would it make sense that these costs are actually considered inventory.
If so then, cost of goods sold would actually be significantly lower which inturn would increase our gross margin and trickle down to net income. They could have already taken this into account, but curious just the same.

NG, it seems to me that if there is a delay and shippment cannot happen for an extended period of time, then you feild the incoming calls and remain silent until you can actually ship. then you contact the customer and let them know that the product is on its way and should be there in a week or less. That is when you find out if they want it still or not.

Golfnut, judging from their last PR, I think that is exactly what they are doing. Shipping all the CC orders first so they can bill the card and collect in 3 days. However something tells me that they need to verify the backlog as there is most likely not 20,000 units worth of credit card orders at this point in time and the backlog recepients need to be ready to accept the shipments.

backorders, I think undoubtedly sevu has lost a portion of the backorders. However, I cant help but think that if secureview was a good idea and a product that the buyers were interested in, then they would still be interested as nothing has changed. If it was a good idea 6 mos to a year ago, it still is.
Just my thoughts.

I think the revised financials were adequate enough to qualify as the proxy. I seem to recall reading a PR (recent) that stated such. I will try and find. Also, note that in the amended 10K, under items for vote of the shareholders--NONE was listed.

Schoffer, my estimate of gross revenues is a little bit more conservative than that. I think SEVU will sell all of the 20,000 unit s they are (supposedly) currently manufacturing and possibly another 20K units by the end of the year.
The back log according to the binders at the openhouse was at $300 per unit. I will use this figure for my estimates as I feel the $499 price will only impact a few of the sales. Also I am with print that I think the marine division will suffer with the emphasis on secureview. therefore I estimate that another $1.0 million from that area.
That calculates out to $13 million total gross revenue for SEVU.
I hope I am reasonably close. But who the heck knows. My current hopes are pinned on getting past this whole year 2000 garbage that has sucked all the longs dry and pushing the first 20K out the door.
this is all my opinion and calculations they could be right or they could be wrong. anybody reading this should do their own estimates.

It has now been 10 short weeks since Rich and the Board
expanded the SeaView team by bringing aboard Mike and
Doug to join me. With the filing of the amended 10-K, we can
truly say the year 2000 is behind us and we can focus, as I
have said before, on selling product, manufacturing product,
and shipping product. But before we put away the year 2000
in the SeaView history book, I would like to highlight a few
items.
First, even while developing the new product SecureView,
managing the AMEX application and review process,
developing key US and Taiwan government relationships, and
managing the myriad of processes and issues that a publicly
traded company must follow, SeaView produced a sales gain
of 10%. Having a sales history is a very important issue when
courting the buyers at the major retailers. And, I should know
that fact.
Further, and even more importantly, we are essentially a debt
free company. I re-emphasize "No Debt". I would venture a
guess that many of us would like to be in that enviable
position with our personal finances.
Finally, there is a "laundry list" of items that were
accomplished in 2000, although many produced an intangible
profit that may not have been totally realized on our financial
bottom line to date. These include hiring a national
spokesperson, continued advertising and publicity for the
SeaView and SecureView brands, acquiring initial orders for
SecureView, and developing an infrastructure plan for future
growth. While the results may not have met some
expectations, they are in fact part of the past as SeaView is
now poised to explode into the future.
We know the financial community and our shareholders
expect us to execute the simple business axiom of producing
sales and profit. Put in even more simple terms: sell,
manufacture and ship. While these words are simply said, the
successful execution takes time, patience and effort. And, I
can assure you, everyone involved with SeaView is working
feverishly to achieve results. From the market segmentation
plan in our 10-K, you can easily see the roadmap for our
selling team. West Marine and The Sports Authority are just
the beginning, as we have been meeting and planning with
several of the other companies named in our plan. And again,
they all love the product. It just takes time, patience and effort
to work with these buying organizations--to put the best
merchandise mix in place within each buyer’s open-to-buy
availability, to complete the logistical paperwork, to develop
the store presentation and plan-o-grams, and to accomplish
the communication of product knowledge to the retailer’s
store personnel.
From the selling team's efforts, we are able to plan production
and manufacture product. We have been manufacturing
SeaView marine products regularly and on-time. And, after
many unforeseen delays, we are producing SecureView
components and systems through our outside contractors.
We have commited to the manufacture of 20,000 systems
over the next several months. This will allow us to fill our
backorders, along with new orders generated by SkyMall.
Obviously, since we will now have the product, we will be
shipping it as efficiently and expeditiously as possible. Last
week, we shipped approximately $20,000 of SeaView marine
products to our dealers and customers. We also shipped
SecureView systems to SuperCircuits, Inc.,
SmartHome.com, View-It Security and JCPenney Loss
Prevention. Already, SuperCircuits, Inc. and View-It Security
are requesting additional quantities.
There is definitely a lot of selling, manufacturing and shipping
happening at SeaView. But that is not all. We are developing
other key business relationships to position SeaView for our
future financial growth. We have engaged Foley & Lardner,
one of the oldest [1842] and largest law firms in America, as
our counsel and advisor in corporate and securities matters.
In addition, we are actively pursuing and being courted by
"Big Five" auditing firms to represent us in the future.
Now that the amended 10-K, which also meets proxy
statement requirements, has been filed, we will be finalizing
the mailing of annual meeting notices and planning for the
meeting sometime in June. In addition, the team is developing
realistic financial projections for 2001 and beyond, which we

Earlier this month there was a MM exhibiting strange behavior which could have been construed illegal and brettin (and others) made a complaint to the SEC. The complaint centered around SEVU transactions. The behavior changed almost immediately and then brettin uncovered this recent information, again centered around SEVU transactions.
Therefore, it is very on topic.
