I made a quick calculation at the end of 2017: I came out on approx 1.505MM shares without the December 2014th note. Including the December 2014th note, at approx. 4.000MM shares.
This is without any negotiation and/or cash payments on notes.

In basic English: they lend a huge amount of money and agreed on several things (ao. monthly repayments). If they fail on any of the agreements (see Events of default, Ex. 10.3) TCA has the right to convert any or all amounts of the Debentures in to common stock.
Conclusion: As long as INVT follows up on the agreements and repayments there is no problem. When they get in trouble and fail there is a chance of going south very quick.

I partly agree with both of you, but still keep my shares long at this moment. You never know when they might suprise us with great news/updates. When it runs you will chase. I do not want to risk that. I just keep adding on the dips.
