Again, since the preferred is non-voting, I don't think so.
One additional point: since the preferred is to be non-voting, I'm not sure it could be used to prevent a takeover.
In any case, I don't think the point of this is to use the preferred as a poison pill. Bear in mind that Sandy himself didn't say anything about that. I imagine it does have some kind of point--beyond "rewarding" shareholders--but I have no idea what it is.
