They didn't always make billions and companies all raise money in their inception. You can't show proof of one company that went belly up because they authorized more shares.
Why would anyone panic and sell just because PositiveID may authorize more shares?
When Facebook, Inc. was formed in 2004, the company started out with 100,000 authorized shares and its original name was The Facebook, Inc.
Since 2004, Facebook has made approximately 18 amendments to its Articles of Incorporation. Some of those amendments include changing the number of authorized shares and changing the name from The Facebook to Facebook.
Changes like these, especially increasing the amount of authorized shares, are not uncommon.
Facebook now has 5,000,000,000 common class A shares; 4,141,000,000 common class B shares; and 100,000,000 preferred shares. Quite an increase for a company that started with 100,000 authorized shares.
How could Facebook have done so well after authorizing so many shares over the years? NFLX, GOOG, AMZN, and many others did the same thing.
Monster Beverage Corporation (MNST) had AS and OS increases in 1996 when it was trading at $.04 a share. Most wrote the company off and said it was definitely going to zero. The stock trades today at $45.50 after having 2-1 and 3-1 stock splits. A $1000 investment would have made you millions.
Explain what negative implication it has. Does it change the value of the company? Are there any more shares outstanding as a result? What changed? Show proof.
That's probably correct and then there's the question of how it matters when it applies to accounting, tax consequences, and how it may benefit a publically traded company. I've read some general reasons for increasing the AS, but I'm not an accountant and would like to hear views from some on here that understand this maneuver.

A company cannot issue shares below its par value (except with court's permission). As such, a company with very low par value can issue shares at a lower cost as compared to a firm with a higher par value.

There's no such thing as a "good" 8-k. I guess you like companies that release dilution news instead of something positive at year end.

How does DCAC plan on doing that when they can't even manage to grow themselves? Why don't you folks take a look at the 10-Q? No cash, no earnings, no revenues........no hope and no news that's going to help this dog. Why do you think that? You do realize that it would take some very positive news to do that. An agreement with a partner to move ahead with firefly would certainly move the price higher than the last spike and it wouldn't fall back down to these levels. It's make or break time for PSID.
