Exactly Viking. We get all of the revenues for the brake fluid in return for just paying 7% royalty to MW.
For that all we paid was $15,000 as it appears the shares that were part of the initial deal have been forfeited according to what MW has been posted.
How can anybody tell us that will not be a good deal for us over time.
The way I see it if all of this stuff is true that MW is spreading, is that MSEP has now gotten full control over the brake fluid business for $15,000 and that all restricted shares have now been cancelled or forfeited, so no dillution for this acquisition.
Not a bad deal for us shareholders. I would have to think ROI will be pretty positive as all we have to do is sell probably less than $100K to get our return back on the $15,000.
I think Dave earned his $ on that one, IMHO.
Exactly Goldman. Things have changed and now Wachholz is on the sidelines. He still gets his royalties under the consulting agreement which are 10%.
Wachholz is claiming in all his messages he is posting that all of these distributors and contacts he had are jumping ship now that he is not part of this, but I keep asking myself if he had such a good following then why would MSEP put him on the sidelines and why in the first place would he ever enter into this consulting agreement if he didn't need MSEP's help.

Actually Goldman Wachholz was responsible for Marketing, Promotion and Distribution under the original business plan according to the PR's. It appears Dave has changed that and Wachholz is now out of that role and will only now get 10% royalties under the original consulting agreement and not have any involvement in the day to day decisions of GS610.
Wahholz is claiming the sky will now fall as he is no longer involved, but the question that needs to be raised is if he was doing such a great job, then why would MSEP take him out of that role. Obviously there is more to it than Wachholz is stating and since it appears MSEP is filing legal action against him, there should be some sort of 8-k coming out in the near future to discuss the situation.
My take on it is that Wachholz gets his royalties no matter what, so he doesn't care about the SP, so he is airing all of this on these message boards.

Couple of questions for you.
If you had five years into getting GS610 up and running and had all of these distributors lined up so interested in the product, then why would you enter into the type of consulting agreement you did with MSEP?
Doesn't seem logical to me? MSEP must have brought something to the table that caught your interest or why enter into such an agreement when things were going so well for you on your own?
I am not hearing you say in the message below that you broke off your relationship with MSEP, rather it appears based upon what you wrote below that they broke off the relationship with you as far as marketing, promotion and distribution. Why would they do that if all of these distributors you mention were lining up to buy product? Why cut off the hand that is feeding you?
Just seems like there is more to this than is written below, IMO.

Regardless, I am sure Dave is reviewing who he feels are his best distributors in the future and will sign new deals with them. This is a normal process when you take over responsibilty control of a new product line. So we might see some additions and deletions to the current GS610 website distributor list in the future based upon past performance and expected performance. Nothing unusual and a healthy process for MSEP.
FFf. Arlan Motorsports can be a distributor as can anybody else that shows promise in being able to sell the product. The words official distributor doesn't really mean too much.

Are you still in PBLS? I was going to get in when they were offering the stock buy back at .004 and the price was .0035 at the time. Seemed like a great deal at the time, and with hindsight it was. I just hope the financial numbers are good that they are throwing around.
I've added over 2.5 Mill the past 3 weeks. Just getting ready for the fun to start again. The last ride we had wasn't real, this time it will have substance.
Express thanks for asking. We were at the North Rim of the Grand Canyon and hiked the Kaibab trail. Stayed in the cabins which are very nice. Then on the way home visited Bryce Canyon and did the Peekaboo trail.
Great part of the country and my family really enjoys it.
Express I don't think you are grasping. Dave wants market share. Lowering the price may help get this as he has the best product now at a more attractive price and this hopefully will enable him to get into other markets who may have not bought the product before due to the cost. Also I am sure he will do a better job of procurement, bottling and packaging to reduce the cost of the product. Margins will still be healthy and volume will be up with new markets being penetrated. Throw in some sponsorships from racing teams and we have the making of something.
Time will tell. All I know is that I am holding to find out.
You can't say for sure that they are giving up margins.
We don't know if costs have changed with a more competitve supplier or bottling process. Margin could be roughly the same even if selling price is lower.
Also we don't know what effect the more competitive pricing will have on volume.
Hopefully we will hear more info on the marketing and distribution soon.
The home page has changed and now shows the new MSRP of the brake fluid at $29.95 instead of $39.95. Also the contact info has been updated for people to call MSEP.
Seems like they are getting more agressive with the price to add volume, as now they have the best fluid at a more competitive price.

There isn't much due dilligence we can due on this stock right now. We have a business plan and stil have a ways to go to reach the $1M o $5M projection. Not much news to think we have alot more than that.
What we have is directors and officers adding shares at a record clip. Some are shares in lieu of compensation and some appear to be direct buys. We know that Dave was at Sonoma and we stil don't know what he was doing there and there were many photos with the Andretti's. Why is Baron adding so many shares this last week?
I can't say I know the answers, but I can say that I am holding to hear what is going on.
I am still waiting to hear what Dave was doing at Sonoma at the race. Hopefully there is some news from that. Lots of pictures with the Andretti's, so hopefully they were discussing something.

The way I look at it the guy put in over $200K and is now a director of the Company. Does everybody think he did that just to get a $7,500 per month consulting fee?
I think he see's the big picture that this thing may have a chance to be successful.
Time will tell Maninfla. Baron is the biggest shareholder now.
Maninfla, Baron had $200K + to buy all of those shares. He must be doing something right.
Tells me he has a serious interest in MSEP. If he has some contacts to help with future M+A then this is a plus. Also if he is taking shares in lieu of M+A consulting compensation it also tells me he is in for the long run.
