Lundin Mining Falls to All-Time Low as Offer May Fail (Update1)

Nov. 25 (Bloomberg) -- Lundin Mining Corp., the Canada-based mining company that received a bid from HudBay Minerals Inc., fell to its lowest in Stockholm trading after Jaguar Financial Corp. requested a meeting with HudBay to block the deal.
Jaguar Chief Executive Officer Vic Alboini plans to scupper the Nov. 21 takeover bid of C$800.3 million ($645.7 million) that HudBay made for Lundin Mining by putting in a counter offer for HudBay and wants to fire its directors. HudBay’s agreement with Lundin includes a C$135.8 million cash injection into Lundin to shore up the company’s balance sheet amid a collapse in commodity prices.
“Metals prices may continue to trend south and Lundin’s management expects 2009 to be a difficult year, 2010 a year of normalization and 2011 the year when investors are richly rewarded for their patience,” Fredrik Agardh, an analyst at Svenska Handelsbanken AB, wrote to clients. As HudBay was trading at a 35 percent discount to its net cash yesterday, “the market hence seems skeptical” that the deal would go through, he said.
Lundin Mining declined as much as 0.7 krona, or 10 percent, to 6.1 kronor, the lowest intraday price since the shares began trading in Stockholm in December 2003. They were at 6.62 kronor as of 12:06 p.m. local time, valuing the Toronto-based company at 2.5 billion kronor ($310 million).

EDMONTON - Liberty Mines Inc. (TSX:LBE) said Friday it is immediately suspending operations at three Ontario operations as a result of a drop in commodities prices caused by the global economic downturn, and that it is putting itself up for potential sale.
"In these difficult financial times, a company needs to be flexible and creative in order to survive," said president and CEO Gary Nash.
"Liberty is rich in mining assets and is seeking a business combination with a partner who is looking for first class mining assets that can finance our growth and production plans."

The Edmonton-based company said it is open to a partnership, takeover or other arrangement.
It also said it will initiate a "care and maintenance program" at its Redstone and McWatters nickel mines and the Redstone nickel concentrator, effective immediately.
Earlier this week, the company said it is looking for financing alternatives after a previous financing failed.
"Liberty will be seeking near-term financing in order to fund its intended restructuring and interim operations," the company said Friday.
Liberty is a producer of nickel and also explores, develops and produces copper, cobalt and platinum group metals.

Any thoughts on adding base metal jrs here? I am thinking of adding LBE and ADA....for the hold and mold.... looking moldier by the minute...but seems to me that a patient investor can add steadily in these distressed levels and look for a nickel and zinc recovering in a few years.....
Sumitoma going ahead with a Nickel processing plant in the Phillipines...7% of the worlds Nickel output..... seems like they know something about the future of the metal....

I am looking for Nickel to solidify and an anncmt on the McWatters mine. Think it can move up eventually once we are out of this Jr mining funk.....hopfully by then they will buy a semester or two for my future grandkids or at least a pair of new shoes for an old man......

CALGARY, ALBERTA--(Marketwire - July 31, 2008) - Kroes Energy Inc. ("Kroes" or the "Corporation") (TSX VENTURE:KRS) has announced that it has taken up and paid for all shares of Vecta Energy Corporation ("Vecta"), as well as the Vecta Debenture, tendered to the take-over bid by Kroes dated May 29, 2008. Kroes has issued 29,936,439 shares, 5,147,881 Kroes Class 1 Performance Warrants and 5,312,500 Kroes Class 2 Performance Warrants in payment for approximately 97% of Vecta's issued and outstanding shares and the Vecta Debenture. The balance of the Vecta shares will be compulsorily acquired under the provisions of the Alberta Business Corporations Act.
As per its agreement with Vecta, the Kroes Board of Directors and management team has been restructured effective immediately. The Board accepted resignations from Directors David Powell, James Werbicki and Edward Southern. Fred Callaway also tendered his resignation as President and CEO of Kroes and Edward Southern resigned from his position as Executive Vice-President. The Corporation wishes to thank these individuals for their significant contributions to the Corporation over the past several years.
Thomas Coffman, Allen Gilmer, Charles Selby and Kenneth West have been appointed to the Kroes Board of Directors. Thomas Coffman holds a B.B.A. in accounting and is Chairman and CEO of Vecta. Yukon Zinc Corporation and Griffin Mining Limited have signed an Agreement whereby Griffin will acquire all of the issued shares of Yukon Zinc through a court-approved plan of arrangement. The shares of Griffin are traded on the Alternative Investment Market of the London Stock Exchange.
Under the terms of the transaction the shareholders of Yukon Zinc will receive one ordinary share of Griffin for every nine common shares of Yukon Zinc held.
This represents a value of C$0.206 per Yukon Zinc share based upon the closing price of the Griffin shares on AIM on April 18, 2008 of 0.9225 of a British Pound Sterling and a Canadian Dollar - British Pound Sterling exchange rate of 0.4984.
This represents a premium of 46.9% to the closing price of the Yukon Zinc shares on the TSX-V on April 18, 2008 and 43.0% premium to the 20 day volume weighted average trading price of the Yukon Zinc shares on the TSX-V.
After completion of the transaction, the shareholders of Yukon Zinc will hold approximately 16% of the issued Griffin shares, with the current Griffin shareholders holding the remaining 84%. It is expected that the transaction will close by July 31, 2008.

For 2008, Breakwater anticipates payable zinc production of 137,400 tonnes, representing strong year-over-year production growth of 66%.
