Well now i know why it’s .20 with 8k just out.
no doubt. extremely unfortunate and very costly. but unless you have a time machine i can use my only real choice is move forward from Here & Now.
gl
not what i would hope for really but not out of the question. ie. Allied Esports in their last report talked about having cash they were looking to put to use.
Mr. Berman continued, “Concurrently, we continue to make progress in our ongoing efforts to invest the cash on our balance sheet to acquire or merge with an existing business. At the end of the first quarter, our cash balance totaled nearly $96 million, including restricted cash. We remain focused on finding the best opportunity available to maximize value for our shareholders. While we are limited in what we can currently disclose about the process, I look forward to providing the market with an update on our progress at the appropriate time.”

while this has certainly been painful, I'm not sure much has changed in the business. revs are going to be up 100%+. all stocks are capable of moves like this without it meaning the demise of the company. even Amazon in 2000 went down over 90% before recovering and moving higher.
FY report is likely a couple weeks away so i guess will know more at that time. it's not unreasonable to imagine myself looking back in a few months at the recent prices below .20 as something i wished i would have bought more of.
Looks like Fred Tannure owned 2% of Simplicity Brazil according to this old S1 page 92…
https://www.sec.gov/Archives/edgar/data/1708410/000149315220019897/forms-1a.htm#b_003
In addition, the Company transferred a 2%-equity interest (an aggregate of 4%) to each of Laila De Braga Cavalcanti Loss and Frederico Tannure, who live in Brazil and run the operations of Simplicity One Brasil , in order to comply with Riot Games’ policy requiring local ownership in Brazil in order to apply for a franchise of a league of legends sports team. Furthermore, on June 22, 2020, Mr. Kaplan agreed to forgive the debt of the Kaplan Promissory Note with a principal balance of $90,000 in exchange for the Company assigning to Mr. Kaplan a 10% equity interest in Simplicity One Brasil. In light of the restructuring of the ownership interest in Simplicity One Brasil, as of October 19, 2020, the Company, Mr. Kaplan, Ms. Cavalcanti Loss, and Mr. Tannure own a 76%, 20%, 2% and 2% equity interest in Simplicity One Brasil.
I know this guy had WINR stock. And he just got a new job at another esports company. Would he have to sell the stock due to conflict of interest?
https://ge.globo.com/google/amp/esports/csgo/noticia/2022/07/07/csgo-taco-explica-opcao-por-00-nation-voos-maiores.ghtml
In the administrative part, 00 Nation also strengthened itself with Fred Tannure (former Flamengo Esports) as head of marketing in Brazil
Fyi Public companies are in quiet periods from 4 weeks prior to end of quarter until they report? So it seems WINR can’t say anything and mgmt hasn’t been able to buy stock since end of April(fy ended 5/31). Sellers maybe from recent S1? Is that Brazilian’s stock?
Earnings Reports Quiet Periods
The second type of quiet period is one enforced around the time when a publicly traded company releases its quarterly earnings reports. Earnings reports often have a substantial impact on a stock’s market price when they are initially released. Large deviations from the earnings projections of market analysts can cause a sharp rise or dramatic decline in a stock’s price.
Thus, the SEC again has a vested interest in trying to assure a level playing field, that no investors have an advantage, or be at a disadvantage, due to advance information about earnings reports leaking out to some people early.
The earnings report quiet period is applied to the time frame that covers the four-week period that precedes the end of a company’s fiscal quarter and extends to the actual date and time of the earnings report being released (most companies release their earnings reports within a month or two of the end of the quarter).
https://corporatefinanceinstitute.com/resources/knowledge/finance/quiet-period/
AESE just reported $5M revs for FY, growing at 54%, with about a $60M market cap.
WINR will report more than $3M in FY, growing more than 100% with a $2.5M market cap.
jed resigns from BOD and PR that revs for year end will be up more than 100%... revs more than market cap at this point.
maybe after year end is the opp to get approved for NAS?
Jed should have stepped down sooner. He ran what should have been a great opportunity in Brazil into the ground with his immaturity and ineptitude. This should be an upgrade/improvement no doubt.
Isn’t the 10q due at the end of the month here?
Andrew is assembling the full Metaverse package in SMURF
i'd love to see mgmt take their poker games to the metaverse. TAPM is cheaply valued and in some really high growth areas. plus split is likely a precursor to uplisting.
surprising SMURF was profitable in the qtr if you back out 1 time items..
https://www.otcmarkets.com/stock/SMURF/news?id=350748
these are not new. friday's filings were extenstions of the maturity dates of bridge deals already in place for a yr or more. they were meant to provide some cash until uplisting happened. the fact these entities chose to extend the date may be telling. some of $ from an ipo on uplist is to pay these entities off. the warrants @ $1 likely incentive for agreeing to extention.
Stock chart is looking powerful! Curling as we speak
I guess “interesting” is in the eye of the beholder
Any significant news will ignite this now…
Looks like Flamengo signed on to extend the deal with Simplicity. Interesting…
Guess it pays to be a long term shareholder in TAPM. great news for shareholders longer term as it seems company is finally going to take steps to address the extreme persistent undervaluation.
I got my dividend shares btw
yes and Jed knew Riot gave deals to existing League of Legends teams when they would expand and franchise a new territory. In fact, this was the main reason Simplicity went to Brazil early on in the first place. Brazil was long thought to be a Riot territory franchise expansion target for LoL. which it was.
you might have an easier time understanding things if you at least read the article. Riot offered the franchises to the existing clubs at a significant discount to help make the teams viable. It says how much they paid. Simplicity didn't pay anywhere near $30M. its true the last couple open market sales have been in that ballpark. but Brazil and Europe are different regions so that probably has some impact. even taking that into account, Brazil is still no slouch, with the 3rd largest esports audience in the world.
i agree with your point that atm no one cares.
Looks like they sold stock and a piece of Brazil to pay for it. I found this https://archive.esportsobserver.com/cblol-2021-teams-fees/
Managed by Simplicity Esports, a publicly-traded company in the U.S., the organization announced in March an investment of $500K USD from Triton Funds, which would be used for acquiring the CBLoL Franchise. Also, in August, Simplicity sold 7.5% of its licensing rights of the brand from the soccer club Clube de Regatas do Flamengo to the peripherals manufacturer Redragon, with the intention of using the funds raised to secure the spot.
are you basing your could of/would of on anything or just guessing? please share any info. thanks
from page 24 of the latest Q.
"Since January 2020, through our 76% owned subsidiary Simplicity One, we own and manage Flamengo ESports, one of the leading Brazilian League of Legends® teams."
so you're a seller here? interesting
funny i was thinking that selling something not currently valued on balance sheet(according to ceo) for anything should be a net positive, and possibly significant, if the last couple open market sales of League of Legends franchises are any indication.
also could an event of this nature be material enough for Nasdaq to hold the uplist until the transaction is finalized?
makes sense. League of Legends franchise is valuable and Flamengo has been all expense little revenue from what i have seen so far. the 300% revenue growth has been because of the centers growth and growing locations.
looks like selling League of Legends or getting new partner? Flamengo hasn't produced any significant revenue anyway, probably better off. all rev growth coming from NA centers.
https://ge.globo.com/esports/lol/noticia/2022/02/22/fla-fora-do-cblol-simplicity-conversa-com-gigantes-dos-esports.ghtml
this is several changes of auditors? usually not a positive thing to happen.
If they don’t get uplisted and the price stays depressed down here, I’d bet someone tries to buy them on the cheap. In the past here have been articles in Brazil about interested parties snooping around.
SMURF move has retraced about 50% from highs w/several significant news events ahead in next 6-8 wks. I would not be surprised at all to see new all time highs by the HUGE event, that is Fashion Week in Decentraland.
should be a lot of good news coming. the quarter will be reported in the next 3-4 weeks. it should be very telling.
not really worried for a couple reasons...
1) the NASDAQ application is still open and pending. the question was posed to the ceo on twitter recently. so happy to wait till we hear an up or down.
2) i know i have to know what i own. of course i've made mistakes over the decades and investments have not always worked out, and i'm sure i'll make more in the future but i am pretty decent at dd. and i don't have to dig any deeper than knowing Simplicity owns the Brazilian League of Legends franchise to see that things are mispriced. fyi last time a League of Legends slot came up for sale it ended up selling for about $35 million. WINR market cap atm is $6M.
great news out in TAPM! Crypto Trillionaire is looking pretty successful! lots going on here.
Tapinator, Inc. (OTC: TAPM) ("Tapinator," the "Company," "we," "our" or "us"), a developer and publisher of category leading games for mobile platforms is today providing an update on its Crypto Trillionaire mobile game. Crypto Trillionaire launched globally in January 2019 and, since then, has been downloaded over 800,000 times. As the market's interest in crypto currencies and digital assets has grown significantly in 2021, Crypto Trillionaire has seen a commensurate increase in volume and, correspondingly, monetization. Over the past month alone, the game has generated over 100,000 downloads on Google Play and has reached the top 150 in Simulation Games (within the United States) in both the download and grossing ranks.
Tapinator's CEO, Ilya Nikolayev, commented on this update: "We have always been proud of Crypto Trillionaire. In partnership with Robot Cake Games of Hannover, Germany, we created what we believe to be a best-in-class idle game. Crypto Trillionaire was featured by Apple globally as a "New Game We Love" in 152 countries at launch. Now, almost three years, later the game has over 14,000 player ratings with a fantastic 4.7 out of 5.0 review score.
We believe that crypto currencies and digital assets are here to stay and that Crypto Trillionaire, as a crypto themed game, will benefit long-term from the significant and growing level of interest in the area. Furthermore, we are excited to announce that a major update of the game is coming in the first half of 2022. In particular, and based on our experience within the NFT space, we believe that integrating a collectibles system with an NFT tie-in will be very appealing to our players. This will also allow for future partnership opportunities with NFT artists and brands, given the game's significant audience of over 30,000 daily player logins.
Finally, we are on track with development of our new social casino product that leverages the extensive monetization and engagement systems which we have built out for Video Poker Classic. This new game is scheduled for launch in Q1 2022."

interesting that ACY has tapped Tencent talent for new metaverse defi gaming subsidiary, MEGA. chart is set up nicely to absorb positive news flow off upcoming development announcements.

brtx is 5.60, which btw over $3. otc stocks also have a volume requirement before uplisting that was just met by Simplicity 11/30. its all in the listing guide. i think if you read it you may have a better time following along. its not hocus pokus like you imagine at NASDAQ. read the guide.
agn p&d has no recourse below $3. an uplist will no longer be a possibility. looking like its going to close on its lows again here btw.
.26 more and any chance of uplisting goes out the window. you're probably right r/s was done not really to uplist but more due to the fact its harder to sell stock subpenny. a pp is coming you know that.
ok. i guess we'll find out when it starts trading under $3. or the other possibility is maybe they aren't going to uplist at all. enjoy.
if agnpd can't stay above $3 another reverse split is their only choice if they want to uplist. a company must satisfy requirements for 1 of the 3 tiers, under 3 different scenerios for each tier. if they don't qualify they don't qualify. just because you don't understand it doesn't mean nasdaq is just making stuff up. as for simplicity, it had to complete the 2 yr operating history requirement before they qualified. that was satisfied sept 1st and the uplist is coming. its up to nasdaq not the company. but no worries it is growing revenue 350% YoY while waiting. its one of a few exit plays yes. thanks for your concern. gl
