Thx Cap. I took a look at Joan Osborne's recent setlists, and I gotta say, not sure it'll be a rip roarin' show. Covers old blues guys, Slim Harpo and Muddy Waters. She plays at least two or three Dylan songs this year. Most famous is Gotta Serve Somebody, after that, they are all non-top 200 most famous Dylan songs. All these artists gotta show they know Dylan's songs so well, that they have found gems that most don't know. And I luv Dylan, but heck, I'd be happy to here something I actually know. She no longer plays some of the fun stuff, like her Motown covers, which would be great, especially for New Year
Eve. Maybe she'll surprise.
But it should be real fun... don't wanna sound real negative.

The nice thing is the Tix ain't very expensive for a New Years show. The $75 VIP pass includes seats in the first few rows, plus a pass on Sat and Sun night to all the other Bars/Venues hosting the other acts. And of course it also gets you into the Fri night opening party bash with DJ Logic, but I'll probably skip that one. Plus the lined dancing lesson. Now last year it included a lunch at a pretty nice BBQ place, but I see no mention of that anymore.... sigh. BBQ and Saratoga Springs. Goes together like Guns and Ammuntion.

Joan Osborne is headlining this year, at 9pm.. she'll be followin Robert Randolph's 7pm show. A dozen or more other bands will be playing at a variety of venues in downtown Sarasota Springs.
.... ohhh, and there's free line dancing lessons.. so I'll be working on my 2 Step.

CSPI that second to last caller in the Q&A asked about did kind of ask about how the AI works within AZT, and is the software 'self learning'. They kind of get a yes answer. But again, I don't know software.
CSPI interesting conf call... especially the second to last person in the q&a, where CSPI kind of went through aspects of how their AZT system works, including how it is installed, how much space it take, how long it takes to start processing, what it actually does and sorta generally speaking how it does it, and what advantages it offers.
I bought some back at $17. I have no idea where it goes. But it just seems like its worth considerably more than its market cap ... of course I am no software expert. They did say in spite of the backlog drop they expect revenue growth in their 'legacy biz' in fy 2024.
I am not buying this as some sort of big eps play.. I mean they are obviously spending a lot on marketing AZT. And while its certainly possible AZT turns out to be a flop; its pretty kool that they, so far, have been able to develop and market it through self-financing.

btw, your Texans played like shite against my Jets. And that didn't even make me too happy. I'd almost prefer the rest of the season to be complete tankage so they get a very high pick. Probably would waste the high pick again anyways, but you never know. So, basically a lose - lose for us. Although your loss was worse than mine. AVHI has a market cap of $34 million, yup, but. just saying it has negative net assets, and I think it loses money. Unless something about SPAC rules means it gets some sorta cash infusion upon a merger.. I have zero idea how spacs work
VASO AVHI AVHIU on their most recent 10q, it looks like the spac has around $7 million in net cash, but liabilities are greater than assets:

I don't know how SPACs work... if they get more cash once a deal is announced. But right now anyways, looks like AVHI/AVHIU has negative book value.

VIRC I doubt they can do much about seasonality, but, at least its not like they lose a ton during the other two quarters. I mean I'm guessing around breakeven next quarter followed by a loss, but given what they have done on the expense side, maybe a very small one. Obviously they are now fully taxed; but heck, going into the next two weaker qtrs, that may not mean much, and may even cut their net loss down if they have one.
Do you agree on around breakeven and a then small loss over the next two qtrs?
I had fair value around $7 I think ... which happened to be where it closed yesterday. But given the current qtr, I'd have to bump that up to at least $9.

Board Authorizes $5 Million Share Repurchase
TORRANCE, Calif., Dec. 08, 2023 (GLOBE NEWSWIRE) -- Virco Mfg. Corporation (VIRC) reported financial results for the third quarter ended October 31, 2023, as well as the reinstatement of a quarterly dividend of $0.02 per share and a $5,000,000 open market share repurchase program.
For the third quarter ended October 31, 2023, sales increased to $84,252,000 compared to $77,395,000 in the same period of the prior year. Gross margin improved to 45.4% from 39.8%. SG&A as a percent of sales decreased slightly to 27.9% versus 28.4% in the prior year. Operating Income grew 67.1%, to $14,706,000 versus $8,800,000 in the same period last year. Interest expense was up slightly to $765,000 from $567,000. Net income improved 29% to $10,160,000 from $7,875,000.
For the nine months ended October 31, 2023, sales increased 17.8% to $226,516,000 from $192,276,000 in the same period of the prior year. YTD Gross margin improved to 44.1% versus 37.6%. SG&A as a percent of sales declined slightly to 28.8% versus 29.7% in the prior year, despite an increase in the proportion of orders requiring full service. This improvement was due to efficiencies of coordination between the Company’s domestic U.S. factories and its logistics and field service teams. Operating income for the first nine months more than doubled, from $15,230,000 last year to $34,648,000 this year. Interest expense was $2,560,000 or 1.1% of revenue versus $1,692,000 or 0.9% of revenue in the same period of the prior year, reflecting higher interest rates and slightly higher financing of inventories and accounts receivable during the Company’s peak delivery season in summer.
For the three and nine month periods ended October 31, 2023 the effective tax rate increased materially due to the recording of a valuation allowance needed for federal deferred tax assets and certain state net operating loss carryforwards which commenced in the fourth quarter of fiscal year ended January 31, 2022 and continued through the period ended October 31, 2022. The increase in the effective tax rates was primarily due to the reversal of the valuation allowance at January 31, 2023.
Management’s preferred measure of business momentum: YTD shipments + the unshipped backlog (“Shipments + Backlog”), stood at $268,067,000 on October 31, 2023. This compares to $151,905,000 at the low point of the pandemic on October 31, 2020. Since that low point, Shipments + Backlog has grown 76% without additional borrowing or capital infusion. Management attributes this strong organically-funded growth to the intrinsic efficiencies of the Company’s domestically-based, vertically-integrated business model, as well as the resilience of the markets for public and private school furniture.
Thanks to these strong results, Virco’s Board of Directors has re-instated a quarterly dividend of $0.02 per share, payable to shareholders of record as of December 22, 2023, payable January 10, 2024. In addition, the Board has authorized an open-market share repurchase program of up to $5,000,000. In combination with share price appreciation, these actions will re-establish the balanced portfolio of shareholder returns that allows individual shareholders to choose the return(s) that allows individual shareholders to share in the benefits of current income plus capital appreciation.
Support for in-person education is being reflected in robust funding across many domains, including state and local funding for public schools, federal support for particular earmarked activities such as pre-K programs and expanded foodservice, as well as continued growth in support for charter schools and private/parochial schools. Support is also well distributed geographically, with strong revenue growth in both California and Florida.
Commenting on the Company’s strong results, Virco CEO and Chairman Robert Virtue said: “I’m very happy that we are able restore a dividend and launch an open-market share repurchase program. This speaks to the strength of our recovery after the pandemic and speaks as well to the renewed appreciation many people have for in-person education. The company issued $80.2 million in 5.25% Convertible Senior Notes due 2026 with anticipated $76 million in net proceeds to AAOI.
The conversion price of the new notes is approximately $15.24.
The company used the proceeds to repurchase $80.2 million in principal amount of the existing 2024 notes for approximately $81.1 million in cash and 466,368 newly issued shares.
With the convertible notes being in the money and considering my expectations for additional near-term ATM sales to boost working capital, I am reducing my 2024 diluted share count expectations just slightly from 45 million to 43 million.
