it's worse on mine
when i was given the dividend tax was auto deducted (I'm from the UK) . they have now just removed the whole amound from my account leaving me in margin for the amount of the TAX.
I assume this is something E*Trade will sort out
ok sounds ok... as a pink they didn't report much anyway.
however i think i would like at least one update from the company confirming the dividend, status of the 8.7m deal and the purpose behind the filing.

it is a termination of securities (did someone say they were going to retire some stock ??)

I am a little concerned that Teliphone hasn't posted the 10QSB yet for Q3. It produced the NQT a while back which gave them an aditional 15 days which expired a while back. Maybe there is a little grace over the NewYear, i'm not sure.
I would hate it to be downgraded to PINK before it's even traded.
I am under the impression (probably false) the 1 year freeze out started when we where first awarded the shares which was quite some time ago (Showing on ETRADE in September).
I expect to be able to trade them reasonably soon.
The launch price is $.25 but i don't expect that to hold unless it can be justified when the ticker goes live.

We have seen quite high revenues ... does anyone have a view on the cost of sales. There are no financials i can see audited or otherwise.
I see the finance agreement as the most significant value here. The amount of stocks i have watched with great business plans and close to obtaining financing (which never come through). By not diluting this makes for a fantastic deal for the share-holders.
The stock-price will come. I suspect we will need to wait until the OTCBB listing and Cusip change. along with an audited financial statement.

That is a VERY good point. I still feel the best thing we can do with the quarry is sell it and invest the money else where.
Maybe some sought after land and build some high class homes ($1,000,000 + each). As long as they stear well clear of the low end of the market we should do fine.

Distribution Management Services, Inc. has entered into an Agreement with Military Air Parts, Inc., (“MAP International, Inc.”), of Fort Lauderdale, Florida.
MAP provides parts and equipment to the extent of approximately $3,500,000 annually, to C-130 aircraft employed by various nations and entities throughout the world. The C-130 is considered a “workhorse” air carrier in the aviation industry.
DMGS will acquire the entire inventory of MAP, constituting approximately $2,000,000 of inventory and all issued and outstanding shares of MAP in exchange for an aggregate of 500,000 shares of restricted stock of DMGS, and a provision to provide investment capital of $5,000,000 to be used for acquisition of additional inventory and the expansion of business operations.
Joint operations have commenced and DMGS is awaiting closing of the contract for sale of 175 of its lots in Poinciana, Florida, for the sum of $7,000,000, from which a portion of the investment capital will be provided.

Ok new theory
For whatever reason they want the share-price to raise. This maybe to gain funds through liquidation or simply increase personal / shareholder wealth.
Attempt 1 announce the deals / dividend (Minor impact)
Attempt 2 Employ Stockbully to promote (Bad move in my book and didn't work waste of stock)
Attempt 3 Extend the record date and close the deal on the 20th to show this is the real-deal. Allowing time for new shareholders to arrive
Extending the record date to allow some sort of registering time is rubbish.... It simply dosn't work like that.
When you buy / sell stock you also buy/sell any dividend rights upto the record date. so who the actual name is is irrelivant.

Nothing Personal....
Not a scam, but also not as great as it looks. The income is from mostly 1 customer which is always risky. Until they grow the business. Have multiple installations / revenue streams i would be wary.
0.03 is a little undervalued.
I would personally place this at 0.1 Today with the possibility of considerable growth over the next few quarters if they grow the business.
In the end as long as they don't loose the customer the risk is reasonably low as they are indeed in profit.
Also note there is no publicity going on here
I do trust DMGS is not wasting stock / cash in these pointless stock promoters.
They are a scam.
You have to ask the question why would a company want to promote the stock.
To raise the price. To get more cash when they liquidate some more.......
I would view any such move with great suspicion.
10QSB is out and it looks good
3 Months ending June (the last 10Q) the 3 months revenue was $7,686,298
This Quarter it's grown to $8,039,237
Most of the report is the first 9 months compared to last year which is about 21 Million comapred to about 10 Million.
Most importantly .... We are profitable and growing.
Give this a few more quarters (say a year) and this could begin to fly.
Yes I would say near term pull-back.
The 10QSB is due out very soon, however I think it's mostly known. Ie announced it will be good in the previous PR. It's more what happens in Q4.
Of Course as things happen in Q4 there could well be many PR's well before that quarters release.
I'm keeping a close eye on .75. Will possibly set a GTC buy in a few cents above. I may also wait till after the QSB release.

A company with a market cap of $20M is been brought for $110M+
I have not been able to see if it's profitable at all or what debt it holds etc
It's projected sales for 2008 is 40M (Thats sales not profit)
I was also confused about some of the comments in the various PR's
'We don't know why it's volitile'
'We want this to happen so we can cash our restricted shares'
'We expect the shareprice to rise as the date gets closer'
Although possibly all true... Why mention this sort of thing in a PR. ???
I think this deal is never going to happen. But i'm prepared to be wrong and will continue to watch. If only to learn.

Hi thanks for your reply, i found the part on market sentiment interesting. (good / bad for a low/high PE). I suppose I have always followed the same mentality but never thought it through into words.
For this reason i never invested in Google or the new VMWare IPO. and also never got involved in the runup on Tasar, I always saw them as overpriced (Maybe i missed something). Prior to the Dot-Com crash I had investments in SEBL , BRCD , JNPR and a few others JNPR hitting a PE of 2000+ at the high (seems mad now looking back). But hey i made some money, and lost a fair amount of it again in the inevitable crash. Back then we used PEG ratios to justify the price.
My point on the PE for DGMS is the these one-off deals, selling assets effect Book-Value more than what could be considered repeatable earnings.
So a simple valuation calculation would be more
Book Value + (Earnings * PE Multiple)
not
(Book Value * PE Multiple) + (Earnings * PE Multiple)
The repeatable earnings for this company are not really yet understood. For example if they decide to keep the Granite mine and produce $10M revenue per quarter and the net profit on this is $1M then thats earnings of $4M per year multiplied by a fair PE - say 12 - = 48M or $4+ per share.
If they sell the mine the cash goes to the book value.
Moving forward when the portfolio increases and sales and purchaces are happening on a much more regular basis then I agree totally the profits from this should be considered repeatable earnings and factored in with a nice PE.
Just as a side note. If they keep and operate the Mine I would feel happier with a calulated PE of 4 not 12. (As it's effectively mining) if that is considered our main income then the company could even be considered a mining play with some additional land assets to sell.... Which is a good reason to sell it rather than operate it.

Income / Value of the mine (10m resale value guessed)
Value of the remaining property (2.5m)
Possible valuation of the Recycling centre (1.5m)
+ about 3m cash - 0m debt(Assuming it's all cleared)
= 17m of BV $1.40 per share
The company will have to start showing repeatable and growing earnings to earn a PE as high as 12 (IMO but hey i hope ur right)
I have a question
We seem to be winning some court cases
1) The Ganite mine
2) The 2 Mill just announced but i have no idea why
3) The 450 thousand for the recycling center which may end up with us getting the whole site back. (not yet settled)
4) Any others ????
With the exception of the recycling centre I have not been able to find where we originally brought the properties in the past.
I have read about the case over the granite mine where we sold the whole thing to the CEO for $10, he took up the legal dispute (And won) and then sold half of the mine back to us for $10 + half of some of the legal costs. (I don't think the company was in any position to fight without the CEO's private funds). I don't know how we came into the mine in the first place.
As for the other case no idea yesterdays PR was unexpected.
The recent deal for 174 of out Florida lots leaves us with about 50 or so. I understand they are about $50000 each so i guess that makes about $2.5 Mill (I assume we owe some money on these as some of the proceeds of the 8.7M deal is paying off the debt. Does that include the debt on the property we have left.). In other words assuming the deal goes ahead is this company debt free.??

I am now the proud owner of a Granite mine in Argentina. And some Florida real-estate.
Incidently, i'm not convinced the company should try and run the thing... Sell it make a profit and move on. Get $10m + for their 50%.

The reason there are so many is that Atlas mining actually has some assets and cash etc. In other words something worth chasing.
