Miami's Distribution Management Services, Inc. Announces Acquisition of Military Air Parts International, Inc. (8742)
The C-130 is considered a “workhorse” air carrier in the aviation industry.
Distribution Management Services, Inc. has entered into an Agreement with Military Air Parts, Inc., (“MAP International, Inc.”), of Fort Lauderdale, Florida.
MAP provides parts and equipment to the extent of approximately $3,500,000 annually, to C-130 aircraft employed by various nations and entities throughout the world. The C-130 is considered a “workhorse” air carrier in the aviation industry.
DMGS will acquire the entire inventory of MAP, constituting approximately $2,000,000 of inventory and all issued and outstanding shares of MAP in exchange for an aggregate of 500,000 shares of restricted stock of DMGS, and a provision to provide investment capital of $5,000,000 to be used for acquisition of additional inventory and the expansion of business operations.
Joint operations have commenced and DMGS is awaiting closing of the contract for sale of 175 of its lots in Poinciana, Florida, for the sum of $7,000,000, from which a portion of the investment capital will be provided.
Profits of MAP will be divided equally after priority payments of dividends to DMGS’s stockholders of 10% of the gross funds invested by DMGS.
Roger Green, Chairman of the Board of MAP, will join the Board of Directors of DMGS; and Leo Greenfield, CEO and President of DMGS, will join the Board of Directors of MAP
