I was reading some where today that said preferred shares were not part of the outstanding share count . We won’t know until they designate use of those shares to be revealed at close. Lots of options on how they are used. I don’t see a reverse split out the gates very confident about that

Preferred stock (also called preferred shares or preference shares) is a class of ownership in a reporting entity that is senior to common stock and subordinate to debt. (i) Facts. Corporation X is a domestic corporation with only common stock outstanding. In connection with its acquisition of Corporation T, X issues 100 shares of its 4% preferred stock to the shareholders of T, who are unrelated to X both before and after the transaction. The issue price of the preferred stock is $40 per share. Each share of preferred stock is convertible at the shareholder's election into three shares of X common stock. At the time the preferred stock is issued, the X common stock has a value of $10 per share. The preferred stock does not provide for its mandatory redemption or for redemption at the option of the holder. It is callable at the option of X at any time beginning three years from the date of issuance for $100 per share. There are no other plans, arrangements, or agreements that effectively require or are intended to compel X to redeem the stock.
(ii) Analysis. The preferred stock is described in the safe harbor rule of paragraph (b)(3)(ii) of this section because X and the former shareholders of T are unrelated, there are no plans, arrangements, or agreements that effectively require or are intended to compel X to redeem the stock, and calling the stock for $100 per share would not reduce the yield of the preferred stock. Therefore, the $60 per share call premium is not treated as a constructive distribution to the shareholders of the preferred stock under paragraph (b) of this section.

And if was Armistice selling , they gave CRTG 6 million to fund the company , and it probably is... they wait until CRTG share price goes up then sell into news if they can... I saw 2 million shares show up on level 2 that were not even at the best ask price that just got gobble up in about 1 minute or less . Someone was ready for the sell off and grabbed a lot of cheap shares Cant wait to hear the shareholder call updates .. good things ahead . the sell off had nothing to do with the value of this merger .Remember Armistice has warrants at 7.9 cents they can sell when the price gets there but only 4.99% of the OS count a time can they recieve ..they sell those pre funded warrant basically at whatever they can get it looks like .
Armistice does have to file each time get more of the pre funded warrants they should be out of those soon but do have warrant they can excercise at 7.99 cents

I certainly dont see a R/S right after the close of the merger i would be very suprised if they didnt try to get the stock up through running a successfully publically traded company . Armistice and disatisfied short term traders gives me opportunity to buy shares in a company that will have revenue under The Coretec Group name CRTG will have instant revenue and products and i see no way they will do a R/S but will try to get the stock price on good company earning and excellent revenue .Also short term traders who bought at 2 cents plus when the news of a corporate development was in the works . I felt all along this was a merger as time went buy because CRTG had been pursuing a merger canadate a year and a half ago and they had all this good battery data coming out and thier value , data based , was going way up . They had 900 k left $$ momey wise and Core Optics wanted to go public here in the USA and July 19 2023 became a Virginia limited liablity company with a office now in Michigan hence their 517 area code office number . Core Optics knows there ready to go public and then uplist when the times comes to a senior market , Nasdaq etc forgoing a dreaded IPO which is very expensive and there are timing problems with those . So companies like this dont partnerMerge with big companies or get bought out they merge with small start ups that have next gen 2.0 tech that WORKS and they have the same type partners , cutomers and collaborations and are in the same tech space and compliment each other .. And bingo Core Optics a revenue generating company with a good profit margin 30+ patents merges and goes public through The Coretec Group and will begin trading very soon ( 2 -3 months ??) after closing this deal . Coretec scored in this deal and i dont see a reverse split ..The new company will concentrate on growing the company and we will see what price it comes out at whrn this deal is done it should be much higher since they do have good revenue or they wouldnt be expecting to uplist .. the day they start trading is kinda like an IPO in sence i guess you could say ..
Obviously the short term trader didnt see a huge increase on the stock price after the long awaited news . he stock is back to where it traded when the news of a corporate development was in the works after the amature dump . Core Optics has revenue and will bring great value to The Coretec Group when the share exchange is final. I think after the shareholder call shareholders we see the light ..I think this stock is very cheap at these prices . It doesnt take much to drop a stock price when you sell 2 million shares at the bid prices over and over and over again in a few seconds. Expecting great things in the future for CRTG !!! When the share agreement is finalized and Core Optics will be a publically traded company under a new name for them of course , The Coretec Group and trading under the symbol CRTG ..if someone wants to buy stock in the newly formed company it will be a company, The Coretec Group with products on the market in a high growth industry , revenue and 30 + more patents we will then see what happens to the stock price as the new company and new CEO take over .The stock price should move higher now in anticipation of a completed merger with a revenue generating company even if they get 750 million shares in the share exchange . But traders seemed unsure about this now .That doesnt bother me with a good revenue generating company with products on the market .They wont be selling those shares into the market i dont think right away they will focus on growing the company here is the USA and getting uplisted to a senior exchange . So at that time the oficially merger public company could have a much higher share price as a result of the revenue status that should increase the stock price thus a much higher valuation and market cap . We should see a higher stock price before that one would think in anticipation of the deal being finalized. Traders as of yesterday were like a dear in the headlights . If they do a reverse split i think they would have to give that some time and see just how the new companys stock performs , what price it moght trade at over a given period of time , perhaps several quarters . If they do a R/S it i dont think it would be more than 3 to 1 ?? 1.1 billion shares Outstanding ( excluding Armistice warrant not excercised yet ) I dont see a rush to a reverse split seeing the company has revenue. Small companies with no revenue in need of money do R/S often to lower share counts as they prepare to get dilutive funding to be able to operate . Core Optics has revenue and good margins and looks to be in good financial condition or this merger would have never takien place.

Market virtually stopped while everyone digests this ..Question #1 is how much revenue does Core Optics have , we know they have it with good profit margins , and who are these TOP level customers the news release said they have .. Coretec already has a partnership with Ford I never thought this would be about Ford directly . We need that partnership with Ford Coretec has now to expand to a longer term partnership but that won't happen until Ford receives CRTGs silicon anode for testing and they like it long term. To this point the partnership between Ford & CRTG has been based on sharing info on batteries so Coretec can develop a silicon anode applicable to Fords battery . Matt Kappers said in that Sept 27 podcast that they were in communications with a number of PARTNERS then said they were in communications with Ford and Ford would be testing their materials .So it seemed a no brainer Ford was one of those partners. Michelle Tokarz said that the partner collaboration for Coretec flows them to share information as Coretec develops their silicon anode . I always felt this was a merger as Coretec stated a while back that needed a merger with a REVENUE GENERATING company that has Core technologies that overlap with what The Coretec Group is doing and they finally found it . In this news release it says they expect to uplift to a senior exchange so Core Optics must have excellent revenue . There will be perhaps 1.1 billion outstanding shares so something like a 5 to 1 or 10 to 1 reverse split ??? Those always take place after the share exchange agreement is finalized ..Maybe they end up wit 100 to 200 million shares outstanding maybe less before a possible uplifting on the big stock exchange where we would have great exposure and liquidity ..Hoping the stock can move up considerably by the share exchange is finalized ..looking forward to the shareholder meeting ..this news release says Core Optics does business with the top device companies in South Korea

Core Optic and CRTG to stay under The Coretec Group Name CRTG until the senior uplisting which would be by definition nasdaq ,Amex they said they have the requirements met that means Core Optics has some BIG REVENUE and 30 plus patents . Their business involves smartphones and EV plus plus ..Korea and China own almost all market share in the business they are in and this merger will open up the USA market for business here for Core Optics based out of Virginia but headquarters in Korea or visa versa ?? SiH4 is monosilane the mot widely used silicon and this gaseous silane and others like it are what you will see in the patents of companies like Amprius who has a silicon anode . I t does not preform as well compared Si6H12 a liquid silane or as Coretecs calls it there beginning percusor they call CHS. So not all silicon anodes are created equal as some use inferior silicon materials . that's the advantage Coretec has over other silicon anode companies and Coretec has created a patented process for this molecule they own so if you want this molecule you have to come to Coretec . Note that other companies have tried creating a successful process to scale Si6H12 for these applications but were not very successful . One was in Japan years ago another North Dakota State from which Coretec came out of but because their patented process for their CHS product cyclohexisilane or Si6H12 did not work Coretec shared Ramez Elgammel a few years back to love that problem and CRTG partnered with Evonik and Ramez said with news technology for on , he was successfully able to create a process to scale this molecule so it could be successfully applies to numerous applications that use silicon since monosilane SiH4 that is widely used was failing to advance Gen 2.0 tech like it needs to but is still a widely used silane . Philipp Boujouk considered by some I've heard as The Godfather of silicon at NDSU started his work in 1995 and had mucho GOV funding until 2015 time frame Dennis Anderson a professor at NDSU started Coretec because a number of large companies wanted test their Si6H12 .CHS materials . 3Dicon then merged with Coretec at that time so 3dicon could find a solution to the image space materials they needed for there 3D volumetric tech which needed the glass to house the image form which came the now partnership with the University of Adelaide were they are having great success in doing that and just presented at a Photonic West SPIE conference in San Fran Jan 3oth ..Video of that to come soon may be out now on their web site ( SPIE web site ) but Coretec said they would share it
This video is really very important for those who haven't know about Coretec very long because it gives them a look at what Coretec was presenting to the world before they choose to go first into using this silicon in making silicon anodes in their own lab ..again you can get the full screen by just going to You Tube to view it . So I think its important to remember Coretec said they were still interested in this other application but the battery anode was the best place to start ..Need more cash to really move the needle I think in the other applications for their silicon this was from a few years back

Coretecs CHS product , Cyclohexisilane or Si6H12 , thee beginning precursor material would be topped differently for semi conductors . They need a partnership for starters to refine the process for this new material because it has to be purer for application in Chips. Thus the desire for the company to get Chps act funding , which would require a partnership with a large semi conductor company to receive funds from the Chips Act money..They said they were working on Chips act funding but no update lately . The silicon they are developing now is a chemistry that would apply to the silicon anode slurry ( coating ) this Portable drop in technology as Remaz calls it . Coretec had silicon nano wires grown with their new CHS silicon material a liquid silane Si6H12 by Erik Bakkers at Eindhoven University a while back to learn more about their new silicon and its properties. Erik Bakkers said it had the lowest deposition temperatures and highest yield of any silicon he has tested it against . SiH4 is the most widely used silicon around , a gaseous silane vs Coretecs Si6H12 a liquid silane that no one had been really successful at creating a process for for scaling this molecule for GEN 2.0 technologies. SiH4 coined the phrase Silicon Valley years ago . I remember when Dow Corning built a like 100 million dollar plant to scale up SiH4 just for solar applications . Its highly valuable but now not meeting the demands of Gen 2.0 Tech Thats the whole reason this company started was to replace sIh4 and other gaseous silanes with Si6H12 which has 6 times the silicon in one molecule. Ramez said he was able to get it scalable with new technology so it can be used as a precursor for different applications That was big news since he was the first one to get silicon to emit light in his work for IBM to make a silicon nano laser for photonics chips for super computers in his partnership with IBM. Bakkers is a consultant to Microsoft . He said Coretec CHS material could be the game changer in this quest. Coretec also found out the same thing in CHS being tested by the French Alternative Energy and atomic Energy Commission a Gov entry out of France ..same results . So those partnerships with these organizations were developed because Coretecs customers and partners and potential partners wanted to know more about this molecule before they built prototypes with it for LEDs and semiconductor chips or battery applications . Well Coretec then changed course and decided not to not ship the materials out to other companies to work with but use their own expertise with this silicon and open their own lab and make a silicon anode for battery applications. So I've asked the company a couple of times were we stand with moving forward to get this molecule into semi conductors. That was at one time the focus until they decided to put the battery application first and LEDs and semiconductors secondary. They need money / partnerships / mergers to move forward with the other 2. At one time they looked at a merger ( someone with a product & revenue ) with a LED company one in Vertical agriculture they had several other candidates as well bt said they didn't find the value they wanted. Well I think they are finding value in their Silicon anode so I'm glad they took this path forward first . The others will come along at some point ..it all takes money and the right funding. Coretec has great potential beyond batteries. Semi conductors are something like a 400 billion dollar a year business
From the May 18th 2023 shareholder call on supply for silicon nano particles ...If you haven't read the transcript for that call ill post it . its good to read even though it was 8 months ago to get a feel for the focus of CRTGs vision n nexts steps goals etc...Coretec does make their own silicon nano particles from scratch in house ..They have their starting precursor CHS which is Si6H12 or Cyclohexisilane as a base silane then are using that no one else uses. Coretec created a patented process to scale it and have 2 chemical manufacturers they use at present , Far Chemical and the another ones in Pennsylvania . Si6H12 has 6 times the silicon in one molecule , a much desired molecule by the semi conductor industry . Coretec has been working on getting Chips fund money and in the past was talking to 2 lg semi conductor companies to partner with to get the funding . No update on that in the last year or so. From the call ..Michelle Tokarz said" To that end, we have recently signed Memoranda of Understanding with two silicon nanoparticle suppliers, namely Alroko and SkySpring Nanomaterials.
A Memorandum of Understanding accomplishes several goals. One, it sets expectations for both companies. Two, it outlines commitments at a high level. And three, it establishes expectations for purchase orders.
In addition to these key parts of an MOU, both of these companies are able to easily alter their silicon nanoparticle products in order to accommodate our needs. Additionally, they have volumes large enough that they should always be able to supply us. For added supply chain security, we have also identified backup suppliers that we could employ if needed."
Ford partnered with a company called Solid Power to develop solid state batteries . They need a good silicon anode just what Coretec has it would be a perfect fit . Solid powers solid state battery only is a 390 Wh/Kg battery CRTG could get that to over 500 Wh/Kg .
CRTG will be filing patents for solid state batteries as well as they have stated that . The key to a successful solid state battery in considered by many a good silicon anode . Ford partnered with Solid Power who changed to a silicon anode recently they do use lithium metal type chemistry as well for their solid state battery but on their web site they make it clear they are working to improve and solve problems they have with their chemistry in their silicon anode . Even though they use silicon its a different anode than Coretecs anode chemistry. So I think Ford would definitely be interested in CRTGs silicon anode for their lithium ion batteries and their solid state batteries that solid power is working on in their partnership with Ford. Coretec had also said they would file patents for consumer electronics batteries as well. im interest to hear from Coretec specs on their silicon anode in a solid state battery which it seems they said they are working on . Would be nice to them surpass 600 Wh/Kg with both batteries .
