The TTM fundamentals are about to improve dramatically. All SUNW has to do is not totally suck. The TTM numbers are currently dragged way down by terrible Q3 numbers from 2016. Just having that drop off will improve our fundamentals rankings/analysis.

Yes, and the trade magazine published photos of their new cell-level optimiser technology that was revealed. Sunworks' partner, maxim integrated, is a legitimate, large public company (MXIM). Sure would like to know more about the partnership arrangement. It seems microinverters (panel-level tech.) are becoming outdated.

No, the downward revised guidance of 95-105 was issued on Nov.10, in PR along with Q3 results. That was slightly less than half way through the 4th quarter.
I just now had a chance to catch up on this week's posts. I disagree that SUNW reiterated their annual guidance in December. They did exactly the opposite. They put in an explicit disclaimer that the prediction was from November. I thought that was really odd when I saw it, and anticipated the numbers would therefore not be great. I admit, I was still disappointed by the numbers Monday.
Now, I also disagree with some parts of what most everyone has posted. Bear and bull. I disagree that SUNW is on the path to bankruptcy. I also disagree that it is likely that $10 million worth of jobs would push out from a few days of rain. However, weather was not the sole or primary reason given for the miss. Focusing on that alone is just misleading. In any event, JN knew they were in reasonable danger of falling short by some amount when they put in that odd disclaimer in the December presentation. Heck, why else would you undermine your sales pitch like that? On another note, on the last conference call JN stated that the jobs from Q3 would go out into Q4 and this year. So, even then they knew they had significant delays on some particular jobs.
Good point, the usual am conference call time is 10am Eastern. JN presents at Roth @ 10:30 am Eastern (7:30 Pacific). He could call in from anywhere, but that just isn't enough time.
However, I imagine they could make arrangements for the conf. call prior to publicly announcing the timing. If they're trying to surprise/thwart traders, then giving the usual 10-14 days' notice wouldn't be very effective. So, I won't be surprised if we get extremely short advance notice. I wonder if they could announce timing Monday am, and then do conference call after hours? I recall them releasing a quarterly report at least once before without preannouncing, although I think that may have been prior to uplisting.

We should be deploying this new tool soon, if not already happening. I anticipate SUNW is a priority "Sunpower partner" given our status as back-to-back national top commercial installer of the year for 2015 and 2016.

Wrong. "Most likely" wrong? "Apparently" wrong? No, the insinuations are just plain wrong.
I suggest that anyone who cares should Google "SEC form 5 instructions" and review the PDF. You'll learn that shares gifted in 2016 "apparently" didn't need to be reported on the form 5 Annual Statement until after the company's fiscal year ended. If it was a tardy reporting of a transaction that had to be reported earlier on a form 4, the form would have indicated as much. See instruction 8, particularly the last paragraph.
If one wants to engage in speculation, then I would suggest it is "apparently" "most likely" that the Apr. 11 share gift, made just prior to the annual tax-filing deadline, was a charitable donation for tax purposes.
I suspect rain is a safety issue when installing on residential sloped roofs. Probably not much of an issue for installing ground-mount or commercial flat roofs.

Right, my understanding is that the filing merely registers all of the stock, so that it can be legally resold. Also, this filing relates primarily to stock from stock options, most or all of which have strike prices above the current market price. So, these folks first have to purchase the stock from the company before it could ever be resold. The filing also explains that any time any of the listed persons wants to actually resell their now-registered stock, the company has to file a new sec notice (a post effective amendment).
