10Q, 10K, 8K are required documents which makes them more than "paper and words". While they become meaningless if a company goes belly up, they provide important investor information (less so for traders). Ignore or discount them as you wish.
I'm well aware of reverse splits with penny stocks. So, I'm not suprised when companies do this to lift stock price (to maintain a listing). URG has probably looked at this before and decided not to do it for whatever reasons.
IMO, gut feelings are meaningless in investing due to the inherent unknowns and timing luck. Someone might claim "my gut told me to buy/sell" but in reality it's just a decision based on preferences/metrics.
Not all posts are only cheerleading or opinions. Some provide informed, reasoned approaches based on data and direct experience. As an investor, I appreciate a more intelligent approach to investing.
In this space, show me a company with "stellar" financials.
They paid off the RMB loan, have $5.2M COH, reduced overhead expenditures by 25%, and GM of 39%.
I don't have a "feeling" one way or the other, but I do pay attention to updated financials and conference calls.

No, I think you got this one right. When you invest in a company you cast a "For" vote for management.
This one is headed for more dilution, more cheap shares being sold. And that does not bode well for securing new business when the company is NOT financially stable.
If you were a law enforcement agency considering this service, and reviewing the company financials alone, would you sign a long-term agreement?

And technically, it is a penny stock no matter where it's listed.

It's impossible to value this company without ASP, margins, and projected sales. But we can make educated guesses at how long the money will last.

Penny stock companies consistently burn thru cash and have no real income. They really have to do R/S at some point, dilute, and push out more shares. It's not the R/S that really hurts but rather the continued downward spiral of the PPS.

Yes, it had a run up I see right before the announcement. You're right, usually there is an average price defined when the deal is being negotiated. So, bad timing for some, good timing for me perhaps.
What's the deal with the Wilson leaving this month? Was there an announcement on this?
Also, there is some scuttlebutt over on the yahoo boards about .10 shares being bought by Texas insiders last year. Anything to those rumors?
One thing is for sure, this company and it's management has burned thru a lot of cash. I haven't calculated their burn rate, but if sales don't accelerate shareholders will see dilution again via selling cheap shares.

I was incorrect before when I said stock was sold at $1. According to the filings they sold 1.7M common at $.64 and also sold warrant options at $1.03. The stock was over $1 at the time of this offering. That's why it sold off on Friday.
Given they are close to be delisted, and they have a meeting next week NASDAQ, it seems this was a move to increase shareholder equity or satisfy listing requirements. Still, why sell the stock at a 35% discount?
This stock is typical of penny stocks I have followed. The history includes reverse splits, cheap shelf offerings, high interest rate loans, etc. This could change IF the CEO can do what he said in the QuickDraw interview last year. Become cash flow positive in 2017.
One would have to guess all this financial uncertainty hurts their ability to sell their services.
Just caught the interview with the two former NFL players talking about Copsync. How the hell did COYN decide to use them as penny stock cheerleaders?

Made my first buy today. It's high risk and speculative given the cash burn, but it got taken down big for selling stock above $1. Overreaction IMO. I'd like to see insiders buy it now.
I listened to the CEO interview by QD which he was obviously paid to do. What I'm curious about is what are the reasons law enforcement orgs don't buy the service? Competition?

BC knows this is a high risk investment. They probably required the free 1.3M shares upfront as part of the finance deal given the history of this "company".
I'm interested in speculating here but waiting for the R/S and trading action afterwards. I've seen some ugly sell-off and downward movement after R/S penny stocks.
I'm out. On to other opportunities.

Sorry longs, but you know this couldn't last. And stocks like this, as we are reminded once again, experience severe manipulation in the short run.
If they dump Pascoe, or come out with a great sales report next QT, I may have interest again. But I've got other stocks on the radar.

Ok, I just read the 8K on it. BC gets over $1.3M free shares just for signing, agrees to buy up to $5M in stock, and gives WARM $150K in convertible notes.
Curious too see if they start buying in December or wait until the demo in late January.
If WARM did what they agreed to, why the suit? Sour grapes from investors who speculated and lost money?
