Today was, by far, the best conference call/ER this company had put out in the few years I’ve been a shareholder since Sedor took over. These next few months look incredibly promising, and Sedor is delivering on everything he has said he was trying to accomplish...
The reason this traded the way it did is simple. Months ago, PTX gave a deadline of three things: 1) buyout 2) refinance 3) bankruptcy. Bankruptcy was never an option because they had the money to pay the debt that was needed, so it came down to buyout or refinance. Both are fantastic for $PTX and it's shareholders but people bought in the 3's and early 4's with the potential of getting 5-10x their money in such a short time. Once the announcement was made of no buyout, a ton of retail sold their shares at a small profit, break even, or small loss to free their money back up. This is going to go back up very soon and at a pretty decent pace. Fundamentals and charts both say so.
The company will be bought out; a drug will be sold and the company will pay the entire debt off; they will completely refinance their debt. Either way, the end game is positive for PTX and us shareholders.
It's an actual commercial for their new cell phone service place. At the end, it shows something like their logo and then the symbol for wifi connection (the 3 arches over top of each other). It looks like txhd's logo, but it's just the logo for wifi because their new mobile service uses wifi hotspots.
The FDA has requested to pull Opana, an powerful opioid painkiller belonging to $ENDP, off of the market.
This only raises the incredible long term outlook for Zohydro w/ beadtek and makes the value of that drug alone rise up significantly.

Looks like we could have something here. Take a look over at $CNXS. Bitcoin company that filed an 8k the day before $HVCW and, more importantly filed a 15-12g after hours yesterday. President there just so happens to be Conrad Huss.
I'm admittedly not invested here, as I just came across this company doing some DD on Huss. I am invested in $CNXS however and figured this info could potentially be pertinent for both companies.
The 11th is just an estimated time. A lot of brokerage sites pick their own estimated day. The fact that PTX tends to do ER's in Thursday is probably their basis.
With that said, until the company comes out and states precisely when the ER is, both time and date, then all speculation or info on any site is meaningless. The date to know here is May 15th, as that is the deadline.

But since you seem to be looking for facts and screaming about no real numbers, please, give me some of these FACTS that make you say this is a P&D. I'd love to hear them...
You'll find out how much their drugs (yes there's more than one) are worth within the next 8 weeks when they're bought out.

The "negotiated" number is the value of the company. Typically, the buyout is between 3 and 4 times the revenue of the company, minus debt. The difference between 3 and 4 times is 150-200 million so that final number could go so many different ways. A few months ago I figured it would be around 17. Now with the improved revs, the good litigation news, and future potential of silenor OTC, I think it's up from there.
The bottom line is Sedor knows what he's doing. He's the sole reason myself (and many others) initially bought in. This is what he does and this is likely his swan song. His reputation is remarkable and he's not going to tarnish it now. Do I expect 30? Whew, that's going to be tough. But, 34 is the number where Sedor gets his options realized, and if anyone can do it, it's him.
Go back through my post history, I posted a general equation a few months back. Just remember, like any deal, negotiations are key.
The 8k stated the debt will be paid and closed on by July 31st. Takes about 2 months to close a BO and the company was for sale until 4/9 per previous 8k. Timing adds up perfectly. Besides, you never close on financing without having something lined up. They couldn't have said we're getting bought out anymore besides using those actual words.

Just got a text from Textmunication that states: "We continue to execute on our blueprint for success." Along with that was a link to the 8k. Love it.
The problem with this article, and with what some others are saying is that the 30.1 million figure includes the 15+ million we payed to GSK as part of the settled litigation. Add that to the revenues and you're over 45 million, which is a nice step up. Good investors read the entire 8k, and saw that. I have no worries of this stock again trading in the high 3's to low 4's over the coming days.
The CC went as well as it could have gone IMO, without the obvious mention of a buyout which if we're being realistic, was never an option to be announced if you know Sedor and his history. Two big things to come out of the ER. First was the significant increase in EBITDA. This can't be overstated and it's what investors look at. Second, and what I feel has by far the biggest money making potential as well as the mention of possibly taking Silenor OTC. It was specifically stated that multiple big pharmas have approached PTX to partner on the adventure. That has potential to be a catalyst this company and its stock has never seen, whether it's in the form of a future buyout or Sedor simply turning the company around.
Whatever the current SP is at the time of a buyout is meaningless honestly. Doesn't matter if it's 1 dollar or 10 dollars. The general (and I say that very loosely) equation for a buyout is roughly 3-4x revs (so 150 mill x 3 or 4 depending on negotiations) minus the debt (roughly 300 mill) divided by OS (9.5 mill roughly). So low side? 17 dollars PPS roughly, but I don't think Sedor settles for that.
Not a problem at all! I think starting tomorrow we start to see a real difference...
That article was written prior to the release of the 8-k. Also, the reason why this hasn't spiked (in my opinion) based off the amazing schedule Sedor pulled out is because it was never PR'ed. Only people in PTX or follow it know about it.

I didn't like how it got so much volume so quick, then dumped a billion at .0001 then no bid for a week. I got out Friday but still have my eye on it.
No there's not, but that could change any day. Look at FBCD (I think you were on that board too). Tons of action a few weeks back. I grabbed 12.5 mill .0002s when the volume was nuts, then it went to no bid for 10 days with damn near zero volume. Randomly, Friday, volume came back and I was able to sneak out even. My point is there was no reason for that volume Friday, and hopefully we get a day like that here soon.
Just going based upon the little news release they sent out at the end of January, which was their first correspondence in some time.
As for the buyout rumors, I would (and am) ignoring them. They OTC guy posted the same exact thing on 2 other boards within seconds of each other.

If there's no sale of the company or its assets then the company goes through bankruptcy to once and for all rid itself of its debt. That is per the 8k, not my opinion.
But here's my opinion. Sedor didn't take this job, at his age, with his history, to have his impeccable reputation tainted at the very end of his career and likely last position.
I absolutely agree. With the things you mentioned, along with Sedor and his history of being in the position before, I feel as though he's going to use that experience and leverage a deal that very much exceeds my generic estimate.
Not a problem. Again, that's just a baseline but it is a distinct possibility IF Sedor was to make it happen (fingers crossed).

The current stock price is irrelevant to the purchasing company. The basic formula used to figure out a company's value and subsequent PPS after an acquisition (I can't stress enough how this is not a set in stone formula but rather a starting point) is 3x revenue (so let's say 150 million x 3 = 450 million) minus debt (which is anywhere between 275-325. Let's go with the middle and say 300 million). That leaves 150 millions. Now we divide that by the number of outstanding shares (which is roughly 9.5 million) and we get a PPS of $15.79...
Again, very basic and not an end all be all formula but that's likely the starting point for Sedor and whomever he is negotiating with.
Let's hope so. Would love nothing more!
