Yes. SUNworks has a good reputation. As for all the rest, buying a company, promising a revolutionary solar panel, ... trying to predict the future is like looking into a crystal ball. Things will play out as they will. The only truth is the price graph. Of course, a sudden bad event could destroy everything. It things do play out in slow motion, there will be enough time to decide whether to buy more stock, sell out or stay the course. Right now the graph is at a high point. More decisions will be made in the days to come. At this point, I am staying in until the graph tells me otherwise.
Thanks for the great post. If I understand it, the second payment is in installments over five years. So that all of the shares wouldn't be issued all at once? Would not the acquisition of SUNworks enhance the value of SLTD stock so that, despite the dilution, there wouldn't be a big drop. And, how much stock is Jim Nelson getting? I would presume that he would not sell the stock and thus affect the float. Bit out of my depth here. Would appreciation an amplification of the consequences.
I expect the price to stay at this level until the end of the month when the news of the completion of the acquisition is announced. That should give the chart another leg up. Then I hope to hear a PR about progress towards commercialization of the 3D solar panel. To date, we haven't had hard news announced. Just promises.
There is another grey market stock that trades frequently. Has no meaning as far as I can see. Sometimes pops up as much as 8 times the price.

Things are looking good. Volume has increased. The stock price jumped up, pulled back and should go back up again. One of the fields they are exploring is a known producer. Using horizontal drilling and, I assume, fracking this should certainly create an oil flow. I am not so sanguine about wild catting their new leases. We shall see.

FV goes to 0.02 on a volume of 430.5k. What's going on? Resistance level at 0.02. Can FV break through? Will the impossible happen? Or is this just twitching?

As is explained in the investor bulletin, the way a stock resumes trading depends on where the stock originally traded. Different rules apply in different markets. For stocks that are quoted in the OTC market (which includes stocks quoted on the Bulletin Board and OTC Link (f/k/a Pink Sheets)), the resumption of quoting does not automatically occur when a ten-day suspension ends. Before OTC stock quoting can begin after the suspension period, SEC regulations require a broker-dealer to review specific information about the company in accordance with Exchange Act Rule 15c2-11 and FINRA Rule 6432. If a broker-dealer does not have confidence that a company’s financial statements are reasonably current and accurate in all material respects, especially in light of the questions that may have been raised by the SEC suspension action, then a broker-dealer may not publish a quote for the company’s stock. The OTC markets function through dealer systems where only broker-dealers may quote and facilitate trading in OTC stocks.
While this PR shows the logical progression in the business plan, we are looking at around a two year hold on this stock. That said, there are some head winds. Such as the expiration of the 30% Federal tax credit next year. And the fact that electricity use is down in the U.S. This due to advances in technology. Such as the replacement of cathode ray tubes in televisions and computer monitors by LED screens. And the use of mobile internet devices such as tablets and smart phones. Perhaps the advance of the 3D solar panel can overcome those obstacles. As far as the technical analysis of the stock price chart goes, the slow stochastic and MACD show a positive trend. Company Anticipates Entry into Solar Systems Market with SUNworks Acquisition and Push to Commercialization of Its Breakthrough Technology in 2014
Santa Barbara, CA – January 8, 2013 – Solar3D, Inc. (OTC: SLTD), the developer of a breakthrough 3-dimensional solar cell technology to maximize the conversion of sunlight into electricity, today announced that it anticipates closing its acquisition of SUNworks in January, as well as pushing its next generation solar cell technology toward commercialization this year.
“I believe that 2014 is going to be the year of Solar3D. With the acquisition and anticipated growth of SUNworks, we will enter the fastest growing part of the solar market in America—solar systems sales and installation. SUNworks is a proven and quality solar systems provider and it has a great opportunity to grow,” said Jim Nelson, CEO of Solar3D. “Additionally, our proprietary solar cell team has made great strides in its third round of prototypes and we are in talks with two organizations that are focused specifically on helping us make the jump to commercialization.”
Management anticipates that the SUNworks acquisition will close at the end of January, as previously scheduled.
“Our team is excited about the possibilities that we have as part of Solar3D,” said Abe Emard, CEO of SUNworks. “We have built a management team with the anticipation of rapid growth, and we are poised to grow substantially in 2014. Our backlog of business proves that growth is imminent.”
Last month, Solar3D announced the execution of a definitive purchase agreement with Solar United Networks, Inc., (SUNworks) of Roseville, CA. SUNworks, focused on the design, installation and management of solar energy systems for commercial, agricultural and residential customers, is one of the fastest growing solar systems providers in California. The company has delivered hundreds of 2.5 kilowatt to 1-megawatt commercial systems and has the capability to deliver systems as big as 25 megawatts. Its revenue for 2013 is estimated to be in excess of $7,500,000, with estimated pre-tax profits of almost $1,000,000. After the acquisition, SUNworks will continue operations as a wholly owned subsidiary of Solar3D. The transaction is expected to close in January 2014.
The initial 2012 Solar3D prototype cell was calculated to produce just over 25% efficiency—the highest of any silicon solar cell. Even more important was an originally unanticipated feature — wide-angle light collection — allowing for the generation of electricity throughout more times of the days and seasons. This feature increases the length of time during which light can be effectively converted to electricity, relative to current technology. Current technology is most effective for a few hours in the middle of the day.
Nelson concluded, “We feel that we are on the verge of creating substantial value for our shareholders. On the technology development front, we are very excited about our prospects for achieving what Solar3D exists to accomplish—providing affordable solar power to people and organizations throughout the world.”

I admire your confidence. My plan is to sell next year to take a tax loss then. As for buying and selling, I presume you will have to call your broker. I'm not sure but my sense is that the bid/ask now is 0.015/0.019. I believe that any price movement is due to technicals rather than any real event.
I have been following a stock which was suspended in September 2012 and resumed trading in the Gray Market in October 2012. The stock has been trading to this date with respectable volume. The price has wavered upward and downward but nowhere near its previous price. FV could keep on trading without ever going much further up.
Could it be? Reinstatement not a fairy tale? It is darkest before the dawn. Price graph gets better all the time. Believe the dream. Happy Holidays to all.

To put things into perspective, I own a wind power penny stock. The company owns a number of wind farms. The company has 67 million shares outstanding. The current bid/ask is 0.0749/0.085. Its December financial report for the last quarter ending September 30th showed a revenue of $2.5 million. One would think that with revenue like that, the stock price would be much higher. It may be that this dramatic increase in revenue is offset by prior losses. Since I am not an analyst, I can only say that it seems that revenue alone is not the only factor determining a stock price.
My expectation is that this is a very long term hold. When the acquisition goes forward, it will take some time before a significant revenue stream occurs. The change in California law is a plus. But this is one state. Then if the development of a 3D solar panel manages to get through all the hurdles, it will take a while to gear up for production and sales. Given that the 30% Federal solar tax credit expires in 2015, this is a head wind. So those expecting immediate blockbuster news to vault the stock price will be disappointed.
This is a P&D. A woman has bought up shares, paid for publicity and will dump at the most opportune time. Look at the fundamentals, not the chart. It is a sucker play.
Before making any decisions, a phone call to the company may help inform. When is the date of the acquisition? What progress on patent applications? What progress in developing the panel?

I feel like one of the acolytes in Jonestown just before they passed out the Kool Aid. However, the MACD keeps increasing. If it goes above the zero line, then technically FV must increase in price. If anyone can show the contrary I would be grateful. Then I can finally put this monster to bed, as in a "monstrous" oil discovery.
While the MACD has been increasing, the OBV has been slightly decreasing. I have been following a stock that has been in the Gray Market since September of last year. It has fluctuated in a narrow price range. With inexplicable two major pops which immediately retreated. One pop went from one cent to eight cents. Stocks do live in Gray Market limbo but do not come back to life. Janice Shell seems to be right. These are normal movements in the Gray Market. They have no meaning as to the possibility to a revival. As a poster has said, the main value in FV is a capital loss. If a buyer can be found.
One is when the acquisition, if goes through, happens next month. Two, when there is some real news about the 3D solar panels.

There is a slight rise in OBV from the days of suspension when there was no volume. The overall position is determined by the trading prior to the suspension. Nothing to get excited about. However if the MACD continues to rise...

Is there a board to discuss penny stocks in general. And to discuss any penny stock not being restricted to a specific stock. Not an invitation to pumpers or bashers.
While the stock price hasn't moved, the MACD is progressively getting more positive. Whether this is a graph phenomena or is reflecting reality is yet to be seen.
