Yes - very interesting - with my emphasis:
Thanks - I agree with such bullish sentiments. Annualized Net Profits in one of the fastest growing industries (solar) cannot be ignored indefinitely.
Sunworks is setup not only to survive but eventually to assume a market leadership position in the solar industry with or without the cell.
And eventually, if the bigger surviving players turn to a consolidation strategy of their own - SUNW will either be there battling them toe-to-toe or agree to be acquired by them for a significant premium.
I know - right? There's just no pleasing some people . . . Sunwork's response is very technical and discusses how Sunwork's 3D solar cell materially differs from the patent the examiner referenced from the early 1990's (and everyone was concerned about Panasonic!)
Also, for those who haven't seen it yet - here is a very good Seeking Alpha article which may have been lost-in-the-shuffle the day of the Q1 earnings release

Provide Application Number: 14380355 (you may have to enter twice)
And then - to clarify - click on the "Image File Wrapper" tab - Sunwork's 11-page response is the first item currently listed . . .
Please check it out and respond with any thoughts
Excerpt of response (last two pages):
U.S patent (Nationalization Phase) update - amendment filed May 13th. This is very good news!

Basically, Sunworks pushed back cancelling two claims, correcting the suggested wording change, and the explaining why their claims differ (and are superior to the referenced German patent) . . .
Danny Mitchell no longer is listed on the management team:

I agree that Sunworks is a:
Thank you - great, great post - lots of facts, some opinions, and very neutral all-in-all . . . imo
SunWorks is using cash to chew through its backlog and post killer earnings for Q2. imo - as a matter-of-fact
Just makse sense....huh...
Bucky - I believe you are correct - don't recall seeing such a report from Reuters previously:
Do you (or anybody else) know if they also have service agreements to maintain the systems and provide additional revenue? TIA
Here are the links to the Sunworks Corporate Governance Committees:

A simplistic model adopted by SUNW consolidating installation segment of solar industry to maximize profits and provide the optimal value to the customer. A cost-plus business model virtually ensures profits provided the company continues to expand its market share into one of the fastest growing slices of the economy. The company has positioned itself on the ownership model while its competitors, who hitched their wagons to the lease and yieldco model, are falling by the wayside. Sunworks profits and ongoing expansion is meaningful to a number of LT investors. imo
Make that - the alleged stellar ER . . . and closer to three trading days counting today
They also now have a credit-line for future debt-financing . . .
Still waiting for you to get caught up - you are stuck at 5-months ago now - hit fast-forward and we can all watch the same show. Geez
Your diligence is past-due . . .
Okay - I'll take the bait. At least $57.5 million already "accounted" for:
It seems that you are talking about things that occurred in the past - when they were an OTC company.
Some really good posts earlier today on this board - thanks, Carl!
Dude - longs live and breath this company - if you want to add value quit harping on about old news. We all know already
If you can find out why Danny Mitchell left without spinning it that would be very helpful. Thanks
Exactly - the TTM numbers are going to get even better very soon as Q1 2015 falls off . . .
As I've posted before (here and elsewhere) SUNW actually had higher revenue and way better earnings than VSLR for Q4-2015 (VSLR actually had a loss).
It seemed like we were waiting for the financial sites to make their updates after the last report - and it ended up happening on the first of the month - like it was some monthly batch processing update.
So, with any luck we will see the new TTM numbers available soon after June 1st.
Or have Exxon Mobil get smaller than us?
Yes it is interesting - in particular this association:

Vice-President at Tiger Electric, Inc.
EDIT: Almost missed this . . .

The way I see it - the market is the game - the Sunworks guys are the players on our team - and we are the fans.
Most of us fans do have money bet on our team - some to win (longs), some to lose (shorts) . . .
Some of us paint our face and have ridiculous costumes while we cheer our team on - and others are booing loudly and waiting for next season . . .
I originally invested in the cell a long time ago but am not very optimistic now based on recent developments. There is hope but it is a long shot. For what it's worth - the bulk of my holdings in SUNW were purchased after the announcement to acquire the original Sunworks division.
The past year has been difficult but there still is a lot of potential in the solar integration side of the business. We should be valued higher and it is a matter of time before the market rewards our team's performance. IMO
Go team! (not a huge Raider's fan but they just have the best available pics )
Sunworks doesn't do utility-scale and extend itself Internationally. Sun Edison doesn't do residential (that's what the VSLR acquisition was supposed to address).
Commercial - maybe some synergy there but probably too far-flung geographically. Also, there is a lot of toxic debt that Sun Edison built up and having to sort all of that out with SUNE's yieldco's, etc.
I'm sure Jim will pass - too much risk and potential liability. He already passed on RGSE for similar reasons. All IMO

Given the available cash reserves, and the propensity for roughly 1/3 cash outlay for new acquisitions - any thoughts on the size of the next acquisition for SUNW?
Acquisition targets range from $15 - 50 million annual revenue & Sunworks had $12 million in cash as of December 31st, 2015. Both per the Investor Presentation (Pages 9 & 17, respectively):

Agree - great post - makes a lot of sense
Wow - great idea - send it to Jim . . .
Maybe that is the plan but it is worth mentioning
Thanks for the link - I like this Earnings Overview tab on the same site:

Good stuff IMO . . .
EDIT: double post due to network slowness - please delete
Wasn't most of the accumulated deficit related to paper losses on quarter-to-quarter changes in valuation of the past convertible debt?
Also, on the past conference call I believe that the CFO mentioned that the Net Operating Losses will go away by the end of the year.
Lastly, please point out any public company in the solar space with a lower accumulated deficit . . .
Well, when Sunworks Exceeds 2015 Revenue Guidance With $53.7 Million in Revenues, A 166% INCREASE; REPORTS PROFIT With Diluted EPS of $0.05 . . . and has a Healthy BACKLOG of Over $47 MILLION TO START 2016 - then that is exactly the kind of company in which to invest in the rapidly growing solar integration market. IMO
