You say:

And for the hundredth time, this tells me you are not reading because the release says:
"Currently engaged to conduct traffic trials in customers systems." They are clearly conducting trials in customers systems.
You can twist this all you want, but this just reveals your true nature, and your nepharious objectives. You have to read the whole release to have context and to draw a conclusion of the status. You cannot just select one sentence that more or less meets with your negative view!
Also when you state "why aren't customers testing the product" you make it sound like the company has one product: they do not! they clearly have spoken about having a strategy that allows them to address different material platforms: Silicon Photonics, Indium Phosphide, Gallium Arsenide... etc. with at least 3 different types of modulators: Polymer Stack, Polymer Plus, Polymer Slot ... They have several irons in the fire and you cannot be indiscriminately reductive like that.
I am not going to spend much more time engaging with you given your track record.
According to the Open Letter, I am looking forward to what 2023 will bring in terms of commercialization preparedness:

And if you had done any DD, you would have understood that this merger is VERY different:
1 NioCorp is the acquirer of the SPAC for its cash. We keep control of the BoD going forward.
2 Both companies are already public, with their valuation well established, which will prevent the SPAC, which once again is NOT in the driver's seat anyway, to overprice the new venture when listing to the NASDAQ, thus improving the chance the new venture will actually increase in valuation as key progress reports cross the newswire shortly following the merger.
3 Examples of news expected after the merger could include but are not limited to: simplified flow sheet, leading to reduced OPEX for the recovery of the minerals already included in the 2019FS; Improved recovery % from the ore already included; improved quality of the oxides produced through the new flowsheet, leading to higher sales $ per ton of material; Confirmation of presence of REEs in the ground at Elk Creek, that will be extracted in addition to the original metals, at very minimal additional cost, all the above leading to improved value of the mine, thus improved current value of the share price to be announced in a revised 2023FS; Confirmation of the debt side of financing; Breaking ground of the mine construction since all permits are already in hand; Countdown to when the mine will be in operation...
Each one of the above PR will further reinforce the value of the mine in the institutional investors' minds that are positioning themselves to build up positions once the new venture will be listed on the Nasdaq - see increasing institutional ownership in GXII-.
For a better understanding of the change in value to be expected, I would refer you to 5x SP increase in MP after it was listed on the Nasdaq.
Keep in mind that Elk Creek was announced to be at the moment, the 2nd largest reserve in the US by the USGS, but the mine has only been measured enough to be financed, and the underground potential extends on 3 sides (in depth and on 2 sides...). Re-evaluations to be expected once the mine is financed...
How about you do real DD, and come back with something a little more meaningful? Even a contribution?

Based on the ASM 2022 presentation, foundries are corroborating to the extent they are sharing pictures of the devices they manufactured with Lightwave's polymers in their facilities (slide #20)!?!
They may not let LWLG mention names yet, but this will be coming in the next 12 months IMO... Along with licensing agreement AND technology transfer announcements... Then comes guidance for 2024!!! In a TAM worth ~$100B in the next few years. Just let that sink in.

My numbers are ball park identical: I introduced a slight difference in my calculations by assuming 20% redemption, thus working on 80% of the 285M. But in the overall vicinity.
I think that the market overall is satisfied that both parties to the merger have had their expert assessors look at the numbers and agreed back in the summer on a fair price of $.89
We may not care for this price, but it is what it is: it gives NioCorp access to cash in 1Q23 to get the party going with the means to pay for the following expense items (see p27 of the presentation):

I will keep loading on weakness between now and then if I can, because in my judgment, this remains a heck of an investment, with dividends to share with future generations, ...and those in need...

If you look at p36 of the presentation that Niocorp produced upon announcing the deal, which goes into what they expect to happen, you will notice that management expresses the intent to end up with a market cap of $598.5M in the form of about 59.9M share outstanding valued at about $10 each. The market cap is justified by the combination of the $285M cash (without redemptions) brought by GXII and the pre-deal enterprise value of Niocorp at ~$313.5M based on the discounted future value of the assets present in the ground.

And if you look at the valuation of a similar mine, MP, and apply the same financial ratios to our mine, the valuation of Elk Creek, once production is ongoing - which thanks to the merger can now be estimated to be around 2026- could be up to $6 Billions... With the push for the green economy, we are certainly at the right place at the right time.
Are there ways to improve your returns by finetuning here or there (with using warrants for example to limit the effect of dilution caused by financing) sure, but it is not a must...
This is a good project to be invested in, all IMO - not investment advice-.

It reads that the plan is for the first commercial deals to be made public by the company during 2023, which should lead to the first sales guidance to be applied to 2024.
IMO, it will be hard by then, for the market to ignore, that the technological advantages of a solution that allows 3X the speed while consuming down to 1/10th the power, a solution that can be mass produced in foundries around the world with "extremely high-yield", a solution that has been described as providing enough of a breakthrough to provide leadership for over a decade, leading to a ubiquitous presence on a targeted market worth upwards of $100 billions in time, will not lead to a commanding market share and thus , to a share price in multiple of $100...
I am not selling today, I am not selling tomorrow, and the shorts can bleed begging, I am not selling to correct their shortsightedness!
