Thanks for your insights Midtown, very informative. When you explain that FINRA regulates the broker dealers, does that mean they are scrutinizing those who would be selling the stock, like the MMS, as opposed to looking at the validity of the company itself? If the SEC is already satisfied, how deep does FINRA evaluate the company vs. just looking at the dealers?
How is this relevant for STBV?
Not possible. There is only an MOU signed on the purchase of TV 101. They don't expect the deal to be finalized for 30-45 days.
One of their recent filings indicated that although they bought Bearpot AND plants, the legal marijuana landscape is still very volatile and they're not sure how and when they will become involved. They said they are planning to wait until this summer when some of the regulations were supposed to be revised. In the meantime, those plants must be maturing - what are they going to do with them?
Thanks Phantom and Dave. There are obviously some real pessimists on this board, but if what you, Doc and Dave are saying comes to fruition, that's proof enough for me. Please don't let the few doomsayers influence you all to not post - there are many others of us out here who appreciate the insights. My fingers are stuck in the "crossed" position because they've been that way for so many years - so a few more weeks is certainly no biggie.

After holding this since early in the nsol days, my first thought was to unload if we can get relisted, but if we do, I'm thinking good things might finally be coming our way and my plan is to continue holding for the long run. So I hope yoUr "miracle" comes true!
Is this Andy's way of putting the 15B new shares into the float?
Why do you think these huge "holders" don't pull back a bit on their ask volumes and let this puppy run? With the demand side at 4B+, the bid would quickly follow the ask price up and they would clearly make greater profits.
Because the MMs are sitting on billions of shares from the latest offering at .0001. They're methodically releasing these into the market. Notice how the ASK volume at .0002 is going UP, even as most of today's trades have been at .0002? Until those shares dry up, it'll be tough to move the price.
That's just a small "side business" for them. They invested a little into it and they're sitting on it, waiting to hear about new Colorado regulations this summer. Video is their primary focus.

As much as I'd like to see them get into the medical MMJ business in a big way, it's very obvious that their primary focus is on their video initiatives. If Colorado does indeed revise regulations in July and it appears to be a good opportunity for them, that's when I believe we'll see STBV make strides within the sector.
This is directly from their recent 1A filing. Clearly states that they have 50 plants growing in Colorado, but I don't expect 50 would generate too much in revenue? It appears they are waiting for Colorado to revise their regulations, expected in July. This doesn't necessarily "prove" that they are growing, butI don't think it would be in the filing if it weren't true.
Medical Marijuana Growing
Through its subsidiary Bearpot Inc Bearpot the Company hopes to grow and sell marijuana in the State of Colorado to residents thereof who are approved to use it for medical purposes
("medical marijuana") by the State of Colorado under the rules and regulations to be established by that State. We have only a small facility in one county in Colorado where we are growing approximately 50 marijuana plants. We do not currently plan to expand significantly beyond that number of plants unless
and until we determine that it is economically beneficial to do so given the market and regulatory conditions then existing. We have no plans to grow or sell marijuana for non-medical purposes.
We have hired a consultant and an attorney in Colorado to help us in complying the current and future rules and regulations of this business. Whether this business becomes profitable will be
dependent in large part upon the effects of the final rules and regulations including taxes for the business that are ultimately adopted by the State of Colorado. We expect Colorado to revise its
regulations on the sale of marijuana in July of this year. There is no way to anticipate what those regulations will say. However the regulations currently require that suppliers of medical marijuana sell the product only to persons who have red cards issued under the Colorado rules. We do not expect that aspect of the rules to change. The Federal government is currently not interfering with the sale of medical marijuana within the 21 states where it can legally be sold.
No details yet. I don't know how long it typically takes for the details to become available? Or might this imply that there is some back-and-forth going on and information doesn't become available until it's finalized? I'm anxious to see the sales figures from the first offering - that should tell us how much more dilution will go on until the float has maxed out.
Where are you getting the 100 billion "outstanding" shares? There's a huge difference between authorized and outstanding - Andy is only allowed to raise $5 million for one year, so there is no way all of the authorized shares will become outstanding.

There are always buyers at bargain basement prices...I'm more interested in knowing who the hell is SELLING at these ridiculously low prices!

These are all valid points and an accurate depiction of the current state of the industry. And, when you control the cash, you have multiple options available to you. Since STBV is raising a lot of cash, they are positioned in a very good place among the companies attempting to enter the MJ space. The SEC approved the share structure, so there's no problem there. Hopefully, Andy has strong legal counsel and nothing freaky happens like the situation with PHOT. As long as all the logistics are handled properly, there appears to be significant potential here.
The lack of substance in the PRs doesn't necessarily imply that they are blatant fluff jobs. They could also mean that there simply is nothing solid to report...yet. STBV is in a money raising stage, so in an effort to be transparent and to keep the noise level up, they will report ANYTHING that transpires. As investors, we all expect a return on our money, but this isn't a blue chip company with full departments dedicated to each project. We put some money up and we hope that they deliver.
As far as alternate means to fund the company, the connection to the MJ industry eliminates the more traditional avenues such as banks. The business plan may have targeted a share price in the low trips to make it more attractive to potential investors, which could mean they ultimately want to raise $10MM (100B X .0001) over time. Andy has already invested his own money, so this is probably the most direct method. It could have been done with a different structure because the 100B AS is proving to scare people, but in the end it's all relative.
I've been saying for quite a while that SOMETHING needs to come to fruition. There's a lot of posturing going on such as announcements about video production having started, consultants hired, website developer hired and Bearpot, but so far all we've heard about is these activities and nothing about RESULTS. Revenue generation drives everything (the business AND the pps)...we need to see something solid that has been accomplished and that will begin to generate $$$!!!
All very true...and the SEC approved the dilution (up to $5MM for 12 months) prior to it occurring, so STBV is not doing anything wrong by offering the shares. In my eyes, PPS is a relative term. Obviously, more shares = lower price, but I don't care if I trade 100 shares or 100,000 shares of a stock, as long as I'm positive. Even if they circulate 50B shares to raise the $5MM, the cash alone puts them in a very enviable position as this industry struggles through its' infancy. And that's not factoring in any value for potential revenues from operations, JVs, new deals, advertising, etc. So it seems to me that there IS room to grow with this, IF they use the money wisely and strategically for growth and revenue generation. If not, then it was one of those gambles that didn't work out.

Agree completely! It doesn't take too long to figure out who's posting legitimate info (positive OR negative) and who is simply here to get a reaction. For some people, posting on these boards is their "15 minutes of fame".
Once the new filings are scanned and we can see sales from the first offering as well as details for any subsequent offerings, we'll all be in a better position to evaluate what's happening. In the meantime, it would be nice for Andy to show the shareholders that he is investing some of that money he raised into true REVENUE GENERATING activities. Like what are the outcomes of the MMJ and Hemp consultant engagements...what's going on with Bearpot...etc.?? Or is video and TV going to be the primary focus? Let's stop the dabbling and focus on a core line of business where we can be successful.
It's hard to understand why there are any 1's going through at all when someone could very easily sell at the 2B+ 2's being bid? I'm hoping it's tactical by MMs to shake people into selling at 1 or 2, which could imply that the 30B offering shares are running low? Might just be wishful thinking on my part. In any event, it's still a waiting game of supply and demand. In these circumstances, I like to see a high bid volume because when the Offering shares are depleted, news will move us up. At that point, we'll only be dealing with flippers.
It's not the bid volume holding us back, it's the ask volume at .0003 (1B+). Did you notice that when the ask volume ticked up to 4, the bid volume pretty much followed it up? Same thing happened a while back when the ask went to 5. Unfortunately, until we can get through the 30B Reg 1A offering shares, the holders of those shares are content with selling at 2 and 3 (and apparently even some at 1). When they dry up...off we go. IMO.
First buy was in mid-February (ouch!).
Scottrade only shows bids up to 2B - that hasn't changed all day. High volume is good - whatever price it's at for the time being. The volume helps get those 30B dilution shares into the float and hopefully into stronger hands who are willing to hold for meaningful movement. THEN the PRs can have more impact.

What is it that you are saying they have in common?
It is indeed good news that people are asking about STBV's VIDEO capabilities which, by the way, is still the core of their business. I really don't care if they make money from their video business OR from their MJ plans. CONCRETE news FROM STBV about deals signed, contracts, and progress on the MJ front is what it will take to get this moving (post-dilution of course).

True, it's going absolutely nowhere...while dilution continues and in the absence of MEANINGFUL news. When either or both of those situations change, it has room to move.
