Close. Their auditor lost his license from the Public Accounting Oversight Board. That happened right in the middle of the company's attempt at filing a new S-1 Registration. Nothing has been filed since. It's like they just gave up.

Does this mean Mr. Chin gave himself a loan? Not necessarily a bad thing. He probably invested a lot of cash into the business already. This just may be a way to pull some out. I'm not sure.

Here is the text from the 10Q:

During the three months ended March 31, 2014, the Company advanced a loan in the amount of $1,141,225 to the director of the Company’s operating VIE, Liaoning Dingxu. This loan has no stated term of repayment or interest rate. The Company conservatively recorded a full allowance for the loan and recorded bad debt expenses of $1,141,225 as of March 31, 2014

In China I don't know the process, maybe it was a payment/loan to the government. It doesn't say the details in the 10Q filing.

10Q is out. All seems up to par except for one item. Looks like they made a $1.141 million loan to someone and they are writing it off as "bad debt". That's a lot of money. It drove their earnings down by a penny per share. Not sure what that's all about, but I hope they don't be making bad loans like that again. That's a big "ouch!". Heck, if they loan me $1.141 million I PROMISE I'll pay back at least half.

Loaf, I don't think the buyer wants the stock price higher. I think the stock price is going higher because he is buying. He seems to be doing everything he can to try to buy shares at the lowest prices possible. Problem is there are not a lot of shares available. So he seems to be buying a little each day to keep things as "quiet" as possible. There are a lot of smart shareholders not willing to sell at low prices though. The result is a slow, steady increase in share price.

He's talking about the market makers and whoever is selling shares. He means it is usually hard to buy any shares at the bid price. You usually have to buy above the bid.

You can tell when the stock is about to get active because the bid starts jumping around like a Mexican jumping bean.

The real answer is there is no good reason to be late with the filing. It's usually the result of poor time management and/or poor record keeping by the company for items that the auditor requests from the company.

The 10K is not filed yet. They filed a late notice for the 10K which gives them 15 more days to file it.
