Management has not earned my vote. All I have seen from Mr. Williams (via the court filings) is a persistent effort to force management to follow the law and proper procedures in running a public company. Management has continued to circumvent the rules, and has made themselves look like fools time and time again (shareholder forum debacle, Buchalter quitting after realizing what they were dealing with, promises of a settlement, promises of AMAZING NEWS, etc). The result of management’s actions is that I have ZERO trust or faith in management at a time when they are asking for a vote based on promises of future improvement. If management wants my support, they need to:
1) PROVIDE THE DETAILS OF THE FINAL SETTLEMENT AGREEMENT – with this information, I will determine for myself if the board members blocking the settlement are acting responsibly or not. NOTE – THERE IS OBVIOUSLY A 2ND BOARD MEMBER OPPOSING THE AGREEMENT!
2) Cancel the current proposed shareholder vote – it is so obvious that this is a desperate effort to oust Mr. Williams, who appears to be the only BOD member working to get this circus operating as a company should. If management wants to hold a vote to oust Williams, provide some concrete evidence why he should be ousted then let the shareholders decided based on FACTS.
My feeling right now is that CLYW will never become a company operating in compliance with the law and corporate regulations, because to do so would uncover so many past wrongs by some many people with significant control in the company. As such, I am in favor of receivership or a shareholder lawsuit – I’ve abandoned hope of making any money on this, and am now hopeful of at least seeing the scam derailed and those responsible held accountable.
I will be voting against the removal of Mr. Williams, since I feel he is the only one trying to restore the company to legitimacy no matter how painful that process may be. Although I feel the vote is a fraud and will ultimately be proved meaningless, I will vote "against removal" as a gesture of support for Mr. Williams.
