Reverse Stock Split
On September 25, 2007, the Registrant announced that its Board of Directors has authorized the company to proceed with a 1 for 10 reverse stock split, which had been approved by stockholders at the Annual Meeting of Stockholders on December 7, 2006. The Registrant’s common stock will begin trading at the split-adjusted level on November 1, 2007. For 20-trading days following the split, the Registrant’s common stock will trade under the trading symbol “CMGID”. After the 20-trading day period, the Registrant’s common stock will resume trading under the symbol “CMGI”.

The Chairman read the public hearing notice. Present in the audience was the applicant, Eric Farris. Interested parties present were several residents of Fraser Drive, Maria and J.C. Irizary, Brian Cail and Suzanne O’Brien.
The Chairman stated that there were no outstanding issues on the completion of Fraser Drive. Eric Farris stated that was aware he owed a final invoice payment to Dufresne-Henry, Inc., which he would submit tonight along with the signed Drainage Easement.
Brian Cail asked if the plans of the Fraser Drive subdivision included a stone wall and sign to be constructed at the entrance of the road. The Planning Assistant reviewed the plans and replied that they did not. She then noted that Dufresne-Henry, Inc.’s final invoice amount totaled $105.00. Eric Farris submitted a check in this amount to the Planning Assistant. The Planning Assistant stated that the As-Built Plans had been signed off. James Nordstrom asked if any associated fees were still outstanding. The Planning Assistant replied that there would be a fee for recording the drainage easement.
James Nordstrom MOVED to confirm compliance with the conditions subsequent to the approval of the Major Subdivision/9 Lots of Tax Map/Lot #8/62, Bedford Road, and to notify the Selectmen that the Conditions Precedent had been confirmed and subject to:
CONDITIONS PRECEDENT:
1. Receipt of recording fees for drainage easement.
Dave Woodbury seconded the motion and it PASSED unanimously.
Eric Farris asked that the funds held in security now be released. Brian Cail asked if Fraser Drive was now considered a Town road. The Chairman explained that the Selectmen still needed to accept the road as a Town road which would be considered at their next scheduled meeting. Dave Woodbury noted that the next meeting of the Selectmen would be held on February 7, 2005. Brian Cail wanted an assurance that Eric Farris would be responsible for snow removal on Fraser Drive up to the time of the road’s acceptance given that his escrow funds were being released. James Nordstrom stated that Brian Cail’s point was valid and thought it should be incorporated into the motion.
James Nordstrom MOVED to amend the motion to include the stipulation that escrow funds would be released for construction, administration or bond security for road completion subsequently at the time of the road’s acceptance by the Selectmen.
Bob Furey seconded the motion and it PASSED unanimously.

I know when I was there the Tortos seemed to feel it was good . I think the idea is great ,if the cans hold up and function well. I have not messed with stocks much lately. Has anyone checked up on the transfer stations listed in the post I posted?
The new place is doing good ,out of all the dealers inthe county our volume is in the top 15 .

1 The 40m was gross revenue ,not net .CVIA got most of the shares back ,I am sure there were expenses at Bright .No I am not real happy we didn't get all the shares back ,but I also don't know all the deal . Do you ?

I am still holding and waiting . I have said I thought the Bright deal looked good ,I was at Bright and all looked good .I think CVIA saw what I saw ,and made a mistake by not finishing the audit frist. A private business can do things that are hard to find,and it seems that may be the case here.

On August 11, 2003, the Company and Gibson executed an agreement under which Gibson repurchased Stony's. The Company and
Gibson agreed that Gibson would pay the buyback consideration as follows:
o Gibson's obligation to pay the Company $96,250 in cash would be applied against a Company subsidiary's obligation to
Gibson in the amount of $164,735, leaving a balance owing Gibson of $68,485;
o Gibson's obligation to return 20,000,000 shares of Company common stock to the Company would be satisfied by the return
of 17,792,998 shares of common stock to the Company and the cancellation of $68,485 that was owed Gibson by a
subsidiary of the Company.
In addition, the agreement between Gibson and the Company provided that Gibson's employment agreement with the Company would
be terminated. However, Gibson remains a director and chief executive officer of the Company. Finally, because Gibson's
shareholdings are less than 5% of the outstanding shares, the Stockholders' Agreement Concerning Corporate Vision,
Inc. dated March 5, 2002 by and among Gibson, the Company and Global Eco-Logical Services, Inc. automatically terminated
pursuant to Paragraph 2.6(b) thereof.
Settlement of Claims Against Stony's Trucking Co.
On August 11, 2003, the Company entered into a settlement agreement with Stony's and an agreement with Gibson to settle the
Company's claim against Stony's for $432,361.27 in advances made to Stony's. Under the agreements, Gibson agreed to pay the
Company $250,000 from the proceeds of the liquidation of certain receivables of Stony's that Gibson had a prior lien on to
secure advances he had made to Stony's. To satisfy the balance of the advances, Stony's assigned the Company its interest in
a royalty stream payable by Filbin of the Stony's assets from the revenues generated by the assets. The royalty is equal to
2% of revenues generated from the operations of Stony's for the period from February 1, 2004 to January 31, 2006, and is
subject to potentially substantial offsets by Filbin.
I think Bright have profits on the books as shown .The question to me is who played who .I was at Bright and was impresed with their operation .I did not know about the debt, nor access to the books. Again the mistake (or whatever) was in not getting the facts before the deal was done. Was it a scam ? I am not sold on it being that ,but am watching.
Did Bright generate "meaningful profits."? No not after CVIA took over .That is part of why I believe CVIA and Stonys split.
This is where we differ I am not sure CVIA knew in advance that Mrs.Potts ,Condos, ECT,were part of the deal.
Forget CVIA and look at this mess from a sellers side I think you can see some of my side.
Think you got the jewel but want to play,not work .What to do ? Try paint the pig and hide the facts as deep as you can . Then look for someone needing to make a splash "CVIA"

I don't know the answer to the profits question .I would think they have made profits to be where they were when I was there . If you know they have no profits please post a link ,I would like to see the tax returns and other proof of revenue.
That said there seems to be some holes in the whole story
over the last three or four years.
I don't think the Gibson Potts deal will be of concern down the road . All indications to me is CVIA is no longer part of stonys.I may be wrong but things point to a splitup IMO .I don't have any proof ,just reading between the lines.
I see some of your point ,the problem is SRR and BRIGHT exist and are working Co.s. EESV seems to fit your point ,but SRR and Bright is a puzzle to me. James Seise seems to be up front, and a worker . The operation at Bright looked and seemed well run . They don't fit the "SHELL" mold IMO . Still looking and listing . I know you are right on some points ,but I also think you are wrong on some points. Lets hope we are not either shown to be totaly right or totaly wrong .:)

Yes ,and no, I think there was a great selling job done by Bright, and CVIA was eager to get up and running fast . There were sereral other deals looked at that were passed on ,due to Bright looking like the best. I am not sure how easy it is to find everything quickly involved in a family run business.
Buying Bright before the audit was finished .
Both are very negative ,the $ amount I don't know ,but it would scare most people .
The diffrence in the two CVIAs is one was allways a scam,looking backon it The other made a mistake with Bright IMO, and it may be a scam ,but at this time I am waiting. Yes I also waited on Keith and got burned,and I am not happy ,but I also am not ready to quit holding .
I have plenty now and will not buy more till news and fileings.
