"ABBIE was acquired from CGA 369 for $10 million. The first payment of $6 million will be paid in 12 months from the effective date and will be a combination of $3 million cash and $3 million in restricted common stock. The remaining $4 million payment to CGA 369 will be triggered by ABBIE’s first $50 million of commercial sales."
They literally haven't "spent" a dime yet.
After they pay the first payment of 3M in 12 months approximately that still gives them an additional 2M of the "up to 5M" in financing they announced previously.
How they Finance the 3M remains to be completely outlined, but was previously announced to be through "Preferred Shares."
They also announced a lockup period of 27 months on any dilutive effect.
That's how I see it at this time.

... last quarter alone. So yes, they are heavily punching away at their debt.
If they had been doing the same this quarter, had the DW buildout and expenses that QT mentioned, and have some sort of hiccup with WTER and payments, I think that would give me some pause on spending. (Only she knows the facts.) She seems determined to eliminate that debt pronto, which is good. Maybe it was you that said this or someone else, but a debt free balance sheet helps when trying to secure commercial funding for expansion.

Since our Revs were still high, at 51% of theirs. Who knows, probably won't know for sure until the 9.30.23 reports.
That actually makes some sense too, since AZ Custom Bottled Water is in the backyard of WTER headquarters in Phoenix/Glendale/Scottsdale. Seems more likely to me that we are geographically positioned to be a top co-packer for WTER. Provided we want to be. (Maybe your California theory too.)

So HIRU's same quarter Revenues were approximately 51% of what WTER did in the same quarter.
So WTER was down 8%, but we had our largest Quarter ever ending 6.30.23. ($7,769,288)
I would bet, however, that the same quarter for both of us, ending 9.30.23, will be lower because of the issues mentioned in the August 8th letter.
It either means WTER was having problems/issues earlier than August, thus the lower Revs by 8%.
Or that we might be getting some separation from WTER as we pick up additional Customers independent of WTER.

I'm not exactly certain, but she changed her mind. She hasn't publicly elaborated except to say that WTER was having "some issues."
I think we know what some of those are, from the 8/8 A88 letter. That's why I keep mentioning the WTER Fins. They are behind on those, and responding to Nasdaq with their plan to keep compliance. Once they actually have their SH meeting, I feel they will vote to raise the AS to 100,000,000. That will open up one avenue for additional Financing. For me personally, I found it interesting to read the last two 10K's. FallingKnife mentioned cash flow today.
She/James (whoever has the keys today) said she would have "updates next week on alk 88" so whatever is going on with them, she feels she can "elaborate" more fully next week. She's in possession of the facts that made her halt the buybacks. Tbh, that could be a good update on A88, or a bad one, more delays, more business, more territory, less territory, financing issues, I don't know. The update might tell us what we're missing.
Whatever is going on with A88, buybacks, etc...she's also juggling the DW install, construction in AZ new line, and "New Customers" (plural) next week. (Which means 2 weeks) :)

I noticed you joined the HIRU discussion here back in November 2022...so you may not be aware of all that she has posted of both plants. She has posted tons of pics/videos of AZ and CA, but you'd have to go back and scroll through a couple years of Tweets. It shows the progression of the plants, lots of pallets going out, new customers, some workers, bottle fillers, blow molder, conveyors, etc, etc.
Yes you do have the FUD spreaders. But frankly, A88 is having some "issues" and until those are dealt with there is going to be uncertainty.

She said this on 11.11.22, and has revised her dates a couple times since.
Keep in mind, that if she does deliver in the 3Q, it will be for 2022's Annual. Nothing for this year will be Audited, as Quarterlies are not Audited, only Annuals. 2023 wouldn't be "Audited" until sometime early 2024.
She did show promise when Michael Gillespie, PCAOB Auditor, showed up on our Quarterly earlier this year as our CPA. But that changed, and she hired a local Phoenix guy in the next Quarterly. And he's showed up on the last two reports, I believe. Maybe he's tasked with getting the Audit helped along. (?)
One thing to note, is that AWON (WTER's new NorthEast co-packer, and having ties to HIRU) just filed their Amended "Audited" 2022 Annual, with Gillespie as the PCAOB Auditor.
So who knows, but what I do know is that WTER paid their Auditing Firm $254,640 for Auditing Fees fiscal ending 3.31.23. (See pre14c) So, not sure what Gillespie will charge, we aren't as complicated as WTER, but it will be a chunk of money, thus the can kicked down the road, imo.
And don't forget, that waterchaser will now come in and say that HIRU will never be Audited. So hopefully his chrystal ball is broken. :)

What you asked for is a lot to unpack, but I'll try the best I can.
1. "Some production AND shipping issues/delays."
2. Didn't build up enough inventory leading into this summer.
3. "Timely raw material delivery with key suppliers." - My Two Cents, this is plastic and Plastic Bottles. Not all Co-packers have blow molders for the bottles (large sizes), and even if they did, they have to get the plastic on time to blow the bottles. They also have to ship those bottles and Plastics to their co-packers. In WTER filings, they comment on who supplies their plastic, and that "raw materials" and "freight" issues can cause problems for them.
4. They need more co-packers. They did 9 Million more in sales this year over last.
5. "Backlog of shipping issues for A88, and others." Yellow Freight's Bankruptcy announcement will result in over 30,000 job losses, I'm reading. Of course, those truckers may hire on with other companies, if they need them, and have a truck for them to step into. But you don't just absorb all those people overnight, all those trucks overnight, and all those items that need to be SHIPPED to all of Yellow's customer's overnight. It takes time for the affected companies to get other trucking companies to negotiate, and sign contracts, make commitments, to be at your door with so many trucks per week. Yellow Freight's situation is affecting lots of companies, so everyone has to sort of get in line. I suspect regionally some are better prepared than others, but it's not easy, it's complicated and takes time.
6. The supply chain is interrupted. Plastics, finished bottles, shipping of those bottles, shipping of those water filled bottles to distribution centers, shipping of that product to store shelves.
7. My opinion...WTER has other challenges too. Nasdaq, Share structure changes forthcoming, Filings, and Financing.

8. Other items. imo, She's quiet because she's a co-packer affected by the above issues, and probably trying to work around them.
9. The big box store invoices were for A88 product. My guess is she still has that business, since she's doing Million in Revs.
10. Roadmap is subject to change, and probably delayed due to these problems with A88 since before August.
11. Percentage of total sales in A88? She probably won't tell us that? May give away more than she wants to tell, or can tell. We probably won't know until the next filing how Revenues were impacted, assuming they are. Then it will be discernable by filings. I asked her to give us an idea, but she didn't answer.
12. Affect to 3Q. She won't know, until WTER gets caught up with their "issues."
13. Shareholder fears. She cares imo, but we're on the back burner. A88 "issues" are on the front burner, and Distilled Water, and New customers, and getting quotes and acting on blow molder purchases? to save $20,000 per week. It's a waiting game, imo.
14. Audit of 3Q. Based on above, I'd be surprised if she gets that done, wouldn't everyone?
15. Consolation? WTER's financials are audited.

This letter is being written to explain some of the issues that ALKALINE 88 has experienced over the past couple of months regarding production and shipping delays.
The summer season is always challenging regarding capacity for bottled water, In the past to mitigate the seasonality, we have been able to build up finished inventory leading into the summer. But this year due to some production issues resulting in delays with existing co packers, we were unable to build up inventory as we have in the past. Additionally, we have experienced some issues with timely raw material delivery by some of our key suppliers. With this background, please know we are working diligently through all these issues to get back to our normal service levels which you have come to expect from Alkaline88 over the many years of doing business with us. For example, concerning the delays we have experienced with our existing co packers, we currently are in the midst of adding two new co-packing partners to assist with production.
Additionally, as many of you know, Yellow Freight has filed for bankruptcy which has caused a backlog of
shipping issues for Alkaline88, as well as many other manufacturers. Alkaline88 continues to have strong sales, and frankly our sales %, and unit % numbers YOY are outperforming most of our key competitors. As you know, we have had an excellent service level for many years, even during the COVID days when other competitors were not able to deliver but Alkaline88 did. We ask that you have patience as we resolve these supply chain issues and please rest assured we are taking all measures to correct these issues as soon as possible. In the meantime, we have stressed the need for continual communication with our entire team to keep you apprised on this situation.

I check daily to see what WTER files to keep compliance with Nasdaq. I have to guess after the last couple of lengthy filings, they have to be working hard on their 1Q, their letter to Nasdaq explaining their planned path to compliance, and the results of their Annual Stockholder meeting (this month?) Progress in these, and other items, will probably prompt an update from Kathryn and company. :)
She also needs to update us by month end on the DW equipment, as she stated it would be installed by then.

(Edit) HIRU Historical Revs Compared to WTER:
(Edited for errors, and to explain in reverse. I asked for my previous post to be deleted so as not to mislead. Hopefully this is clearer than mud.)
Notes: It’s important to remember that both companies may “recognize” revenues differently. WTER sells through “Large National Distributors” and “directly to retail clients.” (See filings) The point of the below is to compare what HIRU reports as Revenues, versus what WTER reports as Revenues for comparable time periods. My opinion, based on the below numbers…HIRU Revenues grew to represent approximately 39% of WTER Revenues in our 1st Quarter.
The last 4 WTER quarters, they did 63.7M Revenues. The same 4 Quarters, HIRU did 16.7M Revenues. (That’s approx. 26% of WTER’s Revenues.) So, if Kathryn Projected to do 30% (plus or minus) of all of WTER’s Revenues in 2023, and they stayed at 63.7M Annually…then that’s approximately $19,000,000 in Alkaline 88 sales generated by HIRU.
So if ALL of A88 sales went away, not my opinion, that would still leave us with between $11M and $21M without A88 for the year, taking into account that she projected between $30-40M this year. (This is not taking into account that the year is 9 months over.) Just a fun exercise, thought I would compare and see how much of WTER Revenues (A88) are tied up with HIRU.

HIRU Historical Revs Compared to WTER:
Notes: It’s important to remember that both companies may “recognize” revenues differently. WTER sells through “Large National Distributors” and “directly to retail clients.” (See filings) The point of the below is to compare what HIRU reports as Revenues, versus what WTER reports as Revenues for comparable time periods. My opinion, based on the below numbers…if WTER represents 35% of HIRU Revenues…and we lose it ALL somehow which is not my opinion…then we lose 35% of what she projected of 30 Million approx. ($10,500,000) which still leaves us at $20 Million this year approx., unless we add new clients. Total guess, if we assume the below numbers from filings are correct, and to satisfy the hair on fire assumptions of WTER. Just a fun exercise, thought I would compare and see how much of HIRU Revenues are tied up with A88, and obviously I’m not a CPA or Insider.

Not all of us can be flies on the wall, and privy to closed door information. Like I said, some of it is true, but there are things in there that were embellished, exaggerated, or assumed. But the next time that I need to know what's going on with WTER, their status on raw materials and freight...I'll be sure to go to you for your "facts" instead of reading what they've divulged to the public.
1M this, 1M that, blah, blah, how about some supporting facts...the Distiilled Water equipment from back when is different than the new equipment handling 900 gallons per hour...and NO ONE knows what they paid for it...price it out all you want. Until HIRU posts the pics, we won't even know the manufacturer of the Equipment, or if they bought new or used.
This is what I'm talking about. That's how I see it, you see it differently, but no point in arguing. No point in poking each other with "bag holder" and "basher." I prefer to hold judgement until facts come out, less egg on face.
Once upon a time, some said HIRU didn't own Denman. They also said they wouldn't do any Revenues. Then...

I could, but won't. Some of what you listed is true, some of it is "as you see it," therefore opinion.
I don't fear facts, but think more care should be given to embellishments, ire, and exclamation points.
With HIRU, there's lots to finger point, and lots to commend. I don't think it's all one-sided.

It's not known how much that DW equipment costs. But it is likely that she will get her ROI on the DW equipment. WTER didn't do 60M last Quarter, it was 63.7M for the fiscal year ending 3.31.23. They (WTER) have not yet filed their 1Q report, ending 6.30.23...so we don't yet know how their supply chain, raw materials, freight, financing issues, Nasdaq compliance, etc...will affect the 1Q numbers. (If at all)
But it's safe to say that since they were warning their customers on August 8th (which is in their 2Q) about these problems, and the letter was recently posted here for the first time a few days ago, it's safe to say that the WTER 2Q numbers (which will be represented in HIRU 3Q numbers) are going to be affected. Who knows how much it will affect specific co-packer regions (as we know it has affected FL and TX) but seems likely that it will affect our regions too. Kathryn said WTER has "some issues."
My opinion, but facts will only be known when WTER further addresses the "issues" at some point, (perhaps with a filing) and when HIRU addresses how we will be affected. Just in a waiting game, imo, and waiting for a "pound of cure." :)
