4. The Company agrees that the fee due and payable by the Company to TCA under the IB Agreement in the amount of $2,500,000.00 (the
“IB Fee”) shall be payable as follows:
(a) Commencing on November 30, 2018, and on the 26th day of each consecutive calendar month thereafter, the Company shall pay to TCA the
sum of $27,777.78 (which sum may be payable in Dollars or in shares of Common Stock, as hereinafter provided).
(b) On the Maturity Date, the Company shall pay to TCA the full amount of the IB Fee then remaining unpaid and outstanding, in Dollars.
5. The Company shall pay each monthly installment of the IB Fee due under Section 4(a) above, either: (i) in Dollars, by wire transfer to an
account designated by TCA from time to time; or (ii) by issuing shares of the Company’s Common Stock as hereinafter provided.
6. If the Company elects to pay any installment of the IB Fee due hereunder in shares of Common Stock, the Company shall issue to TCA,
on the date the applicable installment is due, that number of shares of the Company’s Common Stock equal to the installment of the IB fee then due. For
purposes of determining the number of shares issuable to TCA under this Section (the “IB Shares”), the Company’s Common Stock shall be valued at a
price equal to eighty-five percent (85%) of the lowest volume weighted average price for the Common Stock for the five (5) Business Days immediately
prior to the applicable payment date of the applicable installment (the “Valuation Date”), as reported by Bloomberg (the “VWAP”). TCA shall confirm
the VWAP to the Company as of each applicable Valuation Date, and the corresponding number of IB Shares issuable to TCA based on such price. The
Company shall instruct its Transfer Agent to issue certificates representing the IB Shares issuable to TCA no later than on the date the installment
payment is due, and shall cause its Transfer Agent to deliver such certificates to TCA within three (3) Business Days from the date the installment
payment was due. In the event such certificates representing the IB Shares issuable hereunder shall not be delivered to TCA within said three (3)
Business Day period, same shall be an immediate default under the IB Agreement, the Credit Agreement, and the other Loan Documents. The IB
Shares, when issued, shall be deemed to be validly issued, fully paid, and non-assessable shares of the Company’s Common Stock.

Because he was forced out. They changed the bylaws so that they could remove a director without cause and did so in 2 days. A board is there to balance the power and protect shareholders. Sam must not have liked the governance that was being provided. I believe Sam was only adding the required director so he could meet up listing requirements and hoped he was adding a puppet. IVFH shareholders have been promised for years up listing is coming, and now the wait will continue. Sure, the metrics are undervalued, but they will stay that way until the 'Klep'tocracy is run like a public company, not a private one. I'm sure we will hear a good explanation for all this on the public conference calls the company holds....oh wait.. Sam doesn't hold those anymore because he didn't handle criticism and public company questions from shareholders very well. To your point of the director not having food industry experience, I believe it is good to have some members with related experience, but as a company steps up in size and stature, there should be a mix of talents on the board to make well rounded business guidance for the company.
I am surprised the stock isnt down more. This is exactly why this should always trade at a discount to peers on a PE basis. We waited a long time for a Board member to be added, and now it isn;t a good fit. Governance is poor here, and you have to have all your trust in Sam if you are invested here. And I was just thinking about getting back in... 'Klep'tocracy.
I haven't been able to find anything for the spike. I sold at around $1.25 average today from the high 20's. I will take the win, would love to know why and what we are missing.

I don't have a pm subscription, so responding to question here. I do think the slight pullback is a good entry if you believe in the next few Qs here. There are around 4 million short, so if estimates are met and the revenue ramp is real (this time), these share prices will be rear mirror. The stock is trading in an up channel here and broke out from a cup and handle pattern recently. I am very wary of high short position stocks, as they always seem to know something we don't, but the squeeze here could be drastic if things remain on course.
Recent Ladenburg analyst quote mentioned the Facebook deal for first time in print, so take that for what its worth.

Additionally, the company appears on track to roll out its "Ignite Delivers" product with Facebook (FB, $174.52, Not Rated) early in 2018. I think you are in at a perfect time. I added significantly around 1.18. They were on the road with Craig Hallum this week in NYC and Boston. I am guessing this may be the reason for the recent volume which gave us the multi month breakout of cup and handle. The short interest was 3.3 million recently with a lot of shares saying that the company wouldn't make it, but the last two reports were basically free of past issues and a lot cleaner and on the cusp of profitability. I follow this and other small cap companies at MicroCapClub, which has much greater info and analysis, if you are interested.

I have owned GLGI in the past, but wont again. Management has wanted to make this company private in the past and Trusting their tactics, which I am not sure would align with shareholders, may be why it doesnt get the multiple on earnings that would be otherwise deemed fair. Just two cents.

GLXZ. This starts to become very interesting as that debt peels off Q after Q. They more than doubled in size when they took on that acquisition a few years ago and have been paying off a $1mil+ a year. I haven't looked recently at how long they have to go, but at the margins they make, and their growth...there is gonna be a lot more cash at some point. I own a small position for years and it has returned to green in my portfolio this year. BTW. It is more deeply discussed and analyzed on MicrocapClub, where I am a member and highly recommend checking out.

There is extensive research on this stock by the members of MicroCapClub. Members have posted reports of their visits to the company and debated bull and bear scenarios for the company. It is one of the more closely followed companies of the last few months there. I am a member and am long EVNSF stock. It is well worth the price of viewing membership if one is unwilling to submit an idea application for full access, free membership. There seem to be several serious posters here that could benefit from the research there. I highly recommend it.
APPS broke out today on volume.
APPS broke out above 200 day on good volume today. The very large short position is down with financing doubts being quelled and ramp under way. I discovered this stock on Microcap Club by one of the many seasoned investors that post ideas for discussion and further research by any other interested members. I believe this along with many of the other profiled companies will outperform the market in the coming years and definitely uotperform what I would invest in on my own. View only memberships are available for those not willing to submit an application idea for full membership. I highly recommend it.
